 WHEREAS, Rastriya Engineers Pvt Ltd (Hereafter referred to as REPL) and Hamriyah
Freezone Authority (Hereafter refered to as HFZA) have come together to collaborate and to
make effort for formation of a Special Purpose Vehicle (Hereafter referred to as SPV), for
initiating , taking over, running, forming joint ventures, Green field projects and similar but not
inclusive list of involvement in Infrastructure Projects that may include but not limited to
Freezones, Special economic zones, Ports, Airstrips, Warehouses, Industrial zones, related
commercial activities, etc, with or without the applicable government support.

WHEREAS, the partners listed below have agreed to enter into a collaborative agreement in
which REPL will be the lead agency and HFZA and the other agencies will be partners in this
process; and

WHEREAS, the partners herein desire to enter into a Memorandum of Understanding setting
forth the services and activities to be provided by the collaborative; and

WHEREAS, the application prepared and approved by the collaborative through its partners is
to be submitted on record to the competent authorities in both locations where REPL and HFZA
hold legal standing, intend to operate or to any government, semi government or private body
they deem fir for execution and intent to partner in any or all of the above projects or services
mentioned or to be taken up in the future.

A probationary period can be set forth by either parities and as agreed by all interested parties
as a precursor for future collaborations.
Commitment to Partnership

1) The collaboration area includes but not limited to The Indian Sub continent and countries and
regions under the purview.

2) The partners agree to collaborate with each other and support leading to mutual benefits as
deemed fit by both interested parties.

3) Compensation for all partners' contribution to this project will be provided later as details of
each project will be worked out depending on the legal ramifications and financial laws
applicable in the region and country of operation.

4) We, the undersigned have read and agree with this MOU. Further, we have reviewed the
proposed project and approve it.
