KNOW ALL MEN BY THESE PRESENTS:

That, we, the undersigned, all of legal age and residents of the Republic of the
Philippines, have agreed to amend a general partnership under the terms and conditions herein
after set forth and subject to the provisions of existing laws of the Republic of the Philippines.

AND WE HEREBY CERTIFY:

ARTICLE I. That the name of the partnership shall be

PABORITEA CO.

ARTICLE II. That the principal office of the Partnership shall be located at Visayas Avenue,
Quezon City.

ARTICLE III. That the names, citizenship, and residence of the partners of the said
partnership are as follows:

 ATICLE IV. That the term for which said partnership to exist is 30 years from the
original recording of the said partnership by the Securities and Exchange Commission.

ARTICLE V. That the purposes for which said partnership is formed are as follows: 1.
to conduct business related to foods and services; 2. to promote healthy food, edible cups and
straws and other utensils; and 3. to foster eco-friendly and sustainable practices.

ARTICLE VI. That the capital of this partnership shall be Sixty Thousand Pesos,
Philippine Currency contributed in cash by the partners as follows:

That no transfer which will reduce the ownership of Filipino citizens to less than the required
percentage of capital shall be recorded in the proper books of the partnership;

ARTICLE VII. That the profits and losses shall be divided pro-rata among
the partners;
ARTICLE VII. That the firm shall be under the management of Mark Lester T.
Pedro as General Manager and as such he shall have charge of the management of the affairs
of the partnership.

ARTICLE IX. That the partners undertake to change the name of the
partnership immediately upon receipt of notice or directive from the Securities and
Exchange Commission should another partnership, corporation or person has acquired a prior
right to the use of that name or that the name has been declared misleading,
deceptive, confusingly similar to a registered name, or contrary to public morals, good customs
or public policy .

JOINT AFFIDAVIT OF UNDERTAKING TO CHANGE NAME

We, Mark Lester T. Pedro, Faith Jersen G. Asa, Alvinjean L. Agustin, Arjay L. Molina, Missy B.
Cortes and Jethro F. Linao, all legal of age, Filipinos, and residents of Quezon City, Bulacan, Davao City,
Nueva Vizcaya, Quezon Province, after having been sworn to in accordance with law hereby depose and
state:

We are the Partners of PABORITEA CO., which is in the process of registering its
corporate/partnership name with the Securities and Exchange Commission.

That we, in behalf of said corporation/partnership, hereby undertake to change its corporate
name as herein provided, or as amended thereafter, immediately upon receipt of notice or directive from
the Commission that another corporation, partnership or person has acquired a prior right to the use of
that name or that the name has been declared misleading, deceptive, confusingly similar to a registered
name, or contrary to public morals, good custom and public policy.

This affidavit is executed to attest to the truth of the foregoing and for whatever legal purpose
and intent it may serve
