SALE DEED

This deed of sale executed on this day of May - 2021 by s/o

, residing at District - herein after called as VENDOR,
which term shall mean wherever the context so admit mean and include his heirs,
executors, legal representatives, successors in interest and assigns of the one part;

TO AND IN FAVOUR OF

s/o , residing at hereinafter called as VENDEE,

which term shall mean wherever the context so admit mean and include his legal heirs,
executors, legal representatives, successors in interest and assigns witnesseth;

WHEREAS the Vendor is the absolute owner of all that piece and parcel of
movable properties morefully described in the schedule hereunder, herein after referred to
as the said property and the same is the self acquired and separate property of the Vendor;

WHEREAS the Vendor is in absolute enjoyment and possession of the said

property, he has been doing Cable T.V. business in the name and style “THOOPAMMA
DEVI Cable T.V.Network” obtained licence to do cable T.V. business from the Central
Government through Head Post Office at Krishnagiri and his current registration number
is H/CTV-122/2011 dated 23.6.2011. The Vendor has developed his cable T.V. business
by setting up a control room at _____________in a rented shop, he has installed all
necessary electronic and other instruments to do cable T.V.business, he has given 500
connections to the consumers residing in ______________through his own cable wires
and all other accessories attached to the each one of the cable connection.

WHEREAS the Vendor is in need of money for his personal expenses and he
has not been able to do cable T.V. business due to competition in the business and hence
he has offered to sell the said property morefully described in the schedule hereunder
and the Vendee has agreed to purchase the same for a total sale consideration of
Rs.3,00,000/-(Rupees Three Lakhs only) at Rs.600.00 per point(connection), inclusive all
the accessories attached to the each one of the point and control. The Vendor has also
handed over his original registration certificate(licence) to the Vendee issued by Post
Department for doing cable T.V. business and the Vendee is at his option to change the
said Licence in his name or to continue to do business in the name of the Vendor till the
expiry of the licence and get it renewed in his name after expiry. The Vendor is at his
option to continue the business in the name of “THOOPAMMA DEVI Cable
T.V.Network” or to change the name as he wishes. The Vendee has paid the entire sale
consideration of Rs.3,00,000/- to the Vendor as one time payment on this day;
 NOW THIS DEED OF ABSOLUTE SALE WITNESSETH that in
consideration of sum of Rs.3,00,000/- is paid to the Vendor in cash, the receipt of which
sum the Vendor do hereby admit and acknowledge and acquit the Vendee, the Vendor do
hereby grant, convey and transfer by way of absolute sale, the under mentioned property
with right, title, interest, claim, demands, directed or expressed to be, unto the Vendee
absolutely with all rights of enjoyment and possession regarding the property. The
Vendee shall henceforth be entitled to receive the profits and income without any
interruption and obstruction, eviction, claim and demand by the Vendor or any persons
claiming under them for ever;

AND THE VENDOR has full power to sell and absolute right to grant, convey
and assign the properties to the use of the Vendee morefully described in the schedule
hereunder may be quietly and peacefully entered into, held and enjoyed by the said
Vendee without any hindrance, interruption claim or demand by or from the Vendor or
his predecessors in title, one V.Murali of ‘Kishan Star Vision’ has filed a suit against the
Vendor and another seeking the relief of Permanent Injunction regarding the Cable T.V.
Business in O.S.No.______ on the file of District Munsif Court, and the same is pending
for disposal and the Vendee has to take care of the above said case hereafter in the name
of the Vendor or he can get into the case by filing necessary petition.

AND THE VENDOR do hereby declare and covenant with the Vendee that the
Vendor has not charged, mortgaged or otherwise encumbered the said property and that
no others have any manner of claim, right, title or interest in the said property and that
there are no suits, appeals, petitions pending in any court in which any question relating
to the property is in issue and that there are no attachments, proclamations and that there
are no mortgages, charges, liens, encumbrances on the property and the Vendor has paid
up to date all the property taxes and charges of the public nature and if there be any such
arrears, the Vendor do hereby agree and undertake to pay the same; The under mentioned
persons have attested the document as witnesses after knowing fully well the contents
and implications contained in the deed of sale.

Cable T.V. Network in the name and style “THOOPAMMA DEVI Cable
T.V.Network” functioning at _______ and 500 points of Cable T.V. connections to the
consumers residing in ____________ along with its accessories, cable wires, set-up
boxes, optic wires, Nodes, Amplifiers, Transmitter and so on attached to the cable T.V.
Net Work.
