 ADDENDUM

M&B Tools Services SAC admits that there were difficulties that prevented the rental of the
"Automatic Fill Tool" during the first two years of the loan from the lender, Esprit Petroleum
Limited, as detailed in Business Loan Agreement # 01-MB-EP. -2018, signed on March 16,
2018. Situation that was promptly communicated to the lender.
M & B Tools Services SAC, assumes the commitment and willingness to pay according to the
conditions stipulated in clause 8 of the Business Loan Agreement #01- MB-EP-2018.
Therefore, it corresponds to assume the payment of the entire US $ 30,000 loaned from the
lender, Esprit Petroleum Limited. In addition, interest at 15% for the first two years, of US $
4,500. The total owed being the sum of US $ 34,500.
Therefore, by mutual agreement, M & B Tools Services SAC and Esprit Petroleum Limited
sign a new agreement under the following terms and conditions:
1. The "Automatic Fill Tool" and usufruct that may be generated from it, as of the
signing of this addendum, is the property and responsibility of M&B Tools Services
SAC. Therefore, the clauses of the Business Loan Agreement # 01-MB-EP-2018 that
oppose this article are annulled.
2. M&B Tools Services SAC will transfer, within seven business days following the
signing of this addendum, to the bank account indicated by the lender Esprit
Petroleum Limited, the sum of US $ 8,000 as part of the payment of the total debt.
3. Regardless of whether or not M&B Tools Services SAC sells the automatic filling
tool, M&B Tools Services SAC guarantees that it will pay the lender, Esprit
Petroleum Limited, the balance of the principal owed, that is, US $ 22,000 plus
interest, US $ 4,500 for the first two years, no later than 36 months after the date of
signature of this addendum.
From the foregoing, it is understood that during the 36-month period no higher
interest will be generated than that stipulated in the previous paragraph. Therefore,
M&B Tools Services SAC guarantees that it will transfer a total of US $ 26,500 to
Esprit Petroleum Limited no later than 36 months after the date of signature of this
Annex.
4. Faced with controversies and non-compliance with this new agreement, both
parties will submit to the corresponding international courts, in order to avoid legal
biases.
5. Upon signing this agreement, M&B Tools Services SAC and Esprit Petroleum
Limited establish that the clauses of the Business Loan Agreement # 01-MB-EP-2018
that oppose the terms and conditions established in this addendum are annulled.
