Agreement

by and between
Adriano Zumbo and Steve Lewis (Gideon's Bakehouse)

Definitions

“Damages” shall mean any and all costs, losses, claims, liabilities, fines, penalties,
damages and expenses, court costs, and reasonable fees and disbursements of counsel,

Clause to protect Mr Zumo with damages that must be paid by Mr Lewis:

1.1 If Mr Lewis fails to purchase a minimum of fifty (50) cakes per month, and such
failure is not attributable to an act or failure to act by Mr. Zumo, then Mr. Zumo shall
have the right to sell the cakes left to complete the amount of fifty during that month, to
other bakeries located in the US.

And

1.2 If Mr. Lewis fails to purchase a minimum of fifty (50) cakes per month during three
(3) months of the same semester , then Mr Lewis shall pay to Mr. Zumo the sum of
FIFTY THOUSAND DOLLARS ($50,000 USD) as a compensation for the damages caused
to Mr. Zumo. Notwithstanding, Mr. Zumo may seek additional damages if the breach by
Mr. Lewis causes an injury in excess of the abovementioned value.

Clause to protect Mr Lewis with damages that must be paid by Mr Zumo:

1.1. If Mr Zumo fails to supply the cakes to Mr Steve Lewis with their respective Product
requirements and such failure is not attributable to an act or failure to act by Mr Lewis
(Buyer), then Mr Lewis shall have the right to purchase Cakes (Product) from sources
other than Mr Zumo giving Mr Zumo prior or contemporaneous notice.

And

1.3. If Mr Zumo fails to supply the cakes (Product) in its first ninety (90) days of supply
by Mr Zumo and such failure results in a Stock-out Shortage of cakes in Gideon's
Bakehouse, then Mr Zumo shall pay to Mr Lewis an amount equal to the then-current
full retail price of each cake of such undelivered Product.

1.2. If Mr Zumo´s failure goes beyond the first ninety (90) days, then he agrees to pay
the sum of THIRTY TWO THOUSAND DOLLARS ($32,000), as a compensation for the
damages caused to Mr. Lewis. Notwithstanding, Mr. Lewis may seek additional damages
if the breach by Mr. Zumo causes an injury in excess of the abovementioned value.

Mutually agreeable clause:

The Parties agree to pay a sum of TWENTY SEVEN THOUSAND DOLLARS ($27,000 USD)
as compensation for any damages caused to their counterpart in the case of breaching
any of the obligations stated under this Agreement. Notwithstanding, the affected Party
may seek additional damages if the breach by its counterpart cases an injury in excess of
the abovementioned value
