relationshipwith its introduced client, vendor, or placement agencies or companies with similar line
of business (Client). Vendoragrees that it will protect this relationship for the benefit of Mudrasys.
2. Vendor agrees that during the period vendor offers and / or provide services to Mudrasys or
Mudrasys’s client and for the period of 1 Year thereafter, the vendor will not, directly, or indirectly,
solicit or accept business or employment from Mudrasys’s client. Mudrasys agrees not to offer to hire
or hire the vendor’s introduced employee(s).
3. Vendor always agrees that either during the interview or thereafter identify himself / herself as a
representative of Mudrasys. And not represents himself as an independent consultant or a
representative of another agency for the introductions made in the Project search. Any violation of
this clause could lead to termination of the contract and / or legal implications.
4. Vendor agrees to put all efforts in delivering the consultant/ employee of the vendor
once they receive the confirmation. Consultant and his employer agree, there will be no
negotiation in rates after confirmation from client, on initial rate confirmation.
5. Thevendor and its introduced employee(s) agree not to use or to disclose to anyone any confidential
information regarding Mudrasys, learned during discussions prior to and / or during the performance
of service, without written permission, or, until such information becomes a matter of general
knowledge.
6. Vendoragrees that in case of breach or violation of the terms and conditions of the
agreement, the liquidated damages to be determined by the court oflaw.
7. Subcontractor agrees for a two-week performance guarantee as per the client
agreement and Consultant or Vendor company agrees that if the consultant is removed
for any reason related to performance during such

Mudrasys client or the End Client and the payment will be forfeited.
9. Subcontractor/Consultant must provide two (2) weeks’ notice to Mudrasys prior to
removal of a Subcontractor employee/Consultant from an engagement. Removal of a
Subcontractor employee/Consultant prior to the two (2) weeks’ notice will result in
forfeiture of two (2) weeks payment by Mudrasys to Subcontractor/Consultant.
