THIS DEED OF TRUST made on this 1st day of February 2021 by - …….(Name,
aged/about, resident of) hereinafter called the Author of the Trust, which expression
unless repugnant to the context or meaning thereof, includes their heirs, executors and
administrators, etc.,
AND WHEREAS the Author of the Trust is possessed of, and otherwise well and
sufficiently entitled to the sum of Rs.1,000/- (Rupees one thousand only) hereinafter
referred to as the said property.
WHEREAS the Author of the Trust irrevocably endowing the said funds upon Trust for
the Charitable purposes as hereinafter expressed and contained in this presents, and in
pursuance of such desire, have already transferred, paid and handed over the said
property to the Trustees mentioned below:
WHEREAS it is the desire of the Author of the Trust, that the corpus of the Trust may be
further augmented from time to time by flow of funds and other assets including movable
and immovable and any other kind, by way of gifts or donations, acquisitions, allotments,
grants, exchange or otherwise, etc.
AND WHEREAS the Authour desires to promote charitable educational, environmental,
social, agricultural, medical, cultural, livelihood, economic and other such activities for
the welfare of the society.
AND WHEREAS, the following persons were appointed to be the Trustees for holding
the said property in Trust for the purposes detailed here below:

NOW THIS DEED OF TRUST WITNESSETH AS FOLLOWS:-

3) NATURE OF THE TRUST: This Trust shall be an irrevocable Public Charitable
Trust to promote educational, environmental, social, agricultural, medical, cultural,
livelihood, economic and other such activities. The Trustees shall stand
possessed of the said amount of Corpus endowed by the Author of the Trust and
such other properties, both movable and immovable, as may be acquired from
time to time by the Trust, by purchase, exchange, grant, allotment, subscription,
endowment, donation, contribution or in any manner whatsoever (all of which
shall be designed as Trust properties) on the Trust herein mentioned.
4) OBJECTS OF THE TRUST:

a) To work for the all-round development and welfare of the people in educational,
environmental, social, agricultural, medical, cultural, livelihood, economic and
other such fields.
b) To start primary, higher-primary & secondary schools, colleges, training centres,
research centres, deemed universities, incubation centres, service centres, in any
or all the fields mentioned in the object-a herein above.
c) To bring, publish, sell, distribute books, periodicals, magazines, leaflets,
brochures, ancient scripts, papers, literature, and also to open and maintain
Libraries, Reading Rooms for the promotion of the objects of the Trust.
d) To organize Seminars, Workshops, Symposiums, Orientation Programmes, etc.
in any or all of the above fields.
e) To advance Indian Traditional culture, literature, science, Yoga, Ayurveda, the
Vedas, the Vedanta (philosophy), the Agamas, Shilpa Shastra (sculpture), Vastu
Shastra (Engineering & Architecture), Jyotish (Astro- Mathematics) and other
such branches for the benefit of one and all, by undertaking rejuvenation,
renovation, preservation, promotion and such other programmes.
f) To undertake environmental conservation programmes such as afforestation,
water harvesting, raising plant nurseries, development of botanical gardens,
rejuvenation of lakes and tanks, construction of check-dams, creation of
subsurface dykes, and the like to preserve and develop the natural resources.
g) To undertake human resources development activities such as providing
vocational training, livelihood programmes, women & children welfare, upliftment
of the weaker sections, providing relief to the poor, needy and deprived,
supporting physically challenged and destitute and similar other activities.

h) To take up research and extension programmes in agriculture, horticulture,
pisciculture, apiculture and allied fields.
i) To run health preservation and improvement activities like maintenance of
hospital, family welfare centres, conducting health check-up camps, provision of
nutritious food, providing financial assistance to poor patients for their medical
treatment, sanitation programmes, Yoga and Meditation camps and the like.
j) To form auxiliary bodies to administer institutions for the purpose and, objects
mentioned above.
k) To acquire and maintain the movable and immovable properties for achieving the
objects mentioned herein and undertake other necessary activities incidental or
conducive to the above goals.
l) To confer titles, felicitate or honour eminent personalities in any of the above
mentioned fields.
m) To realise any or all of the above objects as well as to take up activities
WITHOUT ANY PROFIT MOTIVE and without DISCRIMINATION OF CLASS,
CREED, SECT, GENDER OR RELIGION.
5) Number of Trustees:- The number of Trustees including the Author of the Truste
shall be 5 persons. The Board of Trustees shall invite and co-opt person/s to fill
the vacancy in the Board of Trustees for such period as they may deem fit and
proper.
6) Term of Office of the Trust:- The Trustees shall hold office for life, or for such
duration as may be specified by the Board of Trustees, whichever is earlier.
7) The President:- …. shall be the President of the Trust. The President shall be
the supreme Authority in all the matters of the Trust.
Duties of the President:-
a) Day to day administration of the Trust shall be looked after by the President
under the guidance, control and supervision of the Board of Trustees.
b) The President shall perform all functions, discharge such duties as or specifically
entrusted to him/her in writing by the Board of Trustees.
8) Vacancies:- Any vacancy among the members of the Board of Trustees may be
filled by the Board of Trustees subject to the condition specified in para-5 as
above.
9) Termination of the office of the Trustees:- Trustee shall cease to hold office:

a) If he dies;
b) If he resigns;
c) If he is adjudged insolvent or found guilty of an offence involving moral turpitude;
d) If he is found to have acted against the interest of the Trust;
e) If it is decided by the majorities of Trustees that his continuance in office is
against the interest of the Trust, as specified in para-6 above;
f) Upon expiry of the period upto which the Board of Trustees have nominated the
Trustee
10) Meeting and Proceedings of the Board of Trustees:- The Board of
Trustees shall ordinarily meet once in 3 months, or as often as may be necessary
for the satisfactory conduct of the affairs of the Trust. The President shall preside
over the meetings of the Board of the Trust. In the absence of the President, one
of the Trustees shall be elected to preside over the meeting.
11) Notice for Meetings: Seven days' Notice shall ordinarily be given in writing
by the Managing Trustee for a meeting of the Board of Trustees to every Trustee.
Urgent matters may be decided by the circulation of papers among the trustees
by getting their written opinion. The Notice of the Meeting may be served through
electronic media like emails and other means of modern communication.
12) Minutes: A minute book shall be kept by the Managing Trustee. Minutes of
entry into the office of every new Trustee and of all proceedings of the Meeting of
the Board of Trustees, shall be entered in the Minute Book, and shall be signed
by the President of the meeting and the Trustees present.
13) Voting:- Decisions of the Board of Trustees may be made at a meeting of
Board of Trustees, or by circulation of papers to them. Normal matters of routine
nature may be circulated and decisions obtained. The important matters are to be
decided at the meeting. All matters arising for disposal shall be decided by a
majority of the Board of Trustees present at the meeting. The President of the
Board of Trust shall have a casting vote in the event of equality of votes, in
addition to his own.
14) Powers, Functions And Duties Of Trustees:
A) All property/ies of the trust movable or Immovable of any kind shall vest in
trust. The trustees shall manage the whole properties and affairs of the trust
and shall have all powers, duties and functions necessary and proper and
incidental to the promotion and carrying out of the objects of the trust.

B) In particular and without prejudice to the generality of the foregoing the
Trustees, for the purposes of this Trust, have the following powers, duties and
functions:
a) To acquire by gift, grant, purchase exchange, lease or otherwise lands,
buildings or other immovable or movable property/ies.
b) To construct and maintain buildings, to alter, to demolish or improve them
and equip them suitably.
c) To accept gifts, donations, endowments and contribution/s for the trust
and shall be treated as the income of the trust.
d) To raise loans, to receive monies, securities or other movable properties
on behalf of the Trust.
e) To accept any trust, trust fund or endowment so long as the provisions of
such trust or endowment are in consonance with the object of this trust.
f) To award scholarships and make donation/s calculated to promote the
object of the trust.
g) To enter into contracts or engagements on behalf of the trust and to
consider such proposals submitted by the sub committee appointed by this
trust and allocate such funds if necessary for the implementation of the
programmes.
h) To make, sign, and execute all such documents, instruments as may be
necessary or proper for carrying out the management of the properties
and affairs of the trust.
i) To invest such monies and such funds of the trust and to vary the
investments as and when it may seen necessary or proper provided that
such investments shall be made only upon immovable properties or upon
securities as the board of trustees may deem fit under section 20 of the
Indian Trust Act 1882.
j) To appoint a committee/ committees of management for such terms and
with such powers as may be specified from time to time for carrying out
the routine management and affairs of the Trust.
k) To sell, transfer or otherwise dispose off any immovable property of the
Trust, provided that all the Trustees unanimously resolve that it is in the
interest of the Trust to do so, to sell or lease or mortgage or otherwise
dispose off any movable or immovable property/ies of the Trust.

l) To appoint such employees - staff, on such terms and conditions as the
Trustees may deem fit for carrying out the works of the Trust and exercise
control over such employees/staff including the power of suspension,
dismissal and removal.
m) To delegate to the managing Trustee or any appointed committee, such
power, duties and functions as arc vested in the Trustees.
n) To frame bye laws and such other rules and regulations as arc required for
achieving the objectives of the Trust.
15) Expenses: Out of the income of the Trust properties, the Trustees shall be
entitled to spend or incur the following expenses:
a) All rates, taxes, cess, assessments, dues and duties, if any payable to the
Government, to any municipal or other public bodies in respect thereof, or any
part thereof.
b) The premium for the insurance of the buildings or any other insurable property,
movable or immovable, for the time being, forming part of the Trust property.
c) The cost of ordinary repairs, and for providing any amenities to the building, for
the time being forming part of the Trust property.
d) The cost of making such addition, alteration or improvement/s, to or in the
building/ s forming part of the Trust property, as the Trustees shall think fit.
e) Wages and Salaries of any Manager, Supervisor, Accountant, Clerk, Servant or
other employees employed by the Trustees in carrying out the Trust activities.
f) Cost and expenses of keeping the Trust property in good condition.
g) Cost and expenses for installing and renovating the electrical and other
installations in the building for the time being forming part of the Trust property.
h) The fee payable in connection with legal, financial, architectural or other
professional engaged in the course of administration of the Trust.
i) All other costs, charges and expenses of and incidental to the management and
administration of the Trust property/ies, in accordance with the objects and
purposes mentioned hereinabove.
j) After deducting the costs, charges and expenses incurred by the Trustees as
aforesaid, out of the total gross income received by them from Trust property, the
balance that is the net income will be utilized for the objects of the Trust as will be
decided by the Board of Trustees.

16) Year: The year of the trust shall be from 1st April to 31st March.
17) Funds: All the Property and Funds of the trust shall vest collectively in the
trust and no individual member shall have any proprietary interest in them.
18) Utilisation of Funds: The funds and income of the trust shall be utilised
solely for the achievement of the objects of the trust and for the due
administration of its affairs and properties and in no circumstance it shall be paid
or transferred to the members by way of dividends, bonus, profit, interest, etc.
However, nothing contained therein shall prevent the payment made in good faith
as reimbursement of any expenditure incurred by any member of the trust or any
remuneration or allowance or giving of residential accommodation or any
perquisites to any Trustee in connection with the work carried out by him for the
purpose of the Trust.
19) Bank Account : The Board of Trustees may open such Bank Account or
Accounts in any of the Bank/s, financial institutions, cooperative societies in the
name of the Trust and such account shall be jointly operated by the President and
by any other person duly authorised by the Board of the Trust. Further, The Trust
may open Bank account or accounts in the name of the Institution or organization
or committee founded by the Trust. Such Bank accounts shall be operated by
such person/s as authorized by the Board of Trustees from time to time .
20) Quorum: The quorum for the meeting of the Board of Trustees shall be 3
and for the adjourned meeting no quorum is required.
21) The Benefits: The benefits of the trust shall be open to all irrespective of
caste, creed, gender or religion.
22) Investments: The funds of the trust shall be invested in the modes
specified under the provisions of Sec. 13(1) (d) read with Sec. 11(5) of the I.T.
Act, 1961, as amended from time to time.
23) Indemnity: The trustees shall be kept fully indemnified and harmless by
the Trust against any action, claim, demand or liability arising against them for
anything done by them in good faith pursuant to the power and authority vested in
them under these presents.
24) Legal Proceedings:- The Board of Trustees may, by a resolution passed
specially or generally in that respect, any time authorise, by a power of attorney
or otherwise, the President or any other Trustee to represent the Trust:

a) In any suits or proceedings, legal or otherwise, instituted by or against the
Trust;
b) For entering into any agreement or contract or in executing and/or registering
any document;
25) Defects In Procedure:- No act of the Trustees shall be invalidated by
reason only of any vacancy in the Board of Trust, or any irregularity in the Board
of Trust or any committee thereof.
26) Accounts & Audit: The Trustees shall maintain a true and correct record of
the receipts, payments, income and expenses and transactions of the Trust. The
Books of Accounts of the Trust shall be audited by a Qualified Auditor or a
Chartered Accountant every year. The audited statements of accounts shall be
filed with the Concerned Authorities.
27) Amendments : If it is found that any alteration, addition, modification or
deletion of any of the provisions of this Trust Deed is imperative or essential for
achieving the objects of the Trust, then the Board of Trustees may approve such
alteration, addition, modification or deletion by a resolution passed in its meeting
with the approval of 2/3rd majority of the Board of Trustees present and voting,
and such rules and bye laws shall not be inconsistent with or repugnant to aims
and objectives of the Trust. No amendment to the Trust Deed shall be done
which may prove to be repugnant to the provisions of Secs. 2(15), 11, 12, 13 & 80
(G) of the I.T. Act 1961, as amended from time to time. Further, no amendment
shall be carried out without the prior approval of the Commissioner of Income-
Tax.
28) Dissolution: In the event of dissolution or winding up of the trust the assets
remaining as on the date of dissolution shall under no circumstance be distributed
among the trustees but the same shall be transferred to another charitable trust
or society whose objects are similar to those of this trust and which enjoys
recognition u/s 80(G) of the I.T. Act 1961, as amended from time to time.
29) First Board Meeting & Election of Office-bearers: The Board of Trustees
shall meet within one month from the date of registration and shall elect the
Office-bearers.
