Memorandum of Association Young Intellects

(Registration under Societies Registration Act, XXXI of 1860)

1. Name of society:
The name of the society shall be YOUNG INTELLECTS which shall be registered under Societies
Registration Act 1860.

2. Registered Office of the Society


The registered office of the Society shall be situated at Peshawar in the address H NO # 312 st18 sec F18
Phase 6 Hayatabad.

3. Area of the Operation of Society


The area of the operation of society will be the whole KPK.

4. Aims and Objectives of the Society (as must be falling under


Sec 20 of the Societies Registration Act)
(i) Young Intellects is a youth orientated society aiming to work for betterment of society.
(ii) It is based on the principle of youth empowerment.
(iii) Its sole purpose is to carry out, execute, implement, aid and assist social work and positive
activities of personal development of youth through different productive meaningful
activities.
(iv) Its sole purpose is bring about a social and moral revolution in the walks of life by
empowering the youth of the society.
(v) To produce individuals, who will have the capacity to play an effective role in the
development of the society.
(vi) To identify the needs of skill development n youth including taking steps to prepare catalogue of types
of skills, range and depth of skills to facilitate choice to individuals.
(vii) To work for betterment of society upbringing youth through compassion, empathy and
developing the spirit of social responsibility in youth.
(viii) Its main aim is to bring about social change and reform the society in which we live generlyy
and specially through working in the below mentioned areas
 Education
 Patriotism
 Personal Development
 Culture
 Social Reform
(ix) Our aim is to capacitate the youth with beneficial skills in order that they become capable
enough to play a dynamic and constructive role in their society.
(x) While maintain and instilling a sense of patriotism our basic aim is to inculcate a spirit of
loyalty and love for Pakistan into the hearts and minds of the youth.
(xi) In the domain of Personal Development our vision is to bring out the hidden capabilities of
the youth and polish them so that their talent can be converted into actual positive work.
(xii) In the culture field our goal is to promote our country’s culture and traditions in order to
conserve Pakistan’s grand Cultural Heritage.
(xiii) In the domain of Social Reform we aim to bring about a gradual and progressive
reconstruction and refinement of the society in a positive way ultimately resulting in a Social
Revolution.
(xiv) To provide social leaders to the society who are a source of drastic change trough positive
attitude and leadership.
(xv) To eradicate the evils of society which are causing harm to youth and its carrier.

5. Governing Body :
The names, addresses, occupation and designation of the present members of the governing body to
whom the management of the society is entrusted as required under Section 2 of the Societies Registration
Act, 1860, are as follows:

Articles of Association:
1. Name of Society:
The name of the society shall be YOUNG INTELLECTS which shall be registered under societies
registration act 1860.

2. Registered Office of the Society:


The registered office of the Society shall be situated in H No 312 Street 18

3 Area of Operation of Society:


The area of the operation of society will be the whole Khyber Pukhtunkhuwa .

4. Definition Clause:
Until its inconsistent with the subject or context in which it is used

(i) “Act” means the Society registration Act 1860 under which the society is to be registered.
(ii) “President” mean an office holder as appointed by the director of the society who will be the
head of the society
(iii) “General Body” shall mean body of senior members of the society
(iv) “Governing Body” shall mean the body as constituted under the rules and which shall be the
body to look after the overall administration and management of the affairs of the society.
(v) “General Body Members” shall mean a member who is the member of the general body.
(vi) “Director” means an office bearer who is the senior most member and shall be nominated
by the executive members for a period of three years .
(vii) “General Secretary” is a person who is appointed by President and Director in consultation
with Director.
(viii) “Secretary” shall mean the secretary of the society , the details of which are prescribed in

(ix) “Executive member” means a person who is one of the founding member of the society.
(x) “Ambassador” means a member who is in charge/representative of a campus.
(xi) “Member” shall mean any person who becomes a member in accordance with the Rules and
shall include all classes of members.
(xii) “Month” shall mean calendar month of Gregorian calendar

7. Powers of President:
(i) The President will be the head of Society.
(ii) President will appoint General Secretary after consultation with Director.
(iii) Every year new president will be appointed by the Director of the society after consultation
with members of executive committee.
(iv) The president will have the power to grant membership.
(v) The president will have to power to cease membership of a member if any member violates
the rules and regulations as prescribed by law.

8. Powers of the Director:


1. The Director will assist President in his affairs.
2. The Director will be the member of executive committee.
3. The director will be appointed for a period of 3 years.

9. Powers of the General Secretary:


(i) The general secretary will look into affairs of society in absence of the president.
(ii) The general secretary will give advice on the membership application form to the president on his
power to grant membership.
(iii) The General Secretary will be the head of society of officiating basis in the absence of president

10. Power of Finance Secretary:


(i) Finance secretary will be in the in charge of the financial matters of society.
(ii) He will try to generate donations and create funds for society.
(iii) He will submit a report to the president of all the expenses of the society at the end of biannual
session.

11. Power of Press Secretary:


(i) The press secretary shall be responsible for publications of the society
(ii) He shall also be the in charge of writing and drafting resolutions which will be kept in front of
General Body
(iii) He will also be responsible for maintaining the records of all the meetings
12. Power of Treasurer:
(i) The treasures will be the in charge of all monetary functions of the society.
(ii) All the assets and funds of society shall remain under the care and management of treasures if the
society.
(iii) The treasurer shall maintain the accounts and vouchers of all the money which is recovered or
paid by him on behalf of the society.

13. Rules and Regulations:


(i) Every year new president will be appointed by the director after consultation with members of
governing body of society.
(ii) There will be general body that will be the decisions making body comprised of the President
Director and Executive Members.
(iii) The chairperson of the core committee will be the President.
(iv) There will be an ambassador of each institute where there will be a team of Young Intellects.
(v) The ambassadors will be answerable to General Secretary about the affairs of society in their
respective campuses.

14. Meetings:
(i) At least one meeting of the governing body is to be held every month compulsorily
(ii) The meeting is not be conducted until there is 1/3rd of the quorum.
(iii) A meeting can be called on urgent basis to create consensus on any matter or program.

Membership:

15. Qualification of members:


(i) Every young and motivated person who is a student an educational institute can become its
member.
(ii) As per constitution it is a student society so every student can become a part if it.

16. Rights & Privileges Of Member


(i) Every Member shall be entitled to participate in the meetings cultural or/ and educational
functions and other lawful gatherings, called/ arranged by the society.
(ii) Every member have right to collect the identity card after depositing the required/prescribed
fee (fixed by the Governing Body).
(iii) Every member of a campus will have the pro tempore membership of the executive committee of his
respective campus.
(iv) The members will elect the governing body of the society on annual basis.
(v) Shall have the right to give their considered view/opinion suggestion to the governing body which
may help in furtherance of the objects of the society and its smooth functioning
(vi) Shall have the right to obtain information concerning the affairs of the society after giving seven
days notice.
(vii) Shall have the right to attend general meeting f the society, provided he is not restricted by any
resolution of bill
(viii) May vote in favor or against any resolution of General body with the permission of president
(ix) Every expelled member shall have the right to prefer and appeal to the general body for re admission
against the reason of expulsion and decision of the general body shall be final provided that a
member who is in arrears of subscription at the time of voting and /pr against whom any disciplinary
action is pending shall have no right to vote unless he pays all the arrears and / or disciplinary action
is decided finally in his favor under these rules
(x) Shall be entitled to challenge for any irregularity in the accounts and other records of the society and
can refer it to the President

17. Duties of the members:


Every member of the society shall

(i) Administer the oath of the office and loyalties to the society and/or its constitution.
(ii) The ambassador will be answerable to the General Secretary about the progress in their respective
campuses.
(iii)Attend the General Body meetings.
(iv) Give the necessary information to the society pertaining to any matter which is necessary
to be known by the society.
(v) Not indulge in activities which are prejudicial to the interest of the Rules & Regulations
of the society.

18. Termination of Membership


(i) After the completion of a member academic career the membership of every member will stand
dissolve.
(ii) Member of any member can be terminated if any member is found guilty of doing any act which
may cause harm to the reputation or good will of society.

19. Register of Member


(i) The Society shall, at all time, maintain and keep available for inspection by the IG,
Registration, a Register of Members at its registered office, which shall be the permanent
record of the Society and shall contain the names and addresses of the members, the date
on which the member was admitted and the date on which member ceases to be member.
(ii) All changes taking place in the membership from time to time. Such other information as
is relevant and for which decision is taken by the Governing body from time to time.
20. General body
(i) The general body shall consist of all the members of the society mentioned in the
Register of Members who are not disqualified by any prior resolution governing body
and who are not in arrears at the time of the meeting of General Body
(ii) General Body meeting shall be held once in every year (or as and when the generalbody
may decide from time to time’
(iii) The first meeting of the general body shall be held at its registered office. The president
to conduct the meeting shall be elected form among the members present, prior to
commencement of such meeting
(iv) Minimum five day notice shall be given to the members before the date of the general
body meeting , enclosing the agenda specifying date, time place and issues to be
discussed

21. Funding
(i) The society will generate its funds through sponsorships and donors. The donors will be
leading organizations and other government t departments. It can also generate the funds
from individual donors on its projects.
(ii) There will be a record book for the donations generated at for the society which will be
monthly updated through the governing body members
(iii) The governing body will be entitled to check register and call up an inquiry for the finds any
time in the annual fiscal year.

20. Audit
(i) The society records shall be checked by a qualified auditor ( Chartered Accountant )

21. Annual Report


(i) The financial year of the society shall start from 1st of the July and shall end on 30th June of next
year. A copy of the report of the last financial year of society shall be left conspicuous at the
office of the society.
(ii) The governing body shall submit a report on the working of the society annually to the
appropriate governmental authority if called for. Such report shall contain details of all the
workings of the society with the balance sheet duly audited showing the income and expenditure
of the society during the said year.

22.Annual list of Governing Body


(i) Once in a every year a list of office bearers and executive members of the Governing Body
shall be filled in the office of the registrar of Societies Peshawar within the fourteen 14 days
of the annual general meeting of the society.
23. Legal Proceeding
(i) Any suit or other legal proceeding by or against the society may be filled contested defended or
conducted on its behalf either by president if the secretary or by any other person authorized by
the governing body of the society. Any pleading or other document in connections there with may
be signed and verified by any such person on behalf of the association.
(ii) The power will also include the appointment of the Advocate /s, Attorney/s etc for this purpose
24. Governing Body :
The names, addresses, occupation and designation of the present members of the governing body to
whom the management of the society is entrusted as required under Section 2 of the Societies Registration
Act, 1860, are as follows:
