LETTER OF INTENT TO BUY

________________ (“Buyer”) offers to purchase the Property (as

hereinafter defined) in accordance with the following terms and
conditions:

1. Property. The property ("Property") is located at _________________

and more particularly described in Exhibit A, attached hereto and
made a part hereof. Together with the Property, Buyer would also
purchase all of Seller’s right, title, and interest. Additionally, this
offer includes the following specific items regarding the Property:

3. Additional Terms of Purchase. Buyer will shoulder the Capital Gains
Tax, Documentary Stamp Tax and all other fees required for this
transaction.
4. Deed of Absolute Sale. Upon acceptance by the Seller of the Letter of
Intent, the Buyer will prepare a Deed of Absolute Sale incorporating
the terms and conditions of this Letter of Intent.
5. Conditions Precedent to Closing. Among other conditions to be
specified in the Deed of Absolute Sale, Buyer’s obligation to close the
transaction shall be subject to Buyer’s receipt of title to the Property
free and clear of liens and encumbrances.
6. Effect of this letter. This Letter of Intent is not intended to be a
legally enforceable agreement and no cause of action shall arise in
respect of the signing hereof.
7. Offer Expiration. If not executed by Seller, this Letter of Intent shall
be automatically terminated as of _______________.

Each of Buyer and Seller acknowledge and agree that this Letter of Intent
shall be superseded by the Deed of Absolute Sale.

Please sign the enclosed copy of this Letter of Intent and return it to us
as confirmation of the status of our negotiations.

We will then begin drafting the Deed of Absolute Sale.
