Dear Sir,
With reference to above references and subsequent discussions you had with us on 17/06/2021, we are
Sacrificial
pleased to confirm our intent to place LOI on you for Supply, Fabrication and Erection of
Shuttering arrangement for Composite Steel Girders for our Elevated Road Project under JDA at Jaipur,
Rajasthan as per terms, conditions, specification, scope of work, drawings, materials data sheet, etc.
mentioned here-in-under and Bill of Quantities enclosed as Annexure-"A". Your rate as furnished in the
enclosed Bill of Quantity is final for the item of work, excluding GST. The rate shall remain firm tll
completion of your entire scope of work.

1) TERMS OF PAYMENT:
a) Procurement of Steel-> 70% against proforma Invoice and secured advance received from Client.
b) Fabrication of material-> 20% after despatch of materials
at site.
c) Erection ofstructure-> balance 10% after erection in all respest.
d) TDS ill be deducted as per IT Act.
e) No Retention money will deduct from your bill / payment.

Mode of measurement will be as mentioned elsewhere in the LOI. The above payment break-up is to
only facilitate interim payments to you and shall not be construed as completion of your scope or part
thereof. Payments shall be released to you within 7 days from the date of receipt of payment from JDA
against your scope of work and on submission of your tax invoice along with weightment slips and LR
copies and based on quantities & measurements as enter in the MB by client JDA.

We will provide our consent to our principal client JDA to release payment directly to you as per your
matured stages and terms of this contract from any of our due payment from JDA in case of exceeding
time line of payments.

2) TAXES&DUTIES:
Tax Involce has to be raised / Issued compulsorly containing all the requisite mandatory particulars as
prescribed under GST Law. The Invoice, In case of taxable supply of services, shall be issued within
period of thirty days from the date of supply of service. The GST charged for such supply has to be duly
pald by you to the credit of the Government In sync with the 'time of supply' and "place of supply Rules.
The detalls of your involces as uploaded in GSTR 1 by you will be matched online with Simplex's
declaratlon under Formm GSTR 2 and in case of any mismatch due to any misinformation in tax invoice
non-compllance at your end, an amount corresponding to the loss of credit in the hands of Simplex
(along with corresponding interest charged, If any) would be withheld/ recovered from you.

3) MODE OF MEASUREMENT:
Mode of measurement will be completely on a back-to-back basis as we have with our lient, JDA. We
shall ralse our involce for your portion of the work on our client JDA and the quantity as approved and
pald by them to us shall be considered by us as work done by you and payment to you shall be released
accordingly.
4) APPROVAL OF MATERIAL:
You shall get all your materials to be used for your scope of work approved by us & our dient including
make, manufacturer etc.

If, as a result of inspection and/ or testing, we/JDA determines that the material(s) are defective or
otherwise not In accordance with the specification, we shall reject the material(s) and shall notify you
thereof Immedlately. You shall then promptly replace the material or make good the defect, as desired
by JDA to their entire satisfaction.

The materals must be as per drawing, specification etc duly sand blasted and painted.

5) DESIGN/DRAWING:
The responsiblity of issuing Design Drawings will be in our scope. You shall prepare and submit detailed
working drawings (shop drawings) to us for our onward submission to JDA.

6) EIXED PRICECONTRACT:
This is a fixed price contract and the rate as mentioned in the Bll of Quantity shall hold good till
completion of the works including any extended period of work and no escalatlon, additional claim or
amount shall be payable / admisslble on any account and under any circumstances what-so-ever
including Increase In minimum wages of workers, fluctuation of rates of materials, plant, increase in any
taxes, duties, levies, fees, royalties, etc.

7) EXTRAITEMOF WORK:
If any Item of work not covered in the Bll of Quantities are to be operated, you shall, on receipt of
instructions from us be bound to carry out such works. On recelpt of our instruction to carry out an extra
Item of work, you shall make an offer to us for carrying out such work. We will submit our offer to our
clent on the basis of your offer after including our expenses and a coordination fee as decided by us.

Your rate shall be decided by us based on our approved rate after making necessary adjustment against
Our expenses and coordination fees. Our decision in this regard shall be final and binding on you.
However the quantum of such work will not be more than 5% of contract value.

8) VARIATION IN QUANTITY OFITEM:

The quantity of item shown in the Bill of Quantities is approximate and is liable to vary upto 10% (+or
)during execution of work. You shall be bound to carry and complete the stipulated work, irrespective
of the variation in item specified in the Bill of Quantities. However, your unit rate shall remain firm
irrespective of such variation.

9) SUFFICIENCY:
You agree that you have satisfied yourself as to the correctness and sufficlency of the rate stated in this
LOI. Your rate cover yours entire obligation under this LOI, all risks and costs etc. You have
acknowledged that you had full opportunity to check and examine the conditions prevailing on the site
and you fully understand the nature, quality and scope of your work. You shall take full responsibility for
the adequacy, stability and safety of all the site operations and of all your works irrespective of any
approval or consent by us and / or our client JDA and shall not raise any claim for additional cost and/or
time on any such ground.

10)SAFETY, CARE&USAGEOF MATERIALS:

If any loss or damage happens to the Works, or any part thereof, or materials for incorporation therein,
during the period for which you are responsible for the care thereof, due to any reason whatsoever, you
shall, at its own cost rectify such loss or damage so that the Permanent Works conform in every respect
with the provisions of the scope of this LOT, to the satisfaction of JDA. You shall also be liable for any
loss or damage to the Works occasioned due to the above reasons in the course of any operations
carried out for the same for the purpose of complying with the obligations laid down in this LOI.
You shall take all necessary care, protection & safety of your materials and those supplied by us. You
shall promptly replace any materials wasted, damaged, lost, misplaced etc. by you. In case you fail to
do, the same shall be carried out by us at your risk & cost.

11)TIME COF COMPLETION

i)Time is the absolute essence of this LOI. You shall complete your entire scope of work in all respect.
Detailed completion schedule/ delivery schedule as below:
a) 1 span till erection by 30th June 2021.
b) 2 span upto erection by 15h July 2021.
c)3 span upto erection by 30th July 2021
One span means both side LHS & RHS.

12)SAFETY, HEALTH AND ENVIRONMENT:

You shall maintain the site in a cean manner and shall strictly comply with the safety, health &
environmental requirement of Client JDA. The workmen shall be provided with appropriate personal
protective equipments and shall be engaged in work only after the induction training. If any penalty is
imposed by our client on us due to safety violation on your part, the same shall be recovered from your
bills

13)C0-OPERATION WITH OTHER AGENCIES

You shall not have exclusive use of the
site or any part of the site for the works and shall be
coordinate the works with the works of other contractors required to
to meet timely completion
at no extra cost.

14)INSPECTION OF wORK:
It shall be your
responsibility to get your work/activities
Railways/ RDSO during different stages of work. You shallinspected
maintain
by our engineer, our client JDA and
& submit us all joint records
same along with
your invoices. Our representative and our client JDA shall have the of the
your workshop anytime during the working hours, even without authority to visit
intimation and you shall fully
cooperate in providing them full access for inspection of your work. prior
15) Liasoning with the Railway Department for any
requirement shall be in your scope.
16) You have to arrange all
necessary equipment and tools during erection including power supply
arrangements, fastening arrangements i.e. HSFG bolts fixing will be in your scope including
procurement.

17) Defect liability period:

Defect liability period wll be of 6 (six) month from the date of completion of P&R scope of work.
18)GENERAL TERMS &cONDITIONS:
i. The item rate as mentioned in the Bill of
Quantity is deemed to include the cost of all materials,
tools & tackles, appliances, consumables, etc. to be
out the same from the project
deployed by you. You will be permitted to take
premises on specific request from you after satisfactory completion
of work.

. No compensation shall be paid to you whatsoever on the

account of rain, epidemic and / or any
other interruption / disturbance due to Force
Majeure Condition.
ii. All works executed by you shall be to the entire
satisfaction of our
authorized representative nominated by him for the execution of work.Project-in-charge
and /or the

iv. You shall abide by all the decisions of Project-in-charge at site and / or the authorized
representative to be nominated by him for the execution of the work.

V. Any defective/sub-standard quality of work not acceptable to us/ our client JDA shall be
immediately got redone/ rectified at your own cost and nothing extra shall be payable to
this account whatsoever. you on

Vl. The number of workmen to be deployed by you from time to time in

connection with execution of
work shall be solely decided by our
Project-in-charge and/ or the authorized representative
nominated by him from time to time and his decision in this regard shall be final and
you. binding on
Vii. Only selected workmen having proven track record of working of fast pace
shall be mobilized to work site. This is absolutely essential for ensuring good quality
the project where time is the essence of contract.

vil. You shall ablde by all relevant labour
laws/rules/provlslons of the State/Central Government
Including the Contract Labour (Regulatlon &Aboltlon) Act, Minlmum Wages Act, Paymentof
Wages Act, Fectorles Act, Employees Provldent Fund and Miscellaneous Provislons Act, Payment of
Bonus Act,Workmen Compensatlon Act and E.S.I. Act etc, of the State and as per terms of
settlement lkely to come intoforce wlthin the project slte and/or such Act (s)/ settlerment as may
be enforced by the State / Central Government from time to time.

You shall certily that all the statutory requlrements have been compled with. If any cost for
compllance of labour laws of your part Incurred by us same wll be recovered frorm your monthly
blls/dues/etc.
X. Payment of wages to all your workers shall be made by you every month to our entlre satlsfactlon
not later that 10h of the next month. Payment to be made to your workers shall have to be got
witnessed from the authorlzed representatlve nominated by us as well as the Princlpal Employer
and endorsement to this effect shall be obtained In the wage (s) sheet (s).
Payment to your labourers shall, in no case, be tagged or co-related with the receipt of payment,
agalnst your monthly bll{(s) from the company.
In case you and/or your workmen leave the site without completing the work assigned to them,
We shall be at llberty to get the work done from any other Contractor(s) or Agency(les) at your
risk, cost and responslblity, The amount so incurred by us shall be recovered from your
outstanding blls and cash retention/or from your plant/equlpment available at our slte.
Xll. All lablitles under the law for the time being in force in respect of any labour employed by you
and any expendliture Incurred by us on that account shall be payable by you. You shall at all tmes
Indemnity us against all claims of compensation in respect of any workmen employed by you.
xill. You shall take all suitable steps for securlty and safety of your workmen as well as our property
and/or our client's property
xiV. In the event of any difference or dispute arlsing out of or in connection with this LOI, the same
shall be first amicably settled by mutual dlalogue. If the partles fall to settle thelr differences or
dispute arlsing out of or In connectlon with this LOI (including interpretation of the terms thereof),
the same shall be referred to arbltratlon. The arbltratlon proceeding shall be conducted by a Sole
Arbitrator appolnted through mutual consent of both partles and the awards/ decislon of such
Arbitrator shall be final and binding upon both the partles. The venue of the arbltration shall be at
Jalpur. However, you will not stop the work during the pendency of the proceedings/and shall
ensure that such work is proceeded.
This LOI is belng issued to you subfect to approval of your company for the job by our Clent JDA.
You are requested to contact our Project-in-charge at our JDA
Flyover site at Jalpur and take up activities.
Detall order shall be issued to you in due course of time. In the
meantime, this Letter of Intent is being
issued to you in duplicate. The duplicate copy may please be returned to us, duly stamped
and
you as a token of your unconditkonal acceptance of this LOI. signed by
