Duties of Directors

The Duty of Directors is given u/s 166 Companies Act

1. The Director has to act in accordance with the Articles of Association but not contravene the
provisions of the Companies Act
2. A director is to work so as attain the objects of the Company and work in the interests of the
Company, members, shareholders and society
3. A director has to act with due skill and care diligence and has to exercise independent
judgement
4. A director shall not act in such a manner that there may arise a conflict of interest with the
company’s interest
5. Director shall not attain undue gain for himself or for his aides and if he does so he shall be
liable to pay an amount of the gain
6. A director shall not assign his office
7. Contravention of his duties shall be punished with fine ranging from ₹ 1 Lakh to ₹ 5 Lakh
