PROMISSORY NOTE

March 1, 2019

FOR VALUE RECEIVED, the undersigned, Xentric Toons, Inc (Borrower), with office
address at 4th Floor, Tower 2 The Enterprise Center, Ayala Avenue corner Paseo de Roxas,
Makati City, represented in this Act by its President, MR./MS.………………….., who hereby
represents under pain of Perjury, that he/she has been duly authorized by the Board of Directors
by way of a Board Resolution, a copy of which is attached hereto as ANNEX “A” and is
incorporated herein as integral part hereof, hereby promises to pay to Inocentes Realty and Sales,
Inc. (Lender), with office at No. 19 Marunong Street, Central District, Quezon City, the principal
sum of TWO MILLION PHILIPPINE PESOS [PHP2,000,000.00], with THREE PERCENT
(3%) monthly interest thereon payable in 12 months at monthly installments broken down as
follows:

The undersigned also commits and undertakes that postdated checks shall be drawn,
issued, made and delivered to THE LENDER in accordance with the above-enumerated amounts
and postdated as so indicated.

2. Security.

(a) This note is secured by (1) a Memorandum of Agreement made and executed with THE
LENDER on February , 2019 at Quezon City, a copy of which is attached as ANNEX “B”,
and (2) all contracts, proceeds or payments made by clients in favor of Xentrix Toons Inc.
 IN WITNESS WHEREOF, Borrower has executed this promissory note on the date set
forth above.
