This Lease Deed is executed at New Delhi on this 04th day of May, 2020

U45400DL2007PTC162243], a company incorporated under the provisions of
Companies Act, 1956 having its registered address at GF-09, Plaza M-6,
District Centre, Jasola, New Delhi - 110025 hereinafter referred to as “Lessor”,
which expression unless repugnant to the context or subject shall include its
representatives, successors and assigns.

AND

ZR Management Private Limited [Corporate Identification Number


U74140DL2015PTC284004], a company duly registered and incorporated
under the Companies Act, having its registered office at 8B, 80 SFS Flats,
Greenview Apartments, Mayapuri Marg, New Delhi, hereinafter referred to as
“Lessee” which expression unless repugnant to the context or subject shall
include its representatives, successors and assigns.

WHEREAS Lessor has developed a commercial complex named „Plaza at


106’ on land measuring 3.725 acres situated at Dwarka Expressway, Sector 106,
Gurugram (hereinafter referred to as the “Said Complex”) under License No. 65
of 2012 granted by Directorate of Town and Country Planning, Haryana.

AND WHEREAS Lessor has received Occupation Certificate bearing Memo


No.ZP-833/AD (RA)/2019/29245-251dated 28.11.2019 in respect of Towers A,
B and C of said complex.

AND WHEREAS Lessee is engaged in business of providing Long Stay


Accommodation Facilities of high standard under the brand name “CoHo”.

AND WHEREAS Lessee wishes to take some units in said complex on lease
for its aforesaid business. Parties hereto have discussed the matter and arrived at
an agreement, terms and conditions of which are as under:-

NOW THE PARTIES HERETO HEREBY DECLARE, UNDERTAKE


AND AGREE AS UNDER

1. Lease:

Lessor hereby grants Lease of Units (particulars of which have been


mentioned in Schedule A, attached hereto and are hereinafter referred to
as „Scheduled Units‟) in said complex i.e., „Plaza at 106‟, Sector-106,
Gurugram on „as is where is‟ basis to Lessee. Parties hereto may by
mutual consent add more units in Schedule A from time to time for
bringing such added units within the scope of this agreement. As and
when further Units are added, parties hereto shall sign amended/updated
Schedule A.

Persons who will use the facilities/services provided by Lessee in


Scheduled Units are hereinafter referred to as „Facility Users‟.

Specifications of the Scheduled Units are contained in Schedule B


attached hereto.

2. Tenure of Lease:

a) This agreement shall be effective from the date of execution of this


agreement and will continue till 31st May 2029. This agreement and
lease of all Scheduled Units shall terminate on 31st May, 2029 by
efflux of time. Any renewal of lease thereafter shall be on the terms
and conditions mutually decided by the parties.

b) Presently there is nation-wide lockdown in wake of spread of


Covid-19. Lessor will handover possession of Scheduled Units to
Lessee within 45 days of lifting of Lock-down completely.

c) Prior to handing over possession of Scheduled Units to Lessee,


representatives of both lessor and lessee, will jointly inspect the

Units. Possession of only such units, which are complete for use,
with functional air-conditioner(s) installed therein, will be handed
over to Lessee. In case Lessee points out any defect or short
coming in any unit prior to accepting possession of thereof, Lessor
shall remove the defect(s) at the earliest and thereafter possession
of Unit will be handed over to Lessee after joint inspection of
representatives of both parties.

d) Lease for concerned unit shall commence with effect from expiry
of 45 days from the date of handing over possession of Unit by
Lessor to Lessee or from the date when Lessee starts its operations
in said Unit, whichever is earlier (“Lease Commencement Date”).

e) Period of first five years from Lease Commencement Date of each


of the Scheduled Unit shall be lock-in-period for both the parties,
during which neither of them shall be entitled to terminate this
deed. However, after expiry of the aforesaid Lock-in-Period both
the parties shall be entitled to terminate this lease after giving 6
(six) months prior written notice to the other party.

3. Rent:

a) During the tenure of lease, Lessee shall pay Minimum Guaranteed


amount or Lessor‟s share in net revenues, whichever is higher, per
month to Lessor towards rent for Scheduled Units.

b) Following terms used in this agreement shall have following

Facility Users, whether it is called rent or fee or otherwise;
(ii) providing food and beverages to Facility Users or
outsiders; (iii) other services like laundry services, etc.(iv)
conducting any kind of promotional activities/campaign],
generated by Lessee from Scheduled Units every month after
deduction of Taxes Like GST. Amount payable by Lessee as
Common Area Maintenance Charges for 19th and subsequent
months of lease shall be deducted while calculating Net
Revenues for said months.

Lessee has pointed out that Food and beverages, other


services like laundry services will be provided of Facility
Users directly by third parties. Lessee confirms that if lessee
generates any income from these sources, same will be
included in Net Revenues.

(iii) Lessor’s Share in Net Revenues: 50% (Fifty Percent) of Net


Revenues

c) Aforesaid rent is exclusive of Goods and Service Tax, which as and
if applicable as per law shall be payable extra by Lessee in
accordance with law.

4. Electricity, Water and Common Area Maintenance Charges

a) During the tenure of lease, in addition to rent stated above, the


following charges shall be collected from the Facility Users: -

(i) Charges for consumption of electricity, supplied by DHBVN,


in the Scheduled Units at State Government Rates as per
readings of separate sub-meter. [These charges are to be
collected by Lessee directly from the facility users in
accordance with clause 5(a)].

(ii) Charges for Power Back Up electricity generated through


Diesel Generator Set (DG) Set shall be payable at DG Rates,
prescribed by Lessor for said complex from time to time.
[These charges are to be collected by Lessee directly from
the facility users in accordance with clause 5(a)].

(iii) Proportionate Common Area Maintenance Charges for


common facilities and services. Common Area Maintenance
Charges (i.e., CAM Charges) payable by Lessee to Lessor,
during the tenure of this lease are as under:-

super area of Unit per month.

Common Area Maintenance Charges is subject to Change


from time to time on account of changes in (i) Minimum
wages, (ii) power tariff, (iii) Diesel Price and/or (iv) costs of
providing CAM Services.

Any proposed changes in CAM charges are to be justified by


the Lessor (or any Maintenance Agency appointed by it) with
specific calculations for the changes in prices in any of these
four elements as mentioned above.

(iv) Aforesaid CAM Charges payable by Lessee, will cover up


cost of following common services:-

(a) 24 Hours, deployment of Guards of Private Security


Agency at the Gate of said complex.

(b) Cleanliness (on need basis, that too during day time)
of roads, pathways, cellars, yards and gardens within
the Complex

(c) Wet and Dry Cleaning (twice a day, that too during
day time) corridors, stair cases, lift lobbies and atrium)

(d) Garbage Collection (once a day) from designated


points.

(e) Operation and maintenance of Lifts, Tanks, Pumps,


motors, etc. keeping in view the requirements and
costs

(f) Supply of adequate raw water (i.e., ground water) in


Scheduled Units. However, in future, if water is to be
purchased from outside, the cost thereof shall be borne
by lessee in proportion to the area of Scheduled Units
viz-a-viz. area of all Units in the project.

(g) Lighting of internal roads and corridors keeping in
view the requirements and costs.

(h) Maintenance of Fire Control System.

(i) Annual Maintenance Cost of Diesel Generator Sets,


Lifts, and other equipment used for providing
common services in said complex.

b) Goods and Service Tax (GST) as may be applicable on aforesaid


charges shall be payable by Lessee in accordance with law.

c) Parties hereto shall jointly inspect the CAM Services being


provided in the building/project at timely intervals (preferably once
every month) and in case CAM Services are found not adequate,
parties shall take remedial measures keeping in view CAM
Charges being paid by Lessee and the costs of improvements.

5. Method of Payment of Rent, CAM, Electricity and Other Charges

a) Electricity:- Lessor shall provide pre-paid meters for each of the


Scheduled Units for measuring consumption of electricity (i.e.,
supplied by DHBVN and power backup generated through D.G.).
Lessee shall realize the appropriate amount from facility users and
pay the same to Lessor. Amount realized by Lessee from Facility
Users for consumption of electricity and water shall not be
included in calculation of Net Revenues. Responsibility for
realization of these charges from Facility Users shall be that of
Lessee.

b) Rent: Lessee shall pay the Rent in terms of this agreement to


Lessor for every month on or before 10th day of subsequent month.

c) CAM Charges: Lessor or Maintenance Agency (as the case may


be), shall raise its monthly invoice for CAM Charges upon Lessee,
which shall be charged & payable from the Gross Revenue as
available from respective month in the manner captured under
Clauses 3b(ii) & 4a(iii). Lessee shall pay within 10 days of receipt
of CAM invoice. Lessee further understands that delay in payment

of CAM Charges will impact Common Area Maintenance Service
in the building/project.

d) At the start of commercial operations in Scheduled Units, Lessee


shall provide its rate card (for its all services to be provided in or
related to Scheduled Units) to Lessor. As and when Lessee
proposes to make any change in the Rate Card, Lessee shall
provide the amended/updated rate card to Lessor at least 7 days in
advance. Lessee shall frame policy for providing discounts, if any,
in prior consultation with Lessor. However, the final decision on
such pricing and discounts shall rest with the Lessee with an
understanding that Lessee shall endeavor to maximize realization
from the Scheduled Units. In case Lessee gives any discount
beyond aforesaid policy without Lessor‟s prior consent, such
discounts shall to be Lessee‟s individual account and Lessee shall
make Lessor‟s loss for such discount good.

e) Within 7 days of end of every month, Lessee shall provide its


statement of net revenues generated from Scheduled Units for that
month to the Lessor

f) Lessee shall install its own centralized billing system and shall
provide 24 X 7 remote access to its online software/Dashboard and
reports for Scheduled Units to Lessor.

g) Lessor shall have the right to audit record of Lessee pertaining to


Scheduled Units to ensure that it is receiving rent in accordance
with this agreement. The Audit Process shall be restricted to:-

(i) Lessee sharing monthly statements of occupancy and


revenues to Lessor with respect to the Scheduled Units,

(ii) Lessee to allow physical audit of spaces on prior request,

(iii) Lessee to share quarterly bank statements with respect to the


Schedules Units

h) Lessee shall raise its Tax invoice on Facility Users in accordance
with law and Lessee shall pay/deposit GST with the concerned
department in accordance with law.

i) Lessor shall raise its monthly Tax invoice for rent. Lessor shall
pay/deposit GST with the concerned department in accordance
with law.

j) In case either of the party commits delay in making payments to


the other party in accordance with this deed, defaulting party shall
pay interest @ 18% per annum on defaulted amount for delayed
period to the non-defaulting party.

6. Security:

a) Lessee shall pay a sum of Rs. 5,00,000/- (Rupees Five Lakh Only)
to Lessor towards interest free refundable security in following
manner.

(i) Rs. 3,00,000/- has already been paid vide UTR No


KKBKR5202004290086717 dated 29.04.2020 drawn on
Kotak Mahindra Bank

(ii) Rs. 2,00,000/- shall be paid at the time of handover of units


as specified in Schedule A.

b) Aforesaid security shall be refunded by Lessor to Lessee within


fifteen days of termination of lease and handing over vacant
physical possession of Scheduled Units by Lessee to Lessor.
However, prior to making refund, Lessee shall be entitled to
adjust/deduct its dues under this deed and costs of repairs (normal
wear and tear, exempted), if any, of Scheduled Units from
aforesaid Security Deposit.

7. Upkeep of Scheduled Units and Maintenance of Air-Conditioners


provided by Lessor:

a) Upkeep of Scheduled Units:- Lessee shall upkeep and maintain the


Scheduled Units in good tenantable condition at all times.

Maintenance of Air-Conditioners provided by Lessor:- Lessee
shall strive to keep the air-conditioners maintained, repaired and
operational throughout the term of this deed. Replacement of Air
Conditioners after expiry of their expected life will be facilitated by
Lessor through the Unit owners.

8. Responsibilities of Lessee

a) The Lessee shall have a period of 45 (forty-five) days (as


mentioned in Clause 2(c) above) from the handover of Scheduled
Units before the Lease Commencement Date, which it may utilize
for installing the items of furniture, furnishings, appliances, etc
(other than air-conditioners) as it seems necessary. Upon
termination of lease, Lessee shall be entitled to take back all the
equipment, fixture, fitting and furniture brought in by Lessee in
Scheduled Units.

b) Lessee shall take possession of Scheduled Units on „as is where is‟


in terms of Clause 2(b) above.

c) Lessee shall adequately advertise the services to be offered by it to


public and shall strive to ensure that maximum of scheduled units
remained occupied for maximum term of this deed.

d) Lessee shall complete the KYC of Facility Users prior to allowing


them to use its services in Scheduled Units.

9. Responsibilities of Lessor

a) To pay property taxes, as applicable, for the property and to


provide copies of receipts to Lessee as and when demanded by
Lessee.

b) To deposit its share of GST, as charged, with the respective


regulatory authorities and submit the returns of the same with the
Lessee every quarter.

c) To ensure all essential utilities for proper smooth operations by the
Lessee and desired usage by the Facility Users, including but not
limited to, water supply, electricity, access roads, parking spots,
security, all elements of common area maintenance (CAM) as
captured in clause 4(a)(iv) above.

d) To remedy any structural defects, repair work, seepage, termite


issues, break-down in any element of infrastructure or service,
immediately upon such defect being noticed or brought to its notice
by the Lessee. In the event of such defect not being rectified at the
earliest, the Lessee reserves the right to get it rectified at its own
behest and deduct the charges from the Lessor‟s share and invoice
it to the latter. In extreme circumstances of the Scheduled Units
being rendered unsuitable, in part or full, for usage for the
envisaged purposes due to such continued defects, the Lessee
reserves the right to discontinue the operations for the interim
period.

10. Type of Use:

Lessee shall use the Scheduled Units for the purposes of carrying its
business of providing Long Stay Accommodation Facilities with allied
services like providing food and beverages, laundry services, etc. to
Facility Users.

11. Signage:

a) During the tenure of lease, Lessor shall allow one signage space in
lobby/atrium of Tower A or Tower B of said complex at a mutually
agreed location.

b) In case Lessee needs extra signage(s), parties will explore


possibilities of such signage(s) and if they agree for such additional
signage same shall be provided to Lessee on such terms and
conditions, as may be mutually agreed between the parties.

c) All costs and taxes regarding Lessee‟s signages shall be borne by


Lessee only.

12. Parking:

(a) During the tenure of this lease, Lessor shall provide 1 car park for
every 1250 Square Feet of Super Area of Scheduled Units, without
any extra charges.

(b) In case, Lessee needs extra car parking spaces, Lessor will provide
the same to Lessee subject to availability and payment of then
applicable charges for said purpose. Present car parking space
charges in the said complex is Rs. 2,500/- (Rupees Two Thousand
Five Hundred Only) per car park bay.

13. Lessor’s disclosure about third party rights

Lessor has disclosed that it has allotted most of the scheduled units to
different persons and said allottees have ownership interests in Scheduled
Units. Lessor declares that the concerned allottees of Scheduled Units
have permitted/authorised the Lessor to grant lease of their respective
units to Lessee. Hence Lessor is authorised to execute this deed.

14. Right to sell

During the tenure of this lease, Lessor may sell the ownership rights in
Scheduled Units to any person, subject to the condition that said transfer
shall not affect the rights of Lessee. Also, the change in ownership of the
Lessor, does not affect the rights of the Lessee or prejudice the terms of
this deed in any manner. Similarly, the change in shareholders or
shareholding pattern of the Lessee, does not affect the rights of the Lessor
or prejudice the terms of this deed in any manner.

15. Sub-lease:

Subject to Lessee‟s rights to allow Facility Users to use the Scheduled


Units in accordance with this agreement Lessee shall have no right to
assign this agreement to any third party without Lessor‟s prior written
consent.

16. Miscellaneous

a) Nothing in this Agreement shall be deemed to constitute


Partnership between the Parties. The relationship between the
parties is that of Lessor and Lessee.

b) All property related Taxes, with respect to the said complex


(including Scheduled Units) shall be borne and paid by Lessor or
its allottees. All Taxes concerning the business of Lessee in
Scheduled Units shall be borne and paid by Lessee.

c) Lessee shall not make any structural alteration in scheduled units.

d) Lessor shall get the structure of the premises insured. Cost of


insurance of structure of premises will not be borne by Lessee.
Lessee shall insure its all its stocks, products, furniture, and shall
also obtain Third Party/Public Liability insurance at Lessee‟s costs.

e) Both parties can use each other‟s logo with express written
permission from either party, clearly specifying the scope of such
usage.

17. Lease Deed and Costs:

Stamp Duty and expenses involved in execution and registration of this


lease deed shall be borne by the parties in equal ratio.

18. Termination:

Notwithstanding anything contained in this deed, parties hereby agree that


the timely payment of rent reserved herein is the essence of the
contract/deed. In case lessee failed to pay the agreed rent or Common
Area Maintenance Charges (subject to provisions contained clauses 3,4,
& 5 above) for three consecutive months, Lessor shall give a 15 days
defect cure notice to Lessee and in case Lessee fails to make the due
payment within the aforesaid notice period, Lessor shall have the right to
terminate this deed.

19. Handing over possession:

In case of dispute between parties and subject to Lock-in-Period having


been expired, Lessee shall have no right to occupy the Unit and Lessee on
demand of Lessor shall vacate the Unit and handover peaceful vacant
possession thereof to Lessor.

19. Arbitration:-

Disputes, if any between parties, will be got decided through the process
of arbitration. Arbitrator shall be appointed by mutual consent of parties.
Arbitration proceedings will be held in English Language. Seat of
Arbitrator and Venue of Arbitration shall be at New Delhi. Courts at
New Delhi alone shall have jurisdiction in respect of matters relating to
arbitration.

Brig (Retd) B. S. Dadwal and Ms. Jyoti Saravnan to act on/sign/execute all Client related
