 PURCHASE CONTRACT - SALE OF PRODUCTS AND / OR SERVICES

Among the subscribed Camilo Mena Serna of legal age, identified with the
citizenship card No. 4.671.526 issued in El Bagre Antioquia domiciled in Colombia,
acting (in his own name or on behalf of PiÑaPles ”El Mundo de la Piña, identified
with the Nit: 1024581254-9 and who hereinafter will be called the SELLER, on the
one hand; and on the other Yajaira Agudelo Martínez, of legal age, identified with
the citizenship card No. 1,034,425,123 issued in Medellín domiciled in Colombia,
acting ( In his own name or on behalf of Ramírez Associates, identified with Nit:
1047236120 - 7) and who will hereinafter be called the BUYER, it has been agreed
to enter into a commercial establishment sale contract that will be governed by the
following clauses: First: OBJECT- THE SELLER transfers to the BUYER by way of
sale the domain right it has over a Kiosk PiñaPles “El Mundo de la Piña, located in
Medellín, registered in the mercantile registry. ntil of the Chamber of Commerce of
Medellín with No. 235 as an economic unit in the terms of article 525 of the Code
of Commerce. Second-PRICE. -The sale price was set by the parties in the sum of
fifteen million pesos ($ 15,000,000) Colombian legal currency that the BUYER is
obliged to pay to the seller, or to his order, in the city of Medellín and in the
following form: with the signing of this document, the sum of ten million pesos ($
10,000,000) and the balance on August 1, 2021. Third: STATUS OF THE KIOSK. -
THE SELLER declares that the Kiosk that sells, is free of civil lawsuits, or judicial
embargo, or pending lawsuit; that its right of ownership is not subject to resolutory
conditions, and that in any case it is obliged to clean up the sale in accordance with
the law. THE SELLER declares that the accounting information contained in the
Financial Statements and in the accounting, books adequately reflect the financial
and economic situation of the Kiosk. Fourth: SELLER'S OBLIGATIONS. -THE
SELLER will carry out the registration and publicity procedures to the creditors.
The delivery of the establishment will be made on June 3, 2021. Fifth:
RESERVATION OF TITLE. - THE SELLER sells the business establishment
reserving the domain over it until the BUYER has paid the full price agreed to in
accordance with and in harmony with the provisions of Article 750 of the Civil Code
and Law 45 of 1930, as well as articles 1935, 1936, 1937 and other concordant
articles of the Civil Code. The tradition of the object is subordinated to the
suspensive condition of the total payment of the agreed price and, in the
meantime, THE BUYER will not be the owner but the mere holder of the
commercial establishment. Sixth: CRIMINAL CLAUSE. - If any of the parties’
breaches any of the obligations in their charge, they must pay the other the sum of
Three million pesos ($ 3,000,000) as a penalty derived from said breach.

In proof of the foregoing, this contract is signed in the city of Medellín on May 28,
2021.
