CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

This Confidentiality and Non-Disclosure Agreement (the “Agreement”) is made on this 14th day of July, 2021, by and between
Makati Medical Center-Nursing and Patient Care Services (the “Disclosing Party”) and St. Paul University- Manila (the “Receiving
Party”), collectively the “Parties”, individually the “Party”.

The Parties are engaging in or are in the process of negotiations for the possibility of entering into a mutually beneficial “Business
Relationship,” recognizing that, during their discussions, it will be necessary for the Parties to disclose certain “Confidential
Information” (as defined below) to each other.

For the purpose of this Agreement, Confidential Information is defined as any data or information that is proprietary to Disclosing
Party, and may not generally known to the public, whether oral, written or in any form whatsoever, whenever and however
disclosed, including, but not limited to:
• Patient Information – all information pertaining to the existence of the patient in the hospital and his/her personal and
medical information.
• Hospital Information – business or marketing plans/strategies, client and patient listing, pricing information, business
agreements, financial information, trade secrets, formula, technology methods, and the like, relating to MMC, its
clients, business partners or prospective clients.
• Business Operations Information – all information relating to the specialized and distinctive method of operations used
by MMC in operating the business.

NOW, THEREFORE, the Parties do hereby agree as follows:

• The Disclosing Party agrees to provide to the Receiving Party Confidential Information that are necessary to fulfill the
current Business Relationship set forth in this agreement;

• The Receiving Party shall use the Confidential Information solely in connection of the current Business Relationship,
and not for any other unauthorized purposes, without written consent from the Disclosing Party;

• The Receiving Party shall disclose the Confidential information only to its authorized personnel or agents who need to
know the Confidential information for the performance of duty or fulfillment of obligation related to Business
Relationship set forth in this agreement and shall be accountable for the acts of its agents/personnel who shall likewise
be bound by the terms and conditions of this Agreement.

• The Parties shall use reasonable efforts and measures to strictly maintain and protect the anonymity, confidentiality
and privacy of the Confidential Information and protect it from any unauthorized use or disclosure. Disclosure of the
Confidential Information to third parties is prohibited;

• All Confidential Information shall be and remain the property of the Disclosing Party, and any documents containing or
reflecting the Confidential Information, and all copies thereof, shall be promptly returned to the Disclosing Party upon
written request, or destroyed at the disclosing Party’s request or instruction, within fifteen (15) days following the
receipt of the mentioned request.

IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly authorized officers on the day and
