MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (“Memorandum”) made and entered into by and


among:

The BRITISH EMBASSY MANILA, representing the United Kingdom (UK) Government
through the Foreign Commonwealth and Development Office (FCDO) in Manila,
Philippines, with principal office address at 120 Upper McKinley Road, McKinley Hill,
Taguig City, Manila 1634 Philippines, herein represented by His Majesty’s Ambassador to
the Philippines, HE LAURE BEAUFILS, and hereinafter referred to as “BRITISH
EMBASSY”;

The CITY GOVERNMENT OF PASIG, a political subdivision created and existing by


virtue of Republic Act No. 7829, with principal office address at Pasig City Hall, Caruncho
Ave, Brgy. San Nicolas, Pasig City, Metro Manila, herein represented by its local chief
executive, HONORABLE MAYOR VICTOR MA. REGIS N. SOTTO, hereinafter
referred to as “PASIG CITY”;

and

The ATENEO DE MANILA UNIVERSITY, a non-stock, non-profit Jesuit educational


institution organized and existing as a corporation under Philippine law, with principal office
address at Katipunan Avenue, Loyola Heights, 1108 Quezon City, through its social science
research organization, INSTITUTE OF PHILIPPINE CULTURE of the School of Social
Sciences, herein represented by its President, FR. ROBERTO C. YAP, SJ, hereinafter
referred to as the “ADMU IPC”

(hereafter each a “Party, and collectively, “Parties”),

WITNESSETH, THAT:

WHEREAS, Pasig City was one of two pilot local government partners of the UK Global
Better Health Programme in the Philippines from 2019 to 2022, with a Memorandum of
Understanding signed with the British Embassy Manila on June 2021 to formalise
collaboration on delivering Universal Healthcare and supporting local health systems
development;

WHEREAS, Pasig City is committed to prioritise the delivery of the Philippines’ Universal
Healthcare mandate, including through improving access to health workforce training,
supporting local health systems development, digitising local health information systems, and
enabling evidence-informed health policy;

WHEREAS, as part of the Better Health Programme’s sustainability, the British Embassy
Manila has issued a Creative Commons License Agreement to Pasig City for continued non-
commercial use and development of the Multi-Programme Local Mapping Tool (MuPLoMT)
– a digital health tool and the Philippines’ first digital patient registry for non-communicable
disease and primary care, co-developed under the Better Health Programme;

WHEREAS, the British Embassy Manila and Ateneo de Manila University, through the
Institute of Philippine Culture, are jointly implementing the ‘e-Triage for Social Inclusion:
Navigating Out of Vulnerability Situations (eTSI-NOVuS)’ project in Pasig City until March
2024, funded by the UK Government’s Frontier Tech Hub and in support of local health
systems development and innovation;

WHEREAS, Ateneo de Manila University, through the Institute of Philippine Culture, is


committed to supporting and helping build the capacity of government and civil society
partners to understand and serve their partners and the Philippine society;

RESOLVED THAT, all Parties recognize that a Memorandum of Understanding is needed


to define terms, conditions, and ways of working in the implementation of joint activities to
enable collaboration;

NOW, THEREFORE, for and in consideration of the foregoing premises and of the mutual
covenants, agreements, and stipulations hereinafter set forth, the Parties hereto agree to enter
into this Memorandum under the following terms and conditions:

SECTION I. PURPOSE

The Memorandum shall cover the guiding principles for collaboration among the Parties,
which intend to cooperate in good faith on:

▪ Health Systems Strengthening, aligning with the Philippines’ Universal Healthcare


(UHC) mandate and drawing lessons and expertise from the UK’s delivery of UHC
for over 75 years through the National Health Service (NHS);

▪ Local Health Systems Development, including support for evidence-informed


health policy development, digitization of local health information systems and
health service delivery, clinical practice improvement, health workforce
development, and pandemic preparedness;

▪ Research and Innovation, fostering partnerships with academic and research


networks, the private sector, and civil society to support policy, training, and
education.

SECTION II. SCOPE OF COOPERATION

In line with common values, objectives, and mutual areas of interest for collaboration, all
Parties intend to collaborate in the following manner:

▪ Share best practices, technical advice, and expertise through joint projects, research
and publications, workshops, learning visits, fellowships, and other accessible means
of collaboration and knowledge sharing;

▪ Enable dialogue and coordination among national local government/s, academe, civil
society, private sector, and regional stakeholders in the Philippines and the UK,
where relevant;

▪ Utilize existing resources, including UK-Philippines linkages (such as with the


FCDO Frontier Tech Hub, the NHS Consortium for Global Health, and the NHS
Global Fellowships Programme), to support and implement activities aligned with
the principles of this Memorandum.

SECTION III. GENERAL TERMS

A. The Parties agree that all questions, disputes, or differences arising between or among
the Parties in relation to this MOU, whether during its subsistence or after its
termination, shall be attempted to be settled by them in good faith.

B. This Memorandum constitutes an expression of the Parties’ intent in good faith to


engage in the collaboration described herein. This MOU provides a framework for
cooperation among the Parties; as such, detailed cooperation documents, such as
Grant Agreements, Creative Commons Licence Agreements, and other similar
documents, shall be signed separately by relevant Parties and annexed under this
Memorandum.

C. This Memorandum is not intended to create and does not create any legally binding
obligations or liabilities between and among the Parties. Neither of the Parties will be
liable for any negligent or wrongful acts of the other unless such liability is imposed
by the law in force in their respective countries.

D. No monetary consideration will be exchanged between or among the Parties. All


financial arrangements will have to be negotiated and will depend on the availability
of funds.

SECTION IV. INTELLECTUAL PROPERTY RIGHTS AND DATA PRIVACY

A. All intellectual property rights, economic rights, and commercialization rights derived
from the intellectual property brought into this collaboration shall be retained and
owned by their respective owners and shall not be transferred or assigned to other
third parties, without the express consent of such owners. Any agreement involving
such intellectual property rights and transfers or assignments shall be subject to the
terms of separate agreements thereon.

B. All Parties agree to maintain strict confidentiality and comply with applicable data
privacy laws and regulations in handling any confidential information or personal data
shared or accessed during the course of this collaboration. The Parties shall perform
any or all actions necessary to facilitate such processing of personal data, including
the execution of contracts, securing of consent, and other similar or related acts.

SECTION V. EFFECTIVITY

This Memorandum will become effective from the date of its signature and will remain in
effect for two (2) years, until 30 November 2023, subject to annual review by all Parties. No
amendments, modifications, or alterations of this Memorandum shall be valid or binding on
either Party unless mutually agreed upon in writing by Parties and executed with the same
formality as this Agreement.

IN WITNESS WHEREOF, the parties have executed this Agreement on this __ day of
