MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement made and entered into this 6 th day of December 2023 by and
between:

UNIVERSITY OF THE EAST, an educational institution established under


Philippine laws, with postal address at No. 2219 C. M. Recto Avenue, 1008 Manila,
represented herein by its President, DR. ZOSIMO M. BATTAD, hereinafter referred to
as the “UE”,

- and -

LOCAL GOVERNMENT UNIT- BURGOS, an institution established under the


Philippine Laws with postal address at Municipality of Burgos, M. Ruiz Street,
Poblacion, Burgos, Pangasinan 2410, represented herein by its President/General
Manager HON. JESSTER ALLAN B. VALENZUELA hereafter referred to as the “OJT
Host”,

-WITNESSETH-

Whereas, the UE believes in the improvement in the quality life of people


through formal education; and desires to provide quality education and training of its
students to prepare them for their chosen field of specialization, thus making them
globally competitive;

Whereas, the OJT Host is engaged in government and social services.

Whereas, the OJT Host is willing to be a partner of UE in the implementation of


the on-the-job training (OJT) programs, and other related innovative undertakings,

NOW, THEREFORE, for and in consideration of the foregoing premises and the
mutual covenants hereinafter stipulated, the parties hereto agree as follows:

I. THE PROGRAM: On-the-job training (OJT) of UE students in the field/s of


Information technology, computer science, tourism, hospitality, political
science. (e.g. engineering courses, information technology, computer
science, tourism, hospitality, psychology, legal management, nutrition and
dietetics, advertising, multimedia arts, interior design, accountancy, business
courses, etc.)

A. Students shall complete the number of hours required by their OJT courses.

B. For programs requiring 600 hours, students may be provided with a performance
evaluation upon reaching 80% of the required number of hours.

C. For programs with existing partnership with certification providers which offer
equivalent training relevant to the OJT courses, reduction of the required number
of hours shall be applied.

II. OBLIGATIONS OF UE

A. Appoints a coordinator who shall oversee the conduct of the OJT program.
A.1 Establishes partnership with potential OJT hosts
A.2 Endorses students to OJT hosts to make the deployment official
A.3 Addresses concerns of OJT hosts and students relayed by the faculty in-
charge (FIC)
A.4 Deploys students to OJT hosts who will undergo training

B. Assigns a faculty in-charge (FIC) who shall coordinate with OJT hosts and
monitors the deployed OJT students

C. Provides an internship plan to OJT hosts for the expected experiential learning
outcome for the OJT course

III. OBLIGATIONS OF OJT Host

A. Ensures exposure of OJT students to various functions of business operations in


industry/ corporate settings

B. Provides relevant experiential learning and development of technical skills aligned


with the program of OJT students

C. Assigns a point person and/or supervisor in the person of Sharon Lapez who shall
supervise OJT students and confers with the faculty in-charge whenever necessary

D. Monitors the progress of OJT students and evaluates their performance at the end of
the OJT program

E. Issues performance evaluation to OJT students who are allowed to accomplish the
reduced number of hours (please refer to Program 1.B and 1.C)

F. Issues performance evaluation and certificate of completion to OJT students upon


completion of the required number of hours.

G. Ensures the safety and well-being of the OJT students:


1. That there will be no out of town activities beyond the scope of their duties
2. That OJT students will be prevented from engaging in social events not
related to their duties
3. That OJT students will not be assigned tasks from 9:00 pm and beyond

IV. LIABILITY: Each party shall answer for losses and damages arising from any
accident, act or omission directly attributable to its fault or negligence, which may
cause death, or bodily injury(s) to any persons, or loss or damage to property, by or
on account of the performance of the respective obligations by the parties pursuant
to this Agreement. It is intended that this limitation apply to any and all liability or
cause of action however alleged or arising, unless otherwise prohibited by law. Such
responsibility shall continue to remain that of the responsible party’s even after the
termination of this Agreement, if such losses and damages were incurred during the
effectivity of this Agreement.

V. INDEMNIFICATION: The OJT Host shall indemnify and hold UE, its officers,
employees, directors and agents harmless for any losses, claims, damages, awards,
penalties, or injuries incurred by any third party, including reasonable attorney's fees,
which may arise from the willful and gross negligent acts of the OJT performed
during the effectivity of this Agreement. This indemnity shall survive the termination
of this Agreement.

VI. CONFIDENTIALITY: Both parties agree to hold all confidential/propriety information


in confidence and agree to use confidential information only for purposes of this
Agreement. The parties agree not to use, adapt or reproduce for any commercial
purpose any confidential information without the consent of the disclosing party.
VII. GENERAL DATA PRIVACY AND DATA SHARING PRINCIPLES: Both PARTIES
adopt the general data privacy and data sharing principles declared in the Data
Privacy Act of 2012 and its Implementing Rules and Regulations, and adhere to the
principles of transparency, legitimate purpose, and proportionality in the processing
of personal data under this Agreement.

Both PARTIES shall implement reasonable and appropriate organizational,


physical, and technical security measures for the protection of personal data that
are subject to data sharing.

The PARTIES shall take steps to ensure that any person acting under their authority
and who has access to personal data does not process them except only insofar as
to give effect to the Memorandum of Agreement or as required by law.

VIII. DISPUTE RESOLUTION AND MEDIATION: Should any dispute, disagreement or


controversy arise from this Agreement, the parties agree to enter into mediation or
arbitration to be conducted by and under the rules of National Center for Mediation
of the Philippines which mediation shall not exceed thirty (30) days notwithstanding
anything to the contrary. The parties agree that they will equally shoulder any and all
expenses related to mediation or arbitration. No court action can be filed without
undergoing the process provided in this Section.

IX. EFFECTIVITY: The Term of this Agreement shall be for three (3) years upon
signing. It shall be renewed automatically for the same number of years unless
revoked by either party through a written notice within thirty (30) days from the
expiration of each Term.

IN WITNESS WHEREOF, the parties have hereunto signed this Memorandum


of Agreement this 6th day of December 2023 at Burgos, Pangasinan.
