THIS DEED OF ASSIGNMENT is made this 16th day of September 2021.

BETWEEN:

Alhaji Saeed Maigari of Flat A, Block 5, D Close, Off 1 st Avenue, Gwarimpa (herein-after
called “the ASSIGNOR” which expression shall where the context so admits include his
heirs, assigns, executors, successors-in-title, administrators, and personal representatives, of
the one part

AND

Hajiya Hafsat Umar Suleiman of Kanon Kashere Street, Opposite Alhaji Danjunas
Gojes Residence, Kashere, Kashere, Akko LGA, Gombe State, Nigeria (herein-after
called the “the ASSIGNEE” which expression shall where the context so admit include her
heirs, executors, administrators and or assign including those deriving titles/possessory rights
through her, of the other part.

The “Assignor” and "Assignee" are jointly referred to as “the Parties" and individually as
"the Party".

WHEREAS:

1. The Assignor is the beneficial owner of all that FLAT 1, 5 BEDROOM TERRACE
APARTMENT [DROL APARTMENT] SITUATE AT NO. 17 ADAMU ALIERO
CRESCENT, GUZAPE ABUJA (herein-after called “the Property”).

2. The Assignor as beneficial owner has agreed to transfer the full and exclusive right of
ownership and enjoyment of the Property stated above for a consideration paid to the
Assignor by the Assignee.

NOW THIS AGREEMENT WITNESSES AS FOLLOWS:

a. BY VIRTUE of the above recital and in consideration of the sum of N83,000,000.00
[Eighty-three million naira only], of which the sum of N70,000,000.00 [Seventy
million naira only] has been paid by the Assignee to the Assignor, the Assignor as
BENEFICIAL OWNER will upon the payment of the outstanding sum of
N13,000,000.00 (Thirteen million naira only) by the Assignee ASSIGN to and
confer exclusive right of ownership and enjoyment of the property to HOLD the
same UNTO THE USE of the Assignee free from any encumbrances. It is agreed by
both parties that the outstanding sum will be paid by the Assignee to the Assignor on
or before the 30th of November 2021.

b. The ASSIGNOR HEREBY CONVENANT with the ASSIGNEE that


he has full powers to convey exclusive right of ownership and enjoyment of the said
property and same shall remain to and be quietly entered upon, received and held,
occupied, enjoyed and taken by the ASSIGNEE and her successors – in-title, and that
the benefit thereof shall be received and taken accordingly without any lawful
interruptions or disturbance by the ASSIGNOR.

c. The Assignor covenant to indemnify the Assignee against all losses or damages to the
property resulting from superior third-party claim, undisclosed third-party interest as
at the time of this Deed, demolition by Government owing to defective title or
revocation as a result of falsification of records by the Assignor.

d. The Assignee hereby covenant with the Assignor, that during the continuance of the
term hereby created by the allocation over the property to pay to the relevant authority
or other persons appointed by the authority all previous and future rents reserved by,
or revised in Accordance with the Land Use Act or any other Statutory Enactment
amending or replacing the said Act on the holder’s part to be performed or observed
and to keep the Assignor indemnified against all claims, actions and demand on
account of same or in any way relating thereto.

e. The Assignor hereby covenant that the property will be quietly enjoyed by the
Assignee and her successors-in-title without any interruption or disturbances from the
Assignor or persons claiming by, though, under or on trust from him or from persons
claiming by title paramount, AND further covenant that the property is free from

charges and encumbrances, customary or otherwise and that the Assignor, if called to
do so, will at the request of the Assignee or any person deriving title through her, do
all lawful assurances and things for further or more perfectly assuring the property
hereby demised to the Assignee and to those deriving title through her as shall be
reasonable required.

f. It is hereby further agreed upon by the parties to this Deed of Assignment that they
would be bound by the terms and conditions hereinabove contained and that this Deed
of Assignment shall be irreversible, irrevocable once consideration has been furnished
by the Assignee.

g. That the said assignment effected and evidenced herein by this Agreement, is hereby
deemed complete, absolute, and irrevocable and the Assignor’s interest in the said
Property is hereby extinguished and it enures for the benefit of the Assignee.

h. That the Assignor will on the request and at the cost of the Assignee or any person
deriving title through the Assignee, execute or do all such acts as will enable the
Assignee to register her title or deeds to the Property pursuant to any extant Law(s).

i. That the Assignor covenant with the Assignee that he has not done any act whatsoever
whereby he is prevented from selling the said Property and that he agrees at all times
hereinafter to indemnify and keep indemnified the Assignee against all risks, costs,
damages, and expenses that may be incurred in consequence of any act, eviction or
anything in any manner done by any legitimate rival Claimant(s) to the said Property
or a portion thereof.

IN WITNESS WHEREOF the parties have executed this Deed in the manner below day and
year first above written.
