ACKNOWLEDGE THAT:
WHEREAS, as a guarantee that the BUYER will not back out, earnest money in
the amount of _____________ is required to be deposited with SELLER;
NOW THEREFORE, for and in consideration of the above premises, the parties
hereby agree as follows:
1. The earnest money deposited shall be treated as a reservation fee and shall
form part of the purchase price. As such, the amount of ___________
deposited with SELLER shall be deducted from the full purchase price. The
balance of the purchase price shall be made known to the BUYER.
2. The reservation fee shall serve as a guarantee that BUYER shall not back out
from purchasing the PROPERTY. If for any reason BUYER decides to back
out, BUYER agrees that the reservation fee shall be forfeited in favor of
SELLER as liquidated damages.
3. BUYER shall have One (1) Year or until ________ to consummate the sale.
If within said period no sale materializes due to no fault or negligence of
SELLER, he shall be considered to have backed out of this agreement, in
which case, the earnest money shall be considered forfeited.
