CONTRACT TO BUY & SELL MERCHANDIZE

KNOW ALL MEN BY THESE PRESENTS:

This agreement is entered into by and between:

RGS WORLD MARKETING CORPORATION, a domestic corporation organized

under the laws of the Republic of the Philippines, with office address at Araneta-
Tangub Highway, Barangay Tangub, Bacolod City, Philippines, represented by CEO
– Rodolfo S. Salarda Jr., of legal, age, Filipino, and hereinafter referred to as the
FIRST PARTY,

AND

CHARLY G. DISTOR of legal age, Filipino and a resident of ROXAS CITY.

Herein after referred to as the SECOND PARTY;

WITNESSETH:

WHEREAS, the FIRST PARTY is engaged in the multi-level marketing business with
marketing network found all-over the Philippines with its members and leaders at its
grassroots level;

WHEREAS, the SECOND PARTY manifest his/her financial availability to purchase

goods belonging to the FIRST PARTY and for the latter to sell the same within a
reasonable time under the scheme and strategy not otherwise prohibited by law;

NOW WHEREFORE, on the basis of the foregoing premises, the parties have agreed
to wit:

1. The SECOND PARTY shall purchase from the FIRST PARTY various
merchandize in the sum of Twenty Five Thousand Pesos Only (P25,000.00)

2. The SECOND PARTY shall have an option to (1) withdraw the merchandize
from the FIRST PARTY and for the latter to deliver the same at the designated
time and place, or (2) grant the FIRST PARTY the authority to sell the same
under its owns marketing strategy and schemes within a reasonable period to
dispose the same at the price profitable;

3. By executing this agreement, the SECOND PARTY has opted to commission

and authorize, as it hereby commissioned and authorized the FIRST PARTY to
sell and market the purchased goods under option (2) above.

4. The FIRST PARTY shall notify the SECOND PARTY (35) thirty five working
days from the execution hereof with 10 days grace period, the status of
marketing of its goods the date of the turn-over of the proceeds the reasonable
profit therein produced.

IN WITNESS WHEREOF, we hereby affixed our signatures this 25 th day of March

2021, in the City of Bacolod, Philippines.
