SM Prime Holdings, Inc. is one of Southeast Asia's major integrated property developers,
developing malls, apartments, offices, hotels, and convention centers to promote innovative
and sustainable lifestyle cities.

SM Prime Holdings, Inc. was founded in 1994 in the Philippines. They began as a mall
developer and operator and have since grown to become the Philippines' largest retail
shopping center developer and operator. It currently operates 67 malls in and outside of Metro
Manila, as well as seven retail malls in China with 16,671 tenants in the Philippines and 1,782
tenants in China. Rental income from mall and food court leases, movie ticket sales, and
amusement money from bowling and ice skating are the company's primary sources of
revenue. Hence, it is Philippines' largest in terms of asset and income basis.

Through its entities and subsidiaries, SM Prime goes beyond mall building and
administration. The residential business component, SM Development Corporation (SMDC),
sells affordable condominium homes. The Commercial Property Group (CPG), one of SM Prime's
commercial business groups, is involved in the development and leasing of office buildings in
Metro Manila, as well as the maintenance and operation of buildings and other property assets
such as the Mall of Asia Arena (MOA Arena). Its hotels and conference centers division designs
and runs hotels and convention facilities all throughout the country.

Mr. Henry T. Sy, Jr. (Non-Executive Director and Chairman of the Board) of SM Prime
Holdings, Inc., along with Mr. Amando M. Tetangco, Jr. (Vice-Chairman of the Board) and Mr.
Jeffrey C. Lim (Executive Director & President) of SM Prime Holdings, Inc., are in charge of
establishing the company's structure and strategic framework. With respect to the founder and
chairman emeritus Mr. Henry Sy, Sr., the Board of Directors of SM Prime is in charge of the
company's governance and responsible for ensuring that the Company's vision and mission
fulfilled while upholding the principles of focus, hard work, innovation, integrity, teamwork, and
sustainability.
