MPLs FOOD CORPORATION, OPC

The undersigned, of legal age, voluntarily forms a One Person Corporation (OPC) under
the laws of the Republic of the Philippines.

AND CERTIFIES THE FOLLOWING:

FIRST. That the name of the said corporation shall be

MPLs FOOD CORPORATION, OPC
SECOND. That the purpose or purposes for which said corporation is formed
are as follows:
To establish and operate business in the manufacture, processing, preserving or
otherwise, packaging, marketing and distribution, import and export of commodity food
products, aquacultural and agricultural products, meat products, their by-products, and
any food-related products. To serve, cater, and provide such other services to the public
(both local and foreign markets).
To build and introduce to different restaurants that cater both Filipino cuisines
and other foreign delicacies.

THIRD. That the place where the principal office of the One Person
Corporation (OPC) is to be located or to be established at:
134 Frontera Verde, Ortigas Avenue, Barangay Ugong,
Pasig City, Metro Manila
FOURTH. That the One Person Corporation shall have perpetual existence
Unless earlier terminated, dissolved or liquidated in accordance with the provisions of
this agreement.
FIFTH. That the name, nationality, and residence address of the single
stockholder/ director/ president of the OPC are as follows:

SEVENTH. That the authorized capital stock of the OPC is SEVEN MILLION
PESOS(P 7,000,000.00), divided into 100 shares with par value of SEVENTY PESOS
(P70) per share.

EIGHTH: That the number of shares of the authorized capital stock above-
stated has been subscribed as follows:

NINTH: That
as self-appointed treasurer of the OPC, I certify that I have received, in the name
of and for the benefit of the Company, all subscriptions paid or made by the subscriber,
who certifies the information provided for in the seventh and eighth paragraphs above,
and that the paid part of the subscription in cash and/or property has been duly received
for the benefit and credit of the Company, that I will faithfully administer the Company
funds to be received in my capacity as Treasurer, and to disburse and invest the same
in accordance with law and these Articles of Incorporation;
 TENTH: That I undertake to change the name of the OPC immediately after
receiving the notice from the Commission that another corporation, partnership or
individual has acquired a prior right to the use of such name, that the name has been
declared not distinguishable from a name already registered or reserved for the use of
another corporation, or that it is contrary to law, public morals, good customs or public
policy.
ELEVENTH: That no transfer of stock or interest which shall reduce the
ownership of Filipino citizens to less than the required percentage of capital stock as
provided by existing laws shall be allowed or permitted to be recorded in the proper
books of the OPC, and this restriction shall be indicated in all stock certificates issued
by the corporation.
TWELFTH: That the fiscal year of the OPC shall begin on the __________ day of
____________ and shall end on the __________ day of ____________of each year. (If
not stated in the Articles of Incorporation, it is understood that the fiscal year of said
corporation follows the calendar year.)
