principal, to an employee at
the company, empowering the
latter to transact in behalf of
RICHMOND and RD Realty is
actually ultra-vires. The power
and authority of the person to
represent the corporation is
limited to the conferment of
the Secretary’s Certificate or
Board Resolution. Hence, sir
Bernie cannot delegate that
authority to represent the
corporation to another person.
Addendum with the Contractor
(Vercede) in the construction
of RD Mall Mabuhay - Schedule
of Payment for the retention
fee had been proposed.

DHL. An electronic copy
(scanned) was also sent to the
respective emails of BARTULABA
and CUNINGTON.
A date scheduling a meeting
with the head broker, XANTHIA
BABASA, and ALAN VELANDRIA.

counter-proposals from Globe

Ask for the issuance of a new
Secretary’s Certificate whereby

Note: Actually, any defect may
be ratified, express or implied,
through the practice of the
Corporation. Nonetheless, while
acceptable to the company, it is
submitted that a correction to
this erroneous practice is
warranted to avoid any
consequences in connection
with governmental agencies.
