Code of Ethics
PREAMBLE
The citizens and businesses of East Palo Alto Sanitary District are entitled to have fair,
ethical and accountable local government which has earned the public’s full confidence
for integrity. In keeping with the East Palo Alto Sanitary District Commitment to
Excellence, the effective functioning of local government therefore require that:
Public officials, both elected and appointed, comply with both the letter and spirit
of the laws and policies affecting the operations of the District;
Public officials be independent, impartial and fair in their judgment and actions;
Public office be used for the public good, not for personal gain; and
Public deliberations and processes be conducted openly, unless legally
confidential, in an atmosphere of respect and civility
To this end, the East Palo Alto Sanitary District has adopted a Code of Ethics for
members* of the District Board to assure public confidence in the integrity of local
government and its effective and fair operation.
PRINCIPLES
3. Conduct of Directors
The professional and personal conduct of members must be above reproach and
avoid even the appearance of impropriety. Members shall refrain from abusive
conduct, personal charges or verbal attacks upon the character or motives of other
members of the Board, the staff or public.
7. Communication
Directors shall publicly share substantive information that is relevant to a matter
under construction by the Board or committees, which they may have received from
sources outside of the public decision-making process.
8. Conflict of Interest
In order to assure their independence and impartiality on behalf of the common
good, members shall not use their official positions to influence government
decisions in which they have a material financial interest or where they have an
organizational responsibility or personal relationship which may give the appearance
of a conflict of interest.
In accordance with the law, Directors shall disclose investments, interests in real
property, sources of income, and gifts; and they shall abstain from participating in
deliberations and decision-making where conflicts may exist.
9. Gifts and Favors
Members shall not take any special advantage of services or opportunities for
personal gain, by virtue of their public office, that are not available to the public in
general. They refrain from accepting any gifts, favors or promises of future benefits
which might compromise their independence of judgment or action or give the
appearance of being compromised.
13. Advocacy
Directors shall represent the official policies or positions of the District Board to the
best of their ability when designated as delegates for this purpose. When presenting
their individual opinions and positions, members shall explicitly state they do not
represent their body or the East Palo Alto Sanitary District, and they shall not allow
the inference that they do.
17. Implementation
As an expression of the standards of conduct for Board members expected by the
District, the East Palo Alto Sanitary District Code of Ethics is intended to be self-
enforcing. It therefore becomes most effective when Directors are thoroughly
familiar with it and embrace its provisions.
For this reason, ethical standards shall be included in the regular orientations for
candidates for the District Board of Directors, and newly appointed officials.
Directors entering office shall sign a statement affirming they read and understood
the East Palo Alto Sanitary District Code of Ethics. In addition, the Code of Ethics
shall be annually reviewed by the District Board.
The Chairs of committees, the Board President and all Board and committee
members have the additional responsibility to intervene when actions of Directors
that appear to be in violation of the Code of Ethics are brought to their attention.
The failure of a Director to comply with the provisions of this Code of Ethics shall
constitute grounds for disciplinary action against him/her. A majority of the Board
may place a disciplinary action hearing on a District Board agenda. In taking such
action, the Board shall identify the Director or Directors involved and describe the
conduct and/or facts constituting the alleged Code of Ethics violation.
A Director who is the subject of an alleged Code of Ethics violation shall be ineligible
to vote on any matter related to a disciplinary action including, but not limited to,
agendizing the hearing and adopting a resolution of censure.
A Director who is the subject of an alleged Code of Ethics violation shall be provided
with written notice of the disciplinary action hearing and the grounds for the
proposed action. Such notice shall be prepared by District staff and reviewed by
legal counsel. At the disciplinary action hearing, the Director shall have an
opportunity to be heard concerning the allegations. The Director may submit a
written response to the allegations in addition to, or in lieu of, speaking at the
disciplinary action hearing if he/she so chooses.
If, at the close of the disciplinary action hearing, the District Board finds that the
Director’s conduct does not comply with the District’s ethical standards, the District
Board may direct staff to prepare a resolution of censure which may include the
imposition of sanctions against the Director as a majority of the Board deems
appropriate. Such sanctions may include loss of seniority, removal from a
committee, and restrictions on District-related travel privileges.
At the next District Board meeting, the Board may consider and adopt the resolution
of censure including any sanctions imposed by the Board. An adopted resolution of
censure shall be published in a newspaper of general circulation in the District within
fifteen (15) days of adoption.
A violation of this Code of Ethics shall not be considered a basis for challenging the
validity of a Board decision.
