APPOINTMENT OF PROGRAM DIRECTOR AND CHIEF EXECUTIVE OFFICER

This letter confirms your appointment as Program Director of HICEP-SL and Executive
Secretary to the Board.
Below are the terms of the Appointment.

A. Program Director
1. As The Program Director you are responsible for the overall direction in which the NGO
moves, and the responsibility for managing the day-to-day activities of the NGO, including
its human, financial and material resources. You are also the Executive Secretary of the
board. You shall report to the Board President.
2. Risk: As Program Director you have accountable to ensure that financial information
is accurate and that financial controls and systems of risk management are robust
and defensible;

B. Executive Secretary of the board

 Strategy: You should constructively challenge and contribute to the development of

strategy. You should scrutinize the performance of management in meeting agreed
goals and objectives and monitor the reporting of performance;

 Time commitment: You must attend regular and emergency Board meetings, the annual
strategy meeting, and the AGM, held normally in February each year. You may also be
required to attend regular meetings of any Board committee of which you are a
member. In
addition, you will be expected to devote appropriate preparation time ahead of each

meeting.

 Fees: You will be paid a fee of Le.400,000 (Four hundred thousand leones) per month,
which will be subject to an annual review by the Board. The fee is inclusive of your
position as Program Director, Executive Secretary and of your membership of any Board
committee.

By accepting the Appointment, you confirm that you are able to allocate
sufficient time to perform your role.
