SECRETARY’S CERTIFICATE

I, LAURENCE TING, of legal age, married, Filipino and a resident of Butuan City,
Philippines, after having been duly sworn to in accordance with law, do hereby depose and
certify:

1. That I am the duly elected and incumbent corporate Secretary of both L.C TING
CONSTRUCTION CORPORATION and L.M TING FOODLICIOUS CORPORATION,
domestic corporations duly organized and existing under and by virtue of the laws
of the Republic of the Philippines;

2. That as corporate Secretary of said Corporations, I am the custodian of the corporate

records of L.C TING CONSTRUCTION CORPORATION and L.M TING FOODLICIOUS
CORPORATION, including the minutes of the meeting of the board of Directors;

3. That at the regular meeting of the board of Directors held at Butuan City last January 2,
2020, at which meeting a quorum was present, a resolution was adopted and approved to
wit:

“RESOLVE, as it is hereby RESOLVED, to authorize MYLENE AQUINO, AS

HE IS HEREBY AUTHORIZED,

a. to represent L.C TING CONSTRUCTION CORPORATION and L.M TING

FOODLICIOUS CORPORATION before the LTO with respect to the registration
of the vehicles of the Corporations or any incident thereto.
b. To confirm her continuing authority and validity of her authority, as being still in
effect.
c. To make, sign, execute and deliver, for and in behalf of the, any documents which
may be necessary for the approval of said business applications;
d. To receive any paper or document in relation to the foregoing;
e. Generally, to do and perform any and every act or thing, which may be requisite,
necessary or proper to carry out the above mentioned authorized acts;”

4. That the foregoing resolution has not been altered, modified or revoked and that the
same is still on full force and effect.
