鉴于甲方开具境外不可撤销的，可转移的，可提现的 MT103 的方式投资,乙方

安阳市钢铁实业有限责任公司 5.5%股权做质押，由乙方指定第三方华浔（香
港）集團有限公司办理抵押贷款, 甲方将接款银行实际接收到款项的 37.5%用
于恒源国际控股有限公司购买船只，乙方将接款银行实际接收到款项的 37.5%
用于扩大经营，剩余 25%用来支付接证银行贷款的通道费及其他费用,为此双方
达成协议如下：

As Party A will present out irrevocable, assignable, transferable an

d callable cash-back oversea SWIFT MT 103 for investing 5.5% equity A
nyang Steel Industry Co., Ltd, which will be mortgaged by HUAXUN(Hong
Kong)GROUP CO.,LTD to buy ships. Party A will use the 37.5% of fund a
ctual received from the bank for buying ships from Hengyuan internati
onal holdings Ltd, Party B will use the 37.5% of fund actual received
from the bank for production and expanding business , for which both
parties agree as follows.

Pihak A akan mengirimkan dana melalui Swift MT 103 untuk pembelian

kapal dari 5,5 % Anyang Steel Industry Co., Ltd, dimana memakai reken
ing xuaxun (HK) Group Co.LTd untuk membeli kapal. Pihak A akan mengg
unakan dana 37,5 % dari dana akan di terima dari bank untuki pembeli
an kapal dari Hengyuan international holdings Ltd dan Pihak B mengg
unakan 37 ,5 % untuk pengembangan bisinis dan para pihak setuju hal-h
al berikut :

一、合作方式：

甲方负责开 MT 103 投资的方式，乙方用安阳市钢铁实业有限责任公司的 5.5%

股权做质押担保的方式进行合作。甲方分批从境外开出永不撤销的面额 5000 万
欧元的 MT 103 供乙方运营项目抵押贷款使用，乙方根据甲方开出的 MT 103 备
用信用证上的实际面额在接证银行贷出款后(备注：按接证银行放款当天的欧元
兑人民币汇率), 甲方使用 37.5%的金额用于从恒源国际控股有限公司购买船，
乙方使用 37.5%金额用于扩大经营，另外接证银行贷款的通道费及其他费用共

需总额的 25% ，甲乙双方需各自承担支付 12.5%的费用。到期还款时，乙方因
只使用 37.5%贷款，所以只需按乙方接证银行实际接收 MT 103 面额的 50%还款
用于支付甲方所委托购买船只的货款。在此期间甲方不干预乙方对项目资金的
投资运作。如甲方没有开足 5000 万欧元面额的 MT 103，则以乙方接证银行实际
确认到账的 MT 103 面额为准按比例划分部份股权作抵押担保。

Cooperation mode:  Model kerjasama

Party A is responsible for the Swift MT 103 mode of investment , and

Party B cooperates with Party A buy the shipping from Anyang Steel In
dustry Co., Ltd, Guangxi Province, which belongs to Anyang Steel Indu
stry Co., Ltd Party A will invest partially bill Euro 50 million’s
Swift MT 103 from overseas with never withdraw . Party A will use th
e 37.5% of fund actual received from the bank for buying ships from H
engyuan international holdings Ltd, Party B will use the 37.5% of fun
d actual received from the bank for production and expanding business
After Party B gets fund the receiving bank according to the actual
amount of party A’s Swift MT 103 (Remarks: the exchange rate of the
United States Dollar against the RMB is in the day of the bank ),each
side will use product of the amount, and In addition. the total amou
nt of access fees of receiving bank and other charges is 25%, so each
side need to pay 12.5% fee as both of side. When the payment date
arrives, Party B only uses for buying ships, so it need to pay 50
% of the denomination of Swift MT 103 the Bank actually receives for
buying ships. Party A promises it can be used to operate project of s
hipping in China or other countries by Party B by automatic roll over
(ARO) if wanted. During that time, Party A will not to interfere Part
y B for the project fund’s investment and operation. If Party A does
n’t bill Swift MT 103 EUR 50 million in full, It will receive parti
al stake according to the proportion of the actual Swift MT 103 amou
nt received by the receiving bank ICBC （ASIA） number Account 86151
2007222 which is appointed by Party B

Pihak A bertangungjawab untuk mengirim investasi dana dalam bentuk S

wift MT 103 dan Pihak B bekerjasama dengan Pihak A dengan pembuatan
kapal dari Liushe Gold in Pingnan County, Anyang Steel Industry Co.,

Ltd,, Pihak A akan investasi sebesar uero 50 juta dollar melalui swif
t MT 103 dari luar yang tidak akan ditarik sampai selesai investasin
ya dan digunakan oleh pihak B untuk mengerjakan proyeknya sebagai pin
jaman. Setelah Pihak B menerima Pinjaman dari Bank yang ditunjuk ses
uai kiriman dari Pihak A memaluli Swift MT 103 ( Catatan : nilai tuka
r dolar ditukar RMB dalam hari terima pinjaman) dan akan hanya menggu
nakan untuk produksi kapal dari jumlah dana yang masuk setelah dipoto
ng dana dan biaya bank serta biaya lainya sebesar 25 %,dimana harus d
ibagi dua sebesar 12,5 % untuk Pihak Funder dan 12,5 % untuk Pihhak
B untuk fee masing masing juga diberikan untuk orang funder dan orang
pihak B. dan Pihak B bertanggung penuh dengan dana dimaksud termasuk
pengembalianya.di Bank ICBC hongkong nomor Rekening 861512007222.

s with by the TELEX TRANSFERRED (TT) to prescribe Swift MT 103
to the appointed bank for Party B operation project production ship.

kembeali melalui Telex transfer (TT) dengan Swift MT 103 untuk Produk
si kapal Pihak B

四、付款方式

1.甲方开出经由 SWIFT 发过来的 MT 103 必须由接证银行确认无误可用于担保

贷款，乙方根据甲方开出 MT 103 的实际面额在银行贷出款后，和甲方各自使用
37.5%的金额，另外接证银行贷款的通道费及其他费用共需总额的 25% 。甲乙
双方需各自承担支付 12.5%的费用。乙方根据甲方提供的账号将属于甲方的金
额（扣除银行通道费后）一次性付清给甲方。

IV. Payment method

4. Swift MT 103 issued by Party A must be verified by receiving ban

k that it is correct and available as the pledge for project product
ship. After Party B gets fund from the receiving bank according to th
e actual amount of Party A’s Swift MT 103. Each side will use37.5% o
f the amount, In addition, the total amount of access fees of receivi
ng bank and other charges is 25%, so each side needs to pay 12.5% fee
both of side. Party B shall pay Party A a one-time payment which belo
ngs to it in accordance with the account provided by Party A.

enerima bahwa itu benar dan layak,setelah pihak B menerima dana dari
Pihak bank sesuai jumalh swift MT 103 yang ditransfer Pihak B hanyame
nggunakan 75 % dari jumlah yang maasuk setelah dipotong semua biaya s
ebesar 25 % yang ditanggung kedua belah Pihak masing-masing 12,5 % .
(pihak A dan Pihak B)Pihak B akan membayar kembali ke Pihak A sebagai

tanggung jawab produksi kapal yang diberikan oleh Pihak A dan Pihak B
sepenuhnya tunduk kepada Pihak A sebagai pemilik modal.

五、还款金额：

到期还款时，乙方因只使用 50%贷款，所以只需按乙方接款银行实际接收 MT 1
03 面额的 50%还款。

六、操作流程及时间：

签发不可撤销面额 5000 万欧元的 MT103 到达乙方指定华浔（香港）集團有限公
司的接款银行并由乙方进行确认。

signing the contract, and should be confirmed by the receiving bank a
ppointed by Party B in 14 working days.

6.2 Pihak A akan berusaha untuk mengirimkan dananya melalui Swift M

T 103 sebesar 50 juta UERO kepada Huaxun (hongkong) Group Co. Ltd se
telah menandatangani contract. untuk permulaan maksimal sebesar 540 j
uta akan dikirimkan dan diterima selam 14 hari kerja .

6.3 该 MT 103 一年期满时，乙方如需延期，乙方必须提前向甲方申请延期。

f Party B desires further extension, Party B must apply production sh
ip from Party A before hand.

七. 甲方保证用于办理委托贷款的资金来源合法，且该资金用于办理委托贷款
不违反任何国家和地区法律的规定。

VII. Party A promised the source of capital is legal without violati

ng any national and regional laws and regulations.

八. 双方同意按每批交易时程来进行操作一直到完成为止。

Procedures are to repeat until contract, collateral or fund become ex
hausted.

 九. 保密 confidentiality

9. 本合同各方在履行合同过程中，从对方所获得的有关对方的商业秘密，未
经对方同意，不得向任何第三方披露。但是双方聘请的律师、会计师、审计师、
评估师或根据法律规定要求提供的除外。

9. On the performance of the contract, without the consent of the o

ther party, the parties to this contract shall not disclose the comme
rcial secret to any party, except the lawyer, accountant, auditor, a
ppraiser or others required by law.

十三.通知条款 Notice Clause

若甲、乙任何一方在本合同履行过程中变更本合同所记载的联系方式，应当及
时以书面方式通知对方。否则，甲、乙任何一方按对方变更前的地址、经办人
等向对方发出的通知适用本条第一款的规定。

13. In the course of the performance of the contract, If any party

change the contact information of the contract, it shall be notified
in writing to the other party timely. Otherwise, any notice given to
any party in accordance with the contact information listed in the co
ntract, is suitable to the provisions of the first paragraph of this
article.

已送达对方；若为信函，于投邮之日起第三日即视为已送达对方。

14. Any notice (including the court proceedings, etc.) shall be deli
vered to the other party in accordance with the contact information o
f the contract. If by email, on the day of issuing is deemed to have
been served on the other side. If by letters, on the third day after
posting, is deemed to have been served on the other side.

16. In the course of the performance of the contract, the parties m

ay enter into a specific agreement according to the arrangement of th
e contract. The specific agreement shall be set up for the smooth imp
lementation of the contract. If the agreement is not in conformity wi
th the contract, the contract shall prevail.

共同遵守执行。

办理手续需要用的，所以不以执行。

十七. 合同的生效 Effectiveness of the Contract

formal agreement signing), and it will become legally bound once it

is signed.
