STRATEGIC SECURITY CORP.

This Contract Amendment, consented to by Mecklenburg County, NC (“County”) as indicated by its

February 4,
signature below, is entered into effective as of _________________, 2022 between The Mecklenburg
County Sheriff’s Office with its principal place of business at 700 East Fourth Street, Charlotte, North
Carolina 28202 (“MCSO”) and Strategic Security Corp., a New York corporation with its principal
office located at 19 Bellemeade Avenue, Smithtown, New York 11787 (“Company”). The Company is
qualified and in good standing to do business in North Carolina. MCSO and the Company may hereafter
from time to time be referred to singularly as “Party” and collectively as “Parties” as the context requires.

WHEREAS on or about October 22, 2018, the Company entered into a contract with the County to
provide guard force services to the County at specified County owned properties, pursuant to certain
terms and conditions, all as set forth in a contract (the “Contract”) attached hereto as Exhibit A and
incorporated as if more fully set forth herein; and

WHEREAS the Contract has been renewed and is currently in full force and effect until____________,

WHEREAS MCSO is now in need of additional security guard force services at certain locations in the
County that are managed by MCSO. The County and the Company have consented to this Contract
Amendment for the Company to also provide MCSO with security guard services as more fully set forth
herein and in Exhibit B, attached hereto and incorporated as if more fully set forth herein, and

WHEREAS the Company has agreed to provide services to MCSO, and the County has agreed that it has
no objections to MCSO “piggybacking” on the Contract so that general operating terms, conditions and
obligations between the Company and MCSO will be consistent with the general operating terms and
conditions in the Contract, except as specifically provided otherwise herein.

NOW THEREFORE in consideration of the above terms and conditions and those set forth below, the
sufficiency of which is acknowledged by the Parties, the Parties agree as follows:

A. Services to be provided by the Company to MCSO

The Company shall provide guard services to MCSO on the same general terms and conditions as in the
Contract, except such services shall be provided by the Company specifically to certain MCSO
designated locations. The location for the services to MCSO, times such services will be provided, and
the MCSO payment terms are set forth in Exhibit B, attached hereto and incorporated as if more fully set
forth herein. All Company services provided to MCSO shall only be provided by fully trained and
qualified armed Company officers. Company agrees that all Company officers will always, while on duty,
wear the protective equipment (ex. bulletproof vests, etc.) as required by MCSO, and if required by
MCSO, shall be certified and trained to carry and use a conducted electric weapon (“CEW”, also
commonly known as a “taser”).
 B. General terms and conditions of the Contract shall apply to this Contract Amendment

The Parties hereby agree that all general terms and conditions, responsibilities and obligations set forth in
the Contract shall also be applicable to this Contract Amendment, with “MCSO” being substituted in such
general terms and conditions within the Contract for the word “County” for purposes of interpreting the
rights and responsibilities of the Parties.

C. Complete Contract Amendment; Changes

The terms and conditions of this Contract Amendment shall remain in full force and effect for so long as
the Contract remains in force unless sooner terminated as provided in the Contract or should either Party
breach their agreement pursuant to this Contract Amendment. This Contract Amendment shall only be
amended by the written agreement of MCSO and Company. In the event the County and the Company
terminate their Contract, MCSO shall have the option to enter into a subsequent separate agreement for
services with the Company.

Read and Agreed: The County has been advised of this Contract Amendment and has no
objections. MCSO obligations pursuant to this Contract Amendment shall be the sole and exclusive
responsibility of MCSO.

The following is the Company pricing submission for the following services at the indicated locations, as
agreed to by MCSO:

A. Courthouse at 832 East Fourth Street, Charlotte, North Carolina: Company security
guards will be working four entry points (Alpha, Bravo, Employee Entrance, and Dock).
Hours 0700-1900 Monday-Friday with a total of approximately ten (10) Company security
staff provided at the MCSO assigned locations.

A. Detention Center Central at 801 East Fourth Street, Charlotte, North Carolina: Public
entry main lobby of County Detention Center-Central. Hours are 0600-2400 daily, seven (7)
days per week. Company will provide a minimum of two (2) security guards per shift.

B. Headquarters at 700 East Fourth Street, Charlotte, North Carolina: Hours are 0800-
1700 Monday-Friday. Company will provide a minimum of two (2) security guards at this
location.

C. MCSO Administrative Services Building (ASB) at 901 Elizabeth Avenue, Charlotte,

North Carolina: Hours are 0800-1700 Monday-Friday. Company will provide a minimum
of one (1) security guard at this location.

Guard Level Hourly Rate Holiday/Overtime Rate

1. Supervisor $31.35 $39.34 (*Supervisor rates will apply only when pre-
approved by MCSO)
