Declaration

I, _______________________________________ acknowledge that during my employment with

FSM Education Pvt. Ltd (hereinafter referred to as company) may have access to confidential
student information, namely students name/address/contact no etc. by virtue of my role in the
school.

I, _________________________________________agree that I will not (other than in the proper

course of my duties under agreement), either during the employment or at any time after
resignation (i) directly or indirectly use any of this information for my own benefit or for the benefit
of any third party or (ii) disclose details to a third party or permit to take or myself take any personal
classes of FSM Students, current or past.

I, _________________________________________ agree that I will at all times, endeavor to

protect the confidential information and prevent any unlawful disclosure /publication /distribution in
soft/ hard copy format/ photocopy / emailing or any other mode of communication details related to
FSM students / FSM curriculum / any other sensitive information or any business-related data within
or outside the company without specific approval from the company in writing.

I, _________________________________________ agree that I will not poach, refer or transfer

information physically, digitally or through any other medium, any of FSM
employees/teachers/students either during the employment or at any time after my resignation
directly or indirectly for my own benefit or for the benefit of any third party until 2 years from the
relieving date.

I acknowledge and agree that FSM Education Pvt. Ltd, is entitled to take strict legal action in case of
breach of the above said guidelines. If FSM receives any information of breach of any of the terms
stated above, the said personnel will be liable to a penalty of Rs 1 lac on the first instance, Rs 5 lacs
on the second instance and Rs 10 lacs on the third instance. The following penalty shall be recovered
from me as outstanding dues towards the company, through necessary legal procedures

The company shall withhold my settlement, experience letter or any other dues on my account if
breach to any of the above guidelines is observed during my tenure of employment. The decision of
the company on the said matter will be final.

I acknowledge that breach of the above terms would cause irreparable harm to FSM Education Pvt.
Ltd. for which only monetary damages would be an inadequate remedy. I agree that FSM will have
the right, in addition to its other rights and remedies, to seek injunctive relief for any violation of
this agreement.

If a provision of this Agreement is held invalid under any applicable law, such invalidity will not
affect any other provision of this Agreement that can be given effect without the invalid provision.
Further, all terms and conditions of this Agreement will be deemed enforceable to the fullest
extent permissible under applicable law, and, when necessary, the court is requested to reform
any and all terms or conditions to give them such effect.
