MEMORANDUM PROTECTION OF AGREEMENT

This Memorandum of Agreement is made and entered into on 22th day of

November 2020
BETWEEN

RONALD ALLAN B. CABALLES, residing at Brgy. Naga-Naga, Liberation St. Palo, Leyte
Philippines hereinafter referred as the “THE FIRST PARTY”.

AND
JANETTE HELVANO BARREDO residing Brgy. 42-B Quarry Tacloban City, Philippines,
hereinafter referred as “SECOND PARTY”.

That the “FIRST PARTY” owns a DTI registered enterprise named TRADE RING
CONSTRUCTION SUPPLY.
The said enterprise will operate a trading business of various constructions supplies. The
enterprise will purchase local and imported construction supplies and distribute focus on Leyte,
Samar Island but will also expand their markets in Visayas and Mindanao areas.

That during the operation of business the “FIRST PARTY” and the “SECOND PARTY” will be
responsible on the top management operations including, Finance, Accounting, Logistics, Sales
and any other duties that will be accommodated by the two parties.

It is also agreed by both parties that three will be a SHARING OF NET PROFIT AFTER
DEDUCTING ALL NECESSARY OPERATION EXPENSES INCLUDING GOVERNMENT
TAXES, THE AGREED SHARING OF PROFIT WILL BE 60/40. THE 60% WILL BE SHARED
TO THE “FIRST PARTY” and 40% WILL BE SHARED TO THE “SECOND PARTY”.

The payment of sharing will be done before the shipment or can be re-scheduled earlier
if needed, based on the mutual consent of both parties.

It is mutually agreed that both parties have read and understand the Terms and
Conditions written above.
