* This Service fee is based on a self service up-date, should the client wish Web
Connection to manage text and image updates, a Web Service Contract is needed.

* Please note that this agreement is for a minimum term of 12 months. All and any early
terminations of this service will incur a penalty valued at monthly fees for the number of
months that fall short of the initial 12 month period. The 12 month period is calculated from
the "live" date of the website and not the sign date of the agreement.

• The terms of this Agreement shall be for (12) twelve months from the activation date of
each product and service purchased under this Agreement unless otherwise stated in the
terms of an individual product. If the hotel terminates the Agreement before the end of this
contracted term, the hotel will pay Web Connection Co., Ltd the full fee value of the
contracted period, and if applicable, also an average of the monthly reservation fees for the
remainder of the unfulfilled contract term.
• This agreement shall automatically renew for an additional (12) Twelve months unless
either party notifies the other, in writing (90) ninety days before the anniversary date of this
agreement, of its intention not to renew.
• This Agreement may be terminated for the following causes:
o If either party is in default of its obligations and fails to remedy that default within (30) days
after receiving a written notice to default. Failure to pay reservation fees or maintain rate and
allotment parity with all and any online agents shall be considered a default
o If either party is under administration and declared insolvent.
o If either party ceases its usual operations for (10) days: force majeure, natural disasters,
and external power failures excluded.

Payments and Fees

• All payments should be made by electronic transfer, credit card or direct deposit into Web
Connection Co., Ltd nominated bank account.
• All Credit Card Payments will attract a 3% surcharge.
• All Bank Fees are the responsibility of the Hotel, and the amount indicated on the invoice
should be paid in full without any deductions whatsoever, except the 3% withholding tax
where applicable under Thai Law.
• Monthly/Quarterly Fees are payable on 1st day of each month/quarter, in advance. (Within
7 days of invoice)
• For Website Design, a non-refundable 50% deposit is payable on acceptance of the
service agreement, the remaining 50% is payable when the final product is approved and
before launch.
• All set-up and integration fees are payable in full on acceptance of the service agreement,
and before the job starts.
• Transaction fees are payable within 7 days of invoice and calculated based on guest
departure date.
• All late payments are subjected to a penalty fee and Web Connection reserves the right to
suspend or terminate any services where payments are overdue and will not be held
responsible or liable for any loss of business due to services being suspended or terminated.

Products and Services

• Where one of our monthly/quarterly packages has been purchased, the website and all
associated tools and systems remain the property of Web Connection Co., Ltd and are
offered to the client for use only for the duration of the contract. Once this Agreement
expires/cancels/ or is terminated, the website and all associated tools and systems will be
disabled by Web Connection Co., Ltd.
• For Booking Engine and Channel Manager, the start date of the service is the date that the
system is activated.
• The accuracy of all rates, allotments and inclusions loaded into any system is the
responsibility of the hotel; Web Connection is not liable for any errors due to incorrect data
entry.
• All content, including text, images and video, supplied by the client remain the property of
the client and copyright of such will clearly be stated on the website.
• Any material supplied by Web Connection Co., Ltd will remain the property of Web
Connection Co., Ltd and copyright of such will also be clearly stated on the website.

This Web Connection Co., Ltd Service Agreement is made and entered into as
of the above date (the "Effective Date") by and between Web Connection Co.,
Ltd, a Thai registered corporation ("WCL") located at 88/2 Moo 5, Chaofa West
Road, Chalong, Phuket, 83130 and the above mentioned CUSTOMER,
whereas WCL wishes to provide Web Connection Products and Services, as
outlined in the description.
Payment Terms are 7 days from invoice date.
