NON-DISCLOSURE AGREEMENT

DATED The day of 2021.

PARTIES

BETWEEN: Digital Nasional Berhad [Company No. 201701005338 (1219503-P)],

formerly known as Digital Nasional Sdn. Bhd., a company incorporated in
Malaysia and has its registered address at Level 7, Bangunan Setia 1, 15,
Lorong Dungun, Bukit Damansara, 50490 Kuala Lumpur

AND:

(“Counterparty”)

1. DNB and the Counterparty wish to engage in discussions to enable DNB to

consider the proposed appointment of the Counterparty. Accordingly, it may be
necessary for DNB and/ or its representatives to disclose to the Counterparty,
certain Confidential and Proprietary information to the Counterparty, which
includes the discussions between DNB and the Counterparty, financial,
operations, marketing computer programs, documentation, data, trade secrets,
systems, methodology, know-how and other commercial knowledge,
techniques, specifications, plans and information relating to DNB or its related
entities (“the Confidential Information”).

2. This Agreement shall not obligate either Party to enter into any definitive
agreement with each other.

3. In consideration of receiving such disclosures, the Counterparty agrees to use

the same degree of care as it uses for its own confidential information, and not
less than a reasonable degree of care, to keep confidential and not to disclose
to any third party any Confidential Information marked as "Proprietary" or
“Confidential,” or which otherwise, under all the circumstances, ought
reasonably to be treated as confidential or proprietary hereunder.

4. The Counterparty shall not reveal, divulge or discuss to any person the
Confidential Information obtained, either prior to, during and after the execution
of this Agreement.
5. The Counterparty shall use the Confidential Information only for purposes of
the discussions hereunder. Upon request by DNB, the Counterparty shall
immediately return to DNB any document or material in tangible form in its
possession comprising Confidential Information and shall destroy any
document or other material in tangible form that contains Confidential
Information.

6. The Counterparty shall not make copies of, remove or cause to be removed,
any materials, documents, notes or property used in respect of, or involving, or
in connection with the discussions, without the prior written approval of DNB.

7. The Counterparty shall not make or cause to be made public any

communications, views nor allude to the Confidential Information in any public
forum, in whatsoever format and/ or manner.

8. The Counterparty acknowledges that any breach by it of its obligations under

this Agreement could cause substantial and irreparable harm to DNB and that,
in such case, money damages would be an inadequate remedy therefore.
Accordingly, the Counterparty acknowledges and agrees that DNB would be
entitled, in addition to any other available remedies, to seek an injunction,
specific performance and/ or equitable relief to prevent any such breach.

9. The Counterparty hereby indemnifies DNB against all losses, damages, costs
and expenses, which DNB and/ or its related entities may incur or sustain by
reason of any breach on my part of the terms and conditions of Agreement.

10. The confidentiality obligations under this Agreement shall apply for a period of
three (3) years from the date of this Agreement.

11. This Agreement is governed by the Laws of Malaysia. Any dispute which may
arise between the Parties out of or in connection with this Agreement or the
breach thereof shall be referred to the Courts of Malaysia.
