SUBSCRIPTION PRICING AND TERMS & CONDITION

Definitions

PitLink: Includes local Real Time Event Broadcasting, local Real Time Channel Polling, and VIMS file
forwarding.

Subscription Price –
Site License $9,184 one-time only
Installation charge $9,900 (includes up to 5 days at site), travel expenses are
at cost. Installation will be completed by a Cat engineer.
Price includes a 10% administrative fee for the dealer.
Actual charge rate to the dealer will be $9000.

Required On-Site Server Infrastructure


• PitLink requires a minimum specification for a server to operate efficiently. Refer to the MineStar™
Health Compatibility Matrix document at dealer.cat.com/health

Subscription Terms & Conditions


Effective Date
• These terms and conditions become effective on June 1st, 2020.

Agreements

The installation and use of MineStar™ technologies require the following documentation and procedures:
Software Reseller and Support Services Agreement: For Dealers to sell MineStar Solution products they
must first sign the Software Reseller and Support Services Agreement.

Caterpillar – Dealer Subscription Purchase Agreement: Dealers purchasing the software for business use
must sign a Caterpillar - Dealer Subscription Purchase Agreement which includes Attachment 1 - Software
End User Agreement, Acceptable Use Policy and Bronze Support.

Dealer – Customer Subscription Purchase Agreement: When reselling the Software to the Customer,
Dealer must include Caterpillar’s required information in their drafted Subscription Purchase Agreement
including Attachment 1 - Software End User Agreement, Acceptable Use Policy and Bronze Support or
leverage the Subscription Purchase Agreement template recommended by Caterpillar.

Software Purchase
• Dealer requests for PitLink installation is made to the MineStar Health support team. The software
will be installed remotely by the MineStar Health support team. In some cases, there may be a
need to perform the installation on site in person by the support team. There may also need to be
on site work done to ensure machine configurations are proper for machine data transfer to
PitLink.
• The purchase includes the site license for the software and the annual support fees.

Billing and Payment


• Caterpillar will begin billing upon software installation on the customer or dealer server.
• Dealer is invoiced immediately for the site license.
• Dealer is invoiced quarterly for the support fees.
Cancellation Period
• Dealer may cancel subscription at any time by sending cancellation notice to the MineStar Health
support team.
• Caterpillar must receive cancellation notice thirty (30) days prior to next billing date.
• Caterpillar will not provide prorated refunds for any cancellation requests.
• Cancellation requires the removal of PitLink software from the customer or dealer server.
Confirmation from the dealer is required before support fees will be stopped.

Changes to Terms and Policies


• Caterpillar may change rates, terms and conditions at any time.
• Notice of such changes will be provided either in quarterly support bill or separately.
• All prices in USD $ and does not include local tax or duties.
