Annual Subscription Charges

• 100% of the original license cost would be charged after 12 Months Period. support would be
provided.

• Support will be given to one point of contact from the customer and internal support must be
taken over by the customer/Point of contact.

Considerations

Points to be considered:

• Customizations are not allowed on Accnu Advanced Cloud Solution, if businesses require
customization please upgrade to Premium edition.

• This price does not include any expenses incurred throughout the project (e.g., for travel & lodging for
non-local trips i.e., outside Hyderabad. Expenses like food, travel & lodging costs will be billedat
actual on monthly basis.

• Professional services (Training/system set up/ User Acceptance support testing) cost will be
charged 800 INR + Taxes Per hour.

Upgrades and New Releases

•Emphorasoft is intended to release periodic upgrades with additional features and bug
fixes.
Customer Support:

Basic Support Price


• 60 hours of on-call support will be included in basic support.
• For any bugs, the customer can create a ticket and that will be
resolved based on the nature and Priority of the bug.
• Initial response to the ticket will be given within 24 hours. Covered under
• Additional support hours (after exceeding 60 hours) will be AMC.

• Per hour Cost: 1800 INR + GST

Gold Support Price


• Monthly 50 hours of on-call support will be included.
• For any bugs, customers can create a ticket and that will be
resolved based on the nature and Priority of the bug.
• Initial response to the ticket will be given within 8 hours
• Monthly meeting to review the project progress along with open INR 25,000 + GST
tickets. (Per Month)
• Additional support hours (after exceeding 50 hours per month) will
be charged on T& M basis. Per hour Cost: 1800 INR + GST

Platinum Support Price

• Dedicated resources will be available during business hours (Weekly


40 hours)
• For any bugs, the customers can create a ticket and that will be INR1,25,000
resolved based on the nature and Priority of the bug. +GST Per
• Initial response to the ticket will be given within 4 hours Month
• Account Manager reviews the project progress along with open
tickets.
• Customer can review and evaluate the support plan with an Account
manager.
• In case additional support is required, resources can be deployed as
and when required for an additional cost.

Standard Terms

Following terms shall be part of the proposal and the eventual agreement between
Emphorasoft and the company.

Software & Data backup

We take critical measures to safeguard customer data in a cloud environment, our


cloud vendor takes good backup measures and the highest priority to safeguard our
customer’s data. All the terms and conditions for data loss/server loss given by Cloud
provider/vendor shall be applicable.

Intellectual Property and Ownership:

Emphorasoft will have the sole and exclusive intellectual property rights relating to the
software. The company may use the software for its use only and not otherwise. The
company shall not distribute the software in any manner to anyone. Software must be
used for customer internal purposes only it shall not be given/sold to any other external
parties.

Confidentiality:

All deliverables, as well as information including advice, recommendation, observations,


and comments transferred by Emphorasoft Private Ltd, to Company, will be for the sole
and exclusive use of the Company.

The company will not disclose the said transferred items to any other organization
without the written consent of Emphorasoft Private Ltd.

The company will not duplicate or otherwise reproduce, directly or indirectly, in whole or
in part, the deliverables or any material relating thereto, except as and for the use
specified in the proposal.

The company will take all reasonable steps to ensure that all authorized personnel
including its employees and agents having access to the deliverables or any material
relating thereto will refrain from disclosure, duplication, or reproduction in any form.

Both parties agree that the substantive terms of this Agreement and all information
acquired for the purpose, in the course of, or incidental to this Agreement including
clients lists, trade secrets, know-how, or other commercial or technical Information or
Data property of either party, will not be disclosed or communicated in any way by the
other party during the Term of this Agreement and after termination and/or expiration of
this Agreement, except to those with a "need to know" such as either party’s
accountants, be, from time to time, determined by the parties.
