The Qtys mentioned in the MFC is not as per PO , attaching herewith for your reference.

please check and revert.

Also, As per our discussion, We have already informed as Either we can supply the material within February or after
March due to financial closing.

We have discussed the same with your procurement team, and they are adamant for opening the LC by March only as
their are some internal issues of LC Limites.

Please note we are again Re-iterating you as March is Finanacial closing and we do not want any hurdle thier and further
blame games which TATA Plays every year during closing.

So again we will request you to provide clearance keeping in mind as February supplies orelse GPIL will not be
responsible for March Supplies.

Agreed Commercial Terms:

1.    
Price Basis : Price shall be on Price Variation Basis with base month as 2nd Sep 2020 as per attached PV
Formula. Price Adjustment will be permitted only on Aluminium Component. Price Adjustment will be applicable
only if the resulting increament or decrement is more than 10% of the base aluminium Price. and the price will
be adjusted by deducting 10% of increased or decreased amount from the base Aluminium Price.

2.    
Payment Terms : 100% Payment along with all taxes shall be released through 120 days LC, Interest of 90
Days will be in your Scope and Interest of balance 30 days, LC Opening Charges to TPL Account.

3.    
Defect Liability Period : The offered material should be guaranteed for a period of 60 months from the
date of commissioning or 66 months from the
date of dispatch, whichever is earlier as per client requirement.

4.    
CPBG : 5% of Order Value for a period valid up to DLP Period.

5.    
All Export Benefits will be in TPL Scope

6.    
F& I – In TPL Scope.

7.    
LD Clause : If any delay in delivery reason attributable to you, Liquidated Damages shall be levied at
0.5% of the total contract price per week
or part thereof subject to maximum LD of 10% of the total contract
price.
 
All Other Terms & Conditions shall remain same as per our earlier Orders.
