1. GENERAL

Introduction

We, Joint Operation (hereinafter “JO”) of SK Engineering & Construction CO., LTD.
(hereinafter “SKEC”), Hyundai Engineering CO., LTD. (hereinafter “HEC”), PT REKAYASA
INDUSTRI (hereinafter “Rekind”) and PT PP (Persero) Tbk. (hereinafter “PP”) awarded the
engineering, procurement, construction (“EPC”) works necessary for the implementation
and completion of the WORKS for Refinery Development Master Plan (RDMP) PROJECT

RU V Balikpapan (hereafter "Project") by PT PERTAMINA (PERSERO) (hereinafter


“COMPANY”) for the construction on EPC turnkey basis.

We are hereby requesting Subcontractor to bid for the Construction work (hereinafter called
“WORK”) of the Project.
The WORK is broadly made up of but not limited to the following:
1. Earth Work including Excavation, backfill, disposal either manual or by machine.
2. Foundation and Superstructure
- All RC structure, mason work, waterproofing for structure.

- Foundation for equipment
- Cable trench inside building, RC staircase, canopy, stoop, ETC

- Concreting and curing system in case of cold and hot weather
- Making opening for piping and mechanical, electric work, etc.
- Reinforcing and closing/sealing around utility penetration hole

Definition
The words and the expressions noted below shall have the following meaning unless the
context dictates otherwise:

 "COMPANY" means PT PERTAMINA (PERSERO)

 "CONTRACTOR" means Joint Operation (hereinafter “JO”) of SK Engineering &


Construction CO., LTD. (hereinafter “SKEC”), Hyundai Engineering CO., LTD.
(hereinafter “HEC”), PT REKAYASA INDUSTRI (hereinafter “Rekind”) and PT PP
(Persero) Tbk. (hereinafter “PP”)

 "BIDDER or SUBCONTRACTOR" means the company in undertaking all works


related to Building Work under the law of the government of Indonesia

 "Project" means Refinery Development Master Plan (RDMP) RU-V Balikpapan


Project

 "Site" means the plot of land in the Area of herein Project where the COMPANY
intends to build a new plant and other adjoining or associated areas as
applicable.

The BIDDER is requested to submit to CONTRACTOR a best proposal based on the ITB of
Construction Work. The detail scope of work under is attached in ANNEX 3.

The BIDDER's proposal must strictly comply with all ITB in all respects. Any deviation shall
be clearly and specifically stated for the following clauses, otherwise deviations from the
conditions stated in the ITB may disqualify any proposals submitted.

The BIDDER is requested to confirm that all applicable documents listed above are in its
possession and, if any of them is proven to be missing, to inform CONTRACTOR promptly.

2. ACKNOWLEDGEMENTS
Within three (3) working days from the BIDDER's receipt of the ITB, the BIDDER is
requested to send an e-mail acknowledging the receipt to the addressee given in Invitation
Letter. The ITB number and the subject must appear on all correspondences and
documents without fail.

Should the BIDDER not wish to submit a proposal, it is requested to send an e-mail
expressing such unwillingness to the addressee given in Invitation Letter within three (3)

working days after the receipt of the ITB and promptly return all documents received from
CONTRACTOR.

3. SUBMITTAL

Number of Copies and Addresses

BIDDER shall submit one (1) original of the full bid package by e-mail to the addressee
given in Invitation Letter.

Bid Closing Date


The BIDDER is requested to submit a proposal by 2911.1006.20192021

Language
The proposal and all related documents including reports, studies, correspondence, and
drawings shall be in English. In the event that the local authorities require any documents to
be furnished by the Subcontractor to be written in languages other than English, the
Subcontractor shall be responsible, at his own expense, for preparing such documents as
prescribed, together with English translations thereof.

4. EVALUATION
The evaluation of the BIDDER's proposal will not be limited to price but will also take into
account technical capability, working experience in the related field, time schedule of the
Works, etc. It is therefore essential that all the information requested in Para. 13 "Contents
of Proposal" shall be contained in the BIDDER's proposal.

Following the completion of the evaluation, CONTRACTOR will advise the BIDDER of
success or failure of the proposal without explanation. CONTRACTOR reserve the right to
reject any or all of the bid proposals without providing any reasons and CONTRACTOR
shall not be obliged to disclose the details about the evaluation to any BIDDER.

5. VALIDATION
The bid shall remain valid for the period specified in the Commercial Condition (180 Days
from Bid Closing date). In exceptional circumstances, prior to the expiration of the Bid

validity period, the CONTRACTOR may request BIDDER to extend the period of validity of
their Bids. The request and the responses shall be made in writing.

6. DEVIATION FROM INQUIRY DOCUMENTS


In the event that the BIDDER wishes to submit an alternative proposal, the BIDDER shall
first prepare a basic proposal strictly in accordance with the requirements and the
conditions of the ITB.

Any deviations and/or alterations from the ITB (Commercial and Technical) must be clearly
and specifically stated in one section. CONTRACTOR has no obligation to search for any
deviations in parts other than the section indicated in the BIDDER's proposal index. In the
event that the BIDDER is awarded the Contract, it will be on the basis of the requirements
of the ITB and only of the deviations and alterations included and accepted by
CONTRACTOR.

7. FAMILIARIZATION WITH WORKING CONDITIONS

It is the BIDDER's responsibility to familiarize him with the works to be performed in


accordance with the Inquiry Documents, including but not limited to working conditions,
location of the Works, and all other requirements such as local conditions, applicable laws
and regulations, labor condition, environmental aspects, etc., in order to submit a firm and
comprehensive proposal. The BIDDER shall also check and verify the local information
contained in the ITB and is expected to have fully satisfied him as to its accuracy before
submitting the proposal.

8. CLARIFICATION
For clarification or answer to any query in respect of any part of the ITB, the BIDDER may
contact CONTRACTOR by e-mail. Any clarifications or replies by CONTRACTOR will be
advised to all BIDDERs and shall not be valid or binding unless made in writing with both
stamps.

10. PRE-TENDER MEETING


The BIDDER is requested to attend pre-tender Meeting by 14.10.2019N/A

11. PROPOSED PRICE

Price
The BIDDER shall propose the price as specified in Annex 8. “Bill of Quantities and Unit
Rates” and Annex 11. “SUBCONTRACTOR’s Proposal”. An amount to absorb fluctuations in

the costs of labor, construction equipment, materials, and consumables shall be determined
by the BIDDER and be included in the proposed price(s) and rates without reference to the
application of any price fluctuation clause or formula.

Currencies

The BIDDER shall quote all prices in Indonesia Rupiah (IDR)

Local Content

The BIDDER shall indicate a percentage of Indonesian content for each category applicable
for the performance of the Work. The BIDDER shall ensure that the percentage of the Work
that constitutes Local Content at Provisional Acceptance is no less than the percentage to
be declared by the Bidder when concluding the Subcontract.

Of all the other contents of the BIDDER's submitted proposal, only those parts that will be
agreed in writing shall be considered as forming a part of any subsequent agreements.

13. CONTENTS OF PROPOSAL


The contents of the BIDDER's proposal should be explicit to that CONTRACTOR can
analyze all technical and commercial aspects. The BIDDER's proposal shall include, without
limitations, the data and information set out below. Failure to enclose the requested
information /document will be caused for disqualification.

Prices in accordance with the Price Form as attached Annex 8. “Bill of Quantities
and Unit Rates” and Annex 11. “SUBCONTRACTOR’s Proposal”.

Organization Chart
The BIDDER shall submit the organization chart for the Construction Work activities. The
BIDDER shall also include:

A short description of responsibilities and a scope of authority of various personnel


functions shown.

Curriculum Vitae (CV) for key personnel (i.e. name, qualification, experience, background,
age, length of service in his company, etc.). All key personnel shall be the BIDDER's own
employees and any appointment to key positions of temporarily hired personnel shall not be
allowed.

The total number of BIDDER's permanent staff and contract staff stating job category.

Project Method of Execution Plan


The BIDDER shall submit Project Method of Execution Plan for the entire works indicating
clearly all the detailed work items.

Construction Schedule
The BIDDER shall submit a detailed schedule in the form of a bar chart for the entire works
indicating clearly all the detailed work items.

The BIDDER shall propose a best-shortened Building Work under schedule.

Manpower Mobilization Plan


The BIDDER shall submit a manpower mobilization schedule for the work in Project area.
Please refer to ANNEX 5.1 Manpower Mobilization Schedule.

Equipment Mobilization Plan


The BIDDER shall submit an equipment mobilization schedule for the work in Project area.
Please refer to ANNEX 5.2 Construction Equipment Schedule.

Utilities Consumption Plan


The BIDDER shall submit a water/electricity consumption schedule plan for the work in
Project area. Please refer to ANNEX 5.3 Utility Consumption Schedule.

Temporary facilities plan

The BIDDER shall submit a layout plan including required surface area, descriptions and
capacities of all temporary facilities to be constructed by the BIDDER. In addition, BIDDER
is requested to present his plan for labor accommodation especially for the necessity of
camp and its operation.

Experience of Similar Work


The BIDDER shall submit a list of similar works executed by the BIDDER over past five (5)
years, indicating project name, location, client, value, and period of work, peak number of
direct labor and also stating clearly whether the job was carried out as a CONTRACTOR or
as a SUBCONTRACTOR.

Information on Safety
The BIDDER shall submit safety records by filling out the form of safety records covering
the past three (3) years. In addition, the BIDDER shall submit a safety policy and also a
detailed write-up on HSE and security control Plan to be used for the Works.

Quality Management System

The BIDDER shall submit document related to Quality Plan, but not limited to: Project
Quality Plan (PQP), Quality Management System, Organization chart, roles and
responsibilities.

Work permits

The BIDDER shall check and prepare all work permits required to perform its Scope of
Work in Project area

Local Content Plan (including TKDN Score)

The BIDDER shall submit its Indonesian Content Plan with existing TKDN score for
Contractor’s evaluation and approval. The following information shall be included in Bidder’s
Indonesian Content Plan submitted to Contractor, but not limited to;

14. SECRECY DECLARATION


The BIDDER shall keep the data and information contained in the Inquiry Documents
supplied by CONTRACTOR strictly confidential. Immediately after receipt of the ITB, the

BIDDER shall complete and submit the attached Secrecy Declaration (Annex 18) duly
signed to CONTRACTOR.

15. TAXES AND DUTIES


The BIDDER is requested to fully comply with local tax laws and regulations (Except V.A.T.).
To that end, the BIDDER is deemed to be fully familiar with the relevant laws and
regulations.

16. COST OF PREPARATION OF THE BIDDER'S PROPOSAL


The BIDDER shall bear all costs and expenses required for or in connection with the
preparation of his proposal and for all subsequent actions to be taken by the BIDDER up to
signature of any contract including, site visit, clarifications of the proposal and negotiations
of the Contract.

17. DISQUALIFICATION

The BIDDER should note that the proposal may be disqualified from Bid Evaluation in
CONTRACTOR's judgment in the event that there are any deviations from the requirements
of these ITB including, but not be limited to, the following:

Where a quotation by e-mail has been submitted but the formal proposal confirming the
absence of or the extent and nature of any deviations has not been submitted by the Bid
Closing Date

Where an original or basic proposal has been submitted after the Bid Closing Date

Where an alternative proposal has been submitted after the Bid Closing Date

Where the BIDDER submits a proposal containing significant deviations from any of the
conditions stipulated in the Form of Contract.
