ARBITRATION AGREEMENT

THIS ARBITRATION AGREEMENT IS MADE AND EXECUTED AT PUNE ON THIS

D.Q. Private Limited, a company, registered under the provisions of

THE PARTY OF SECOND PART

WHEREAS the PARTY OF FIRST PART i.e., Ice Private Limited is an Indian
Company, a supplier of “Ice and ancillary products.”
AND WHEREAS the PARTY OF SECOND PART is an Indian Company and the
purchaser of PARTY OF FIRST PART. 

AND WHEREAS the PARTY OF FIRST PART and PARTY OF SECOND PART have
entered into the supplier, distribution and after sales contract with respect to ice
and ancillary products. 

AND WHEREAS in order to settle any future dispute regarding the said contract,
the parties to this agreement have mutually decided to entered into the separate
Arbitration Agreement; the terms and condition of the same are stated below. 

NOW IT IS AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS: 

1. The parties hereto agree to refer all and any disputes or differences 'inter se'
touching the business between the said parties to the contract or the breach,
termination or invalidity thereof shall be finally settled by arbitration through
2. the NPAC Arbitration Council in accordance with the NPAC Arbitration Rules.
The parties, by reading the Rules, shall declare that they have accepted to
comply with its terms, obligations and consequences beforehand.
3. The number of arbitrators shall be three. (herein after referred as “said arbit‐
rators”) The parties accept to have one of the 3 arbitrators to be nominated
by the claimant in its petition of arbitration request and the second arbitrator
to be nominated by the defendant in its response and the third arbitrator to
be selected by these two arbitrators within 15 days; The appointment of the
arbitrators by the Council if the claimant or the defendant does not state the
name of its arbitrator or if they leave the nomination of the arbitrators to
the Council; The appointment of the third arbitrator by the Council, when the
parties’ arbitrators do not nominate the third arbitrator within 15 days.
4. The parties have decided to have the arbitration conducted at Pune, which is
convenient for both the parties.
5. The language of the arbitral proceeding shall be English or/and Hindi. The
parties by mutual understanding are free to choose any other language as
the language of arbitral proceeding.
6. The Arbitrators shall direct the parties to file statements of their respective
claims, legal submissions and reliefs claimed and each party to file his
statement of defence in reply to the statements of claims of others.
7. The Arbitrators shall allow the parties to produce documents in support of
their claims.
8. The Arbitrators shall allow the parties to be represented by their respective
advocates.
9. In the event of any party refusing to participate in the Arbitration
proceedings or remaining absent without valid cause, the Arbitrators shall
have power to proceed ex-parte against such party.
10. If there is difference of opinion between the Arbitrators during the Arbitration
proceedings or in making the award the decision of the majority will prevail
and binding on the parties.
11. The Arbitrators shall make their award within four months from their entering
upon the reference but can extend the said period from time to time with the
consent of all the parties hereto obtained in writing.
12. It is an express stipulation that any award passed by the said arbitrators
shall be binding on the parties, their heirs, executors and legal
representatives.
13. The costs of the Arbitration proceedings will be in the discretion of the
Council.

The Arbitration, subject to what is herein provided shall be governed by the


Arbitration & Conciliation Act, 1996.
