This real estate facilitator agreement is made at New Delhi, Delhi on this ___ day of April 2024

Document). In this agreement detail of land in which we are dealing for:-
Measuring Approx. 168 Acres, Located at: Kharigaon, Taluka: Thane, District: Thane, State:
Maharashtra, National Highway No.3, Kalwa, Thane, Maharashtra – 400605. Near Pune - Thane
Highway, touching Mumbai Agra Highway. (In this Contract /Agreement referred to as the ‘Said
Land’ / ‘Property’: The Geo Location and Pictures of the ‘Said Land’ are in the attached ‘Annexure
A –Said Land’, Part of this document)

5. The pay-out/commission/ Service fee would be ___________of the agreed sale price facilitated/

6. The pay out to the service provider/ second party would be pro-rata to the tranches of
payment(s)
received by the first party from the buyer - and to be effected to the service provider within 7
working
days of the first party having received the payment. If the respective trench - prorated payments
are not effected within 7 days, then the first party will be liable with a penalty of 15% on such
payments.
7. The commission/ pay out / service fee of the first party needs to be secured by way of issuing 12.
Undated Cheques. The cheques amounting to INR Cr (Cheque being worth INR. As the service
provider has taken a tentative sale price to be INR. The pay-out will increase or decrease basis
the final
price closed with the buyers.
8. The Undated cheques will be returned to the sellers respective to the pay-outs being received by
them.
9. Compensation of service has to be shared between the company legal team that has to me
satisfied by the service facilatots / dirctrectly by our team with aprrox 50% of our service
charge.
10. This real estate brokerage agreement shall remain under the jurisdiction of (State) India.
Any and
All legal proceeds from this real estate brokerage agreement shall be conducted under the
above
Jurisdiction.
11. This agreement shall be construed and enforced in accordance with the laws of India
without regard to the choice of law principles thereof. Any controversy or claim arising out of or
relating to this agreement, including but not limited to its enforcement, arbitrability or
interpretation shall be submitted to final and binding arbitration, to be held in Delhi, India,
before a single arbitrator, in accordance with Arbitration & Conciliation Act, 1996. The
arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree,
then the arbitrator shall be appointed by the court.
12. The arbitration shall be a confidential proceeding, closed to the general public. The
arbitrator shall issue a written opinion stating the essential findings and conclusions upon which
the arbitrator’s award is based. The parties will share equally in payment of the arbitrator’s fees
and arbitration expenses and any other costs unique to the arbitration hearing (recognising that
each side bears its own deposition, witness, expert and attorney’s fees, and other expenses to the
same extent as if the matter were being heard in court).
