General Partnership Agreement

In the Name of ALLAH, most gracious most merciful

PARTNER 1- Md. Mahfuzur rahman Chowdhury], residing at the address ,4/1/A,Zigatola,

Dhanmondi,Dhaka; National ID No 19822691648032279 and PARTNER 2 –Mahmudul Bari,
residing at the address, House No. 294, West Dhanmondi, Road No. 8/A, Dhaka 1209; National
ID No. 19702699501924137, referred to as “The Partners”, agree to the following terms and
conditions:

The Partners agree to establish themselves as partners of the business of Momentum (O and A
level institution). The Partners agree that the business shall be hereinafter named Momentum.
The main branch of business is located at 5/1,block-D, Lalmatia, Dhaka.

1. The amount of investment as a silent partner at momentum (O and A level institution) is

tk.5 lack which will be given by partner 2 to partner 1.
2. 5 percent of the total monthly fees of O and A level of the following branch will be
shared to partner 2 by partner 1.
Momentum (O and A level institution). (Narayangonj branch)
Address---.28, HK Banarjee Road,Chasara,Narayangonj.
3. Only O and A level are considered in this case of partnership. IELTS and future school
program will not be considered in this agreement.
4. This agreement will be continued till the institution exists.
5. 5 percent of the total monthly fees of O and A level will be given by partner 1 to partner
2 by the end of each month (by 15th).
6. Partner-2 shall have full right to inspect all the relevant documents of the partnership.
7. The maximum commitment from Partner-2 is BDT 500,000/-, which will be paid in several
tranches within the next 6 months from the date of this Agreement.
8. Return shall be paid in proportion to invested amount, and expectedly the first return
shall be paid within 15th of April, 2020.

The undersigned agree to all of the terms and conditions of this PARTNERSHIP AGREEMENT,
pertaining to the business Momentum.
IN WITNESS WHEREOF the parties hereto have set their hands on 20 th day of the month of
February, in the year 2020.
