AFFADAVIT CUM UNDERTAKING

We, Gagan Deep Singh S/O Shri Inder Pal Singh R/O 26/51, West Patel Nagar,
New Delhi-8 and Rahul Babbar S/O Shri Kimti Lal Babbar R/O 4/13 , West Patel
Nagar New Delhi-8(hereinafter referred to as the “Lessor”) do hereby solemnly
affirm, declare, undertake and agree to indemnify as under:

1. That We have Leased our Shop bearing No.18/43 And 18/44 East Patel
Nagar, New Delhi-08, having a covered area of 950 sq. ft. (hereinafter
referred to as the "Leased Prmises") to M/s Godfrey Phillips India
Limited, an existing company in India under the Companies Act, 1956 having
registered office at Chakala, Andheri (East), Mumbai -400 099 and corporate
office at 49, Community Center, New Friends Colony, New Delhi-110025.
(hereinafter referred to as the "Lessee", which expression wherever the
context so permits, be deemed to include its successors, heirs,
representatives)

2. That the Lessors are providing the space for Generator on the Terrace of property
bearing no. ______________________________________ (hereinafter referred
to as the "Said Premises")for the power back up purpose to the Leased
premises without any rent/cost/charges.

3. That the Lessee shall be free to operate the genset 24 hours a day and seven days
a week.
4. That the Lessor shall provide to the Lessee duplicate set of keys to access the
terrace of the “Said Premises” which shall at all the time in the possession of the
Lessee to access the terrace for installing/ maintaining/ repairing/ operating/
servicing/removing of the genset.

5. That the Lessee has right to access the said premises from the staircase without
any hindrance/obstruction/encumbrance from the Lessor/any third party twenty four
hours a day during the tenure of the Lease Deed for the purpose of
maintenance/repairing/operating/servicing of the genset.

6. That the Lessor shall bear, solely and exclusively, any levies, penalties, charges,
surcharges that are applied by any Statutory Authorities(s) for any illegal
construction/deviation/alternation that the Lessor might have done may do in the
future in the said premises.

7. As the genset is mandatory for smooth operation of the Lessee, therefore, if Lessee
is unable to operate or run the genset due to default on the part of the Lessor,
Lessor shall indemnify to the lessee for all cost, losses, damages suffered by the
Lessee.

8. That this Affidavit cum Undertaking are legally bind to Lease Agreement dated
_________between both parties and subject to termination of the Lease Agreement.

9. The Lessor also indemnifies the lessee against all losses at any time during the
tenure of the lease agreement if the wiring /cabling of the genset is damaged
/broken.
