Following the NDA signature, Siradel confirms its intention to cooperate with Headcom for the
ditribution of Siradel solutions in the Central and Latin America (CALA) region.

The initial regional scope of this cooperation is expected to be Colombia and México.

Headcom agrees not to represent Siradel competitors, even if only part of the portfolio is concerned
by this competition.

Headcom contribution will be retributed depending on the level of customer actions to close the
deals and also depending on the solutions, according to a model similar to the following :

Calculation example : Siradel brings a lead for 2D map data and Headcom contributes to more than
half of customer actions to close the deal, then Headcom receives 80% x 5% = 4% of sale amount.
