I, JOSEPH JOHN S. RONQUILLO, Corporate Secretary of the AAA Group of Companies, a corporation organized and
existing under the laws of the Republic of the Philippines, with principal office at National Highway, San Mateo, Isabela,
after having been duly sworn according to law, hereby depose and say:

That at the Regular Meeting of the Board of Directors of AAA Group of Companies held on April 28, 2022, at which
meeting a quorum was present and acted throughout, the following resolution was unanimously approved:

BOARD RESOLUTION NO. 2022-10

RESOLUTION ON THE ACCEPTANCE OF DONATION FROM THE HEIRS OF EDDIE LICAYO

WHEREAS, the AAA Group of Companies, a corporation organized and existing under the laws
of the Republic of the Philippines, is authorized to accept donations of real and personal properties
pursuant to the Revised Corporation Code of the Philippines;

WHEREAS, all the heirs of EDDIE LICAYO have offered to donate a certain parcel of land
situated in San Pascual, Diffun, Quirino, covered by Katibayan ng Orihinal na Titulo Blg. P-18397 of the
Registry of Deeds for the Province of Quirino in favor of the AAA Group of Companies with the ff.

WHEREAS, condition of the donation is that the subject property shall be used exclusively for
the establishment of an Agro-tourism Center;

WHEREAS, the AAA Group of Companies Board of Directors finds that it is appropriate to
accept the donation;

NOW, on unanimous accord of the body, it is resolved, as it is hereby resolved, to accept the
donation and to authorize the Corporation’s President, Catherine May L Alberto, to accept the
donation for and in behalf of AAA Group of Companies and to enter a contract of Deed of Donation
with the heirs of EDDIE LICAYO.

RESOLVED FURTHER, that copies of this resolution be furnished to the heirs of EDDIE LICAYO
and to proper authorities.

UNANIMOUSLY APPROVED.
