TEMPORARY SEAFARER EMPLOYMENT AGREEMENT FOR ONE OR MORE VOYAGES (PHASE A)

ORCA Crew Services B.V, a private limited liability company, with its registered place of business at Kuiperspoort 22 4331
GS Middelburg in the Netherlands, represented by Rob Vermeulen, hereinafter referred to as: “the employer” or
”ORCA”.
The employer and the seafarer declare that they have entered into the following temporary employment agreement
(hereinafter referred to as: “employment agreement”) and that they wish to lay down in writing the terms and conditions of
employment agreed between them as follows:

Tax & social security contributions:

Seafarer is responsible for tax and social security contributions in the country of residence.

Working hours

The employer will pay the seafarer a daily rate salary based on 12 working hours per working day, which consists of 8 basic
working hours pay and 4 hours habitual overtime pay (‘sailing allowance’). Overtime after 12 hours a day and over 84 hours
per week, will be paid per hour in accordance with the CBA.
Written overtime on your timesheet will only be paid out after approval of the client.
8% holiday allowance is included in the basic gross salary.

Payment

Payment of the wages shall be made by the employer by bank-transfer into the seafarer’s bank account. There are two
payment moments each month, seafarers who completed their contract before the 15th day of the specific month will receive
a cash advance of approximately 80% of the worked days on the day that they would normally receive their midmonth
payment (within 10 working days after completion of the contract)

The payslip will not be sent together with the cash advance, however this will be done after the final settlement of wages.
Seafarers who completed their contract after the 15th day of the particular month will be paid within 10 working days of the
following month.

The seafarer will be provided with a monthly account of all payments due to him and the amounts paid, including wages,
additional payments (if any), permitted/statutory deductions and the rate of exchange used where payments has been made
in a currency which is different from that agreed above.

The payslips will be provided to the employees within 5 working days after remittance of the salary / final settlement.

Type of agreement and termination

The employment agreement is a temporary employment agreement phase A of the ABU as mentioned in article 7:690 of the
Dutch Civil Code.

The employment agreement shall continue to have effect while a seafarer is held captive on or off the ship as a result of acts
of piracy or armed robbery against ships, regardless of whether the date fixed for its expiry has passed or either party has
given notice to suspend or terminate it.

This in accordance with the Amendments to the Code of the MLC, 2006, relating to Regulation 2.1, 2.2 and 2.5. The
employer obeys laws or regulations establishing notice periods to be given by the seafarers and shipowners for the
employment agreement termination according MLC 2006 Convention’s Standard A2.1
In accordance with article 7:691(2) of the Dutch Civil Code, this is a temporary employment contract with a temporary
employment clause, the employment agreement will end automatically and with immediate effect in the event that the
assignment of the seafarer will end on request of the host company.

The employment agreement between the employer and the seafarer has entered into for a definite period mentioned above.
The seafarer has provided the employer with full, correct and up-to-date and detailed information about his/her employment
history.
The Transition allowance will remunerated per day as specified in the wages section of this agreement. The employee will
receive the payment of the allowance with the monthly wages. The employee can be held responsible for all costs involved
with the crewchange, when the agreement termination on its request whilst on board.

Travel allowance

Travel costs made for transportation from home to the airport and vice versa will be reimbursed at receipt of the original
tickets based on 2nd class public transportation.

We only pay out one way per crew change day if travelling with own transport EUR 0.19 will be compensated per KM.
It is prohibited to book, rebook, organize or change arrangements for traveling without written approval from ORCA Crew
Services.

Travel days

Travel days will be reimbursed is accordance with the MLC Host company’s travel day policy from/to the agreed destination.

Documents

The seafarer is obligated to ensure valid documents in order to perform his duty on board, including, but not confined to:
national and flag state endorsements, medical examination, passport, visa and a national and flag state seaman’s book.

Any violation of the seafarer of this clause may constitute (for the employer) a cause for summary dismissal.

Vaccinations

The seafarer may be required to vaccinate preventively to diseases like hepatitis, yellow fever, malaria etc. in accordance
with the advice of the competent Health Service and in accordance with additional requirements (if any) of the host company.

Alcohol and Drugs

The seafarer is obliged to comply with any alcohol and/or drugs policy of the host company. Immediately on request by the
host company, the seafarer is obliged to participate in an alcohol and/or drugs test.
A refusal of the seafarer to participate in an alcohol and/or drugs test and/or any violation of the seafarer regarding the
alcohol and/or drugs policy, may constitute (for the employer) a cause for summary dismissal.

Repatriation and Health Insurance

The seafarer is entitled to repatriation in accordance with the article 7:718 Dutch Civil Code at no cost.
The seafarer is entitled to the benefits mentioned in articles 7:720, 7:734 and 7:734a-734l (as far as applicable) Dutch Civil
Code and the relevant articles in the CBA if applicable and the relevant policy of the insurance at no cost.
A written policy of the insurance can be found on the website of ORCA Crew Services in the downloads section. The
employer will reimburse to the seafarer as per Anker insurance policy.

Employee is obligated to have a health insurance in their homeland.


Personal belongings of the seafarer are not insured, traveling with belongings is at own risk. In case of shipwreck the loss of
belongings will be reimbursed by ORCA Crew Services.
Expense allowance

1. Safety clothes: on commence of this employment agreement the employer shall provide protective clothes to the seafarer.
2. Medical health examination: the costs made can be reimbursed if the certificate expires during the employment agreement.
If the certificate will expire before commencing this employment agreement, the costs for the certificate can be reimbursed
after consultation and approval of the employer.
3. Certificate of Competence and seaman’s book: the costs made can be reimbursed if the certificate expires during the
employment agreement. If the certificate will expire before commencing this contract, the costs for the certificate can be
reimbursed after consultation and approval of the employer.
4. Costs for flag state endorsement and seaman's book will be reimbursed if employee is working through ORCA on flag state
vessel.
5. Costs made to obtain a visa to join a vessel are reimbursed by the employer or paid by the employer.
6. The seafarer has the right to food during travel on/off board from home with a maximum of EURO 25, - each travel day.
When asking for reimbursement, a dated receipt is required to provide with your expenses sheet.

Employment history

The seafarer has provided the employer full, correct and up-to-date information about his/her employment history.

War zone

During the assignment an officer or rating shall be given full information of the war zone inclusion in the vessel trading pattern
and he shall have the right not to proceed to a warlike operation area in which event he shall be repatriated at employers cost
with benefits accrued until the date of return to the port of engagement. An officer or rating shall have the right to accept or
decline the assignment without risk of losing his employment of suffering any other detrimental effects (see article 718 Civil
Code Book).

As per MLC Regulation 2.1.7 the seafarer’s employment agreement shall continue to have effect while a seafarer is held
captive on or off the ship as a result of acts of piracy (UN Convention on the Law of the Sea, 1982) or armed robbery against
ships.

Confidentiality
Both throughout the duration and after the termination of this employment agreement, the seafarer shall maintain the
confidentiality of all confidential information known to the seafarer concerning the employer. This duty of confidentiality shall
extend to all confidential information pertaining to enterprises affiliated with the employer and clients and other business
relations of the employer. Confidential information is any information that has not already come into the public domain.

Ancillary Activities
The seafarer may not perform any ancillary activities, paid or unpaid, in whatever form or manner, without the employer's
prior written permission.
Employees are not allowed to carry out any working activities (directly- nor through other agencies) for the same host
company, within 6 months from the last date of employment through ORCA Crew Services B.V. without written approval.

Social Media
Employee shall not be allowed to make any negative statements with regard to employer and client on any social media.

Identification requirements
The employment agreement is entered on the condition that the seafarer will provide the employer before the date of
commencement of this employment agreement with a valid identification document on which his nationality is mentioned.
This document should be present at the office of the employer.
By signing this agreement the employer and employee agree with the GDPR privacy declaration.

Final provisions
This employment agreement is governed by Dutch law, including (but not limited to) the provisions of Book 7, Title 10, Part 12
of the Dutch Civil Code. The employer has implemented and enforced National and International laws or regulations or other
measures that it has adopted to fulfil its commitments under MLC 2006 Convention with respect to ships and seafarers under
its jurisdiction
The invalidity of any provision laid down herein shall not affect any of the other provisions of this employment agreement. The
invalid provision shall be replaced with a new, valid provision which is to approximate the parties’ intentions as closely as
possible.
Declaration of the seafarer: I confirm that I have freely entered this agreement with a sufficient understanding of my rights
and responsibilities, and I have been given an opportunity to review and seek advice on the agreement before signing.
Declaration of the employer: I confirm that the seafarer has been informed of his rights and duties under this agreement prior
to or in the process of the seafarer’s engagement onto the vessel. More information about the Dutch Civil Code or CBA’s can
be provided upon request.
