ARTICLES OF INCORPORATION

KNOW ALL MEN BY THESE PRESENTS:

WE, the authorized representatives of the herein-stated homeowners associations as

incorporators, all of legal ages, Filipino citizens and residents of the Philippines, have this
day voluntarily associated ourselves for the purpose of forming a non-stock, non-profit
federation/confederation of homeowners associations under the laws of the Republic of the
Philippines, particularly Republic Act No. No. 9904, otherwise known as the “Magna Carta
for Homeowners and Homeowners Associations.”

AND WE HEREBY CERTIFY:

FIRST: That the name of said Federation shall be:

SECOND : The primary purpose for which this Federation/Confederation is

formed is to serve as an umbrella organization of registered homeowners associations for the
purpose of promoting the general welfare and to encourage the fullest advantage of unified
action towards the betterment of the economic, social, physical, moral, and cultural
conditions of the community.

To achieve the main purpose of mutuality, reciprocity and unity of the constituent
homeowners associations, the Federation/Confederation adopts the following objectives:

1. To promote mutual respect, understanding, acceptance, and recognition in policy

and practices among the different constituent associations;

2. To encourage mutual collaborations, linkages and joint actions in matters of

common interest and advocacies within the federation/confederation;

3. To promote, enhance, and foster the development and improvement of the

quality of life of the members of constituent associations through livelihood
projects and other economics activities;

4. To establish local and nationwide forum to address common concerns which

need attention and ventilation to the proper authorities and administration;

5. To establish amicable relationship with the national and local government, and
to act in accord with the applicable laws, practice, tradition, rules and regulations
of the constituent associations together with and on their behalf in matters of
community concerns;

6. To recognize and meet the perennial needs of a systematic, effective and

productive management of concerted efforts of member-homeowners to promote
peace and order and improve their living conditions;

7. To encourage participatory cooperation in worthy projects, education and

training and technical skills and other activities geared towards enhancement of
the capacities of the members of constituent associations;

8. To acquire, accept donations, purchase, own, hold, develop, lease, mortgage,

pledge, exchange, sell, transfer or otherwise invest, deal in or trade, in any
manner permitted by law real and personal property of every kind and
description, or any interest therein, as may be necessary for the accomplishment
of the purposes of the federation;

9. To enter into, make, perform and carry out, or cancel and rescind contract of
every kind and for any lawful purpose with any person, firm, association,
corporation, domestic or foreign and others;

10. To do and perform any other acts and things, and to have and exercise any other
powers which may be necessary, convenient and appropriate to accomplish the
purposes for which the Federation/Confederation is organized.

THIRD: That the principal office of the Federation/Confederation is located at

EIGHTH : That ______________________ has been duly elected by the interim

directors as Treasurer of the Federation/Confederation to act as such until his/her successor
is duly elected and qualified in accordance with the Federation/Confederation’s bylaws, and
that as such Treasurer, he/she has been authorized to receive all fees, contributions or
donations given to, received by and appertaining to the Federation/Confederation.

NINTH : That the incorporators, trustees or directors named herein, and those
associations whose names are included in the list of homeowners associations attached
hereto, are members of the Federation/Confederation. Additional members may be admitted
in accordance with the Federation/Confederation’s bylaws and shall be submitted to the
Department of Human Settlements and Urban Development (DHSUD).

TENTH : That the Federation/Confederation shall be maintained by the fees, dues,

assessments and other charges paid by its members and other income as the
Federation/Confederation may derive from the pursuit of its livelihood and economic
activities, as well as voluntary contributions, and/or donations from persons, partnerships,
corporations and other entities.
