EMPLOYMENT AGREEMENT

ARIANNE G. ENRIQUEZ

Dear Arianne,

We are pleased to inform you that we are offering you the position of Site Surveillance Operator with a starting fixed
hourly remuneration of PHP 96.59. A detailed summary of your full compensation package is provided in Appendix ‘A’
which is attached to this agreement.

As Site Surveillance Operator, your duties include, among others, to provide office services by implementing
administrative systems, procedures, and policies, and monitoring administrative projects, other government compliances,
procurements, other Monitoring Centre activities for UCIT Philippines Inc. (the “Company”) and its customers. A detailed
summary of your key duties is provided in Appendix ‘B’ which is attached to this agreement.

Moreover, the following are the conditions of your employment:

1. The position requires completion of training period, and your employment is conditional upon successfully passing
the evaluation.

2. You shall be on probation for six (6) months commencing on your first day with the Company. During your
probationary employment you will be working with the Company on a trial basis to determine your fitness for
regularization. Your conversion to regular status shall be primarily conditioned and dependent upon your
satisfactory service and performance on the work assigned to you and it is within the exclusive discretion of the
Company to determine whether or not such service is satisfactorily performed and on you having successfully
passed/complied with our established standards for regularization which include among others, the following
criteria: dependability, trustworthiness, efficiency, initiative, attitude towards work, the public, the Company, its
officers and co-employees, cooperation, client response, judgment, punctuality, quality/ quantity of work,
educability, articulateness and professionalism.

3. The Company likewise reserves its rights to terminate your employment for any of the just and authorized causes
provided by existing law or for your having failed to satisfactorily meet and comply with the above-mentioned
standards, conditions and requirements. In such event, you will be entitled to collect only your salary up to the end
of working hours of the last day of your actual service.

4. You are required to comply with all existing rules, regulations and policies of the Company as well as those which
hereafter be used, including but not limited to those governing order and discipline, honesty, safety and security,
work assignments and standard operating procedures, use of Company properties and access to matters which
are proprietary and confidential to the Company and its Customers.

5. It is understood that, when UCIT Philippines shoulders the cost of your training/workshop, UCIT Philippines will
expect you to utilize whatever knowledge or skills you gained from such training/workshop for the improvement of
your work performance. It is, then, expected that after your training/workshop, you shall agree to remain employed
with UCIT Philippines for a specific period of time to allow the Company ample time to recover the investment in

your training/workshop. If, for some reason, you cannot continue your employment with UCIT Philippines, you
shall be liable to indemnify UCIT Philippines for the cost of the training/workshop. Specific terms shall be
determined when applicable. A bond and/or the execution of a separate training bond agreement may be required
prior to acceptance of such training.

6. You understand that during the duration of this Agreement, you will be exposed to confidential and proprietary
information of the Company as well as those, which are confidential and proprietary to the Company’s clients which
includes, but are not limited to: present status and capabilities as well as associated technology, production, plans
for business and product lines, long range plans for extending business and product lines; present or future products
and services, whether or not registered as a patent or copyrighted material, and any other proprietary information
including concepts, inventions, know-how, trade secrets, proprietary technology, architecture, and software
associated therewith which may be furnished by the Company’s client to the you or to which you are afforded access,
either directly or indirectly; and includes discussions regarding the foregoing.

7. You agree that all records and documents of the Company and all information pertaining to its business and/or its
affairs and that of its own customers are absolutely confidential and any unauthorized disclosure, use, publication
and reproduction of the same will not be made by you at any time during or after your employment. You agree that
any breach of confidentiality will constitute as sufficient ground for the termination of your employment without
prejudice to our right to institute any and all appropriate actions against you including a claim of damages attorney’s
fees and litigation expenses.

8. You shall have no personal proprietary or confidential interest in the work product developed by you during the
course of your agreement and you expressly assign all your rights to copyrights, patents, trade secrets or other
confidential and proprietary rights to the Company.

9. By entering into this agreement, the company shall protect and keep confidential the personal data that you submit,
or the company collects from you for processing of payroll and benefits via our vendors, as required by the Data
Privacy Act of 2012. Moreover, the company will take reasonable efforts to protect personal data it collects by
implementing reasonable security measures to prevent unauthorized access, collection, use, disclosure, copying,
modification, disposal and other similar risks.

10. Any signature (including any electronic symbol or process attached to, or associated with, a contract or other
record and adopted by a Person with the intent to sign, authenticate or accept such contract or record) hereto or
to any other certificate, agreement or document related to this transaction, and any contract formation or record-
keeping through electronic means shall have the same legal validity and enforceability as a manually executed
signature or use of a paper-based recordkeeping system to the fullest extent permitted by applicable law, including
the Electronic Signatures in Philippines’ Electronic Commerce Act (Republic Act No. 8792), an act providing for
the recognition and use of electronic commercial and non-Commercial transactions, and the parties hereby waive
any objection to the contrary.

11. You shall render true and faithful service, give your complete loyalty and perform your duties and obligations to
the best interest of the Company. You agree to abide by the Company’s rules and regulations, and to refrain during
your employment with us, from working for another employer and/or engaging in any activity which is prejudicial to
the interest of the Company or which will interfere with the performance of your job, whether within or outside
working hours, without the prior written consent of the Company.

12. You may terminate your employment with the Company by giving thirty (30) days written notice of termination, as
required under the Labor Code of the Philippines. Failure to comply shall hold you liable for damages which the
Company will aggressively enforce.

13. Any use or disclosure of the proprietary information in a manner inconsistent with this agreement will cause the
Company irreparable damage. You understand that the Company shall have the right to equitable and injunctive

relief to prevent the unauthorized use or disclosure of proprietary information and to such damages as are
occasioned by such unauthorized use or disclosure.

14. During your employment with the Company, and for a period of two (2) years immediately following your last date
of active employment with the Company, you agree not to, either individually or in partnership or jointly or in
conjunction with any other person, entity or organization, as principal, agent, consultant, contractor, employer,
employee or in any other manner, directly or indirectly:

a. solicit business from any customer or prospective customer of the Company for the benefit or on
behalf of any person, firm or corporation operating a business which competes with the Company,
for the purpose of causing any such customer or prospective customer to discontinue or alter any
one or more of their relationships with the Company, as the case may be; or

b. offer to hire or entice away or in any other manner persuade or attempt to persuade any officer,
employee, or agent of the Company to discontinue or alter any one of their relationships with the
Company, as the case may be.

15. You acknowledge and recognize that the Company’s essential business is the selling, installing and servicing of
video surveillance camera systems for businesses and providing live video monitoring services. Therefore, for a
period of one (1) year immediately following your last date of active employment with the Company, you agree
not to directly or indirectly, for yourself or anyone else, engage in or assist another in the business of selling,
installing and servicing of video surveillance camera systems for businesses and providing live video monitoring
services within the Philippines.

Data Privacy Agreement

UCIT Philippines Inc. recognizes their responsibilities under the Republic Act No. 10173 (Act), also known as the
Data Privacy Act of 2012, with respect to the data they collect, record, organize, update, use, consolidate or
destruct from the employees. The personal data obtained from this portal is entered and stored within the
company’s authorized information and communications system and will only be accessed by UCIT authorized
personnel and vendors for processing of payroll and benefits. The company has instituted appropriate
organizational, technical and physical security measures to ensure the protection of the employees’ personal data.

EMPLOYEE CONSENT:

I have read the Company’s Data Privacy Statement and express my consent for UCIT Philippines Inc. to collect,
record, organize, update or modify, retrieve, consult, use, consolidate, block, erase or destruct my personal data
as part of my information.

I hereby affirm my right to be informed, object to processing, access and rectify, suspend or withdraw my personal
data, and be indemnified in case of damages pursuant to the provisions of the Republic Act No. 10173 of the
Philippines, Data Privacy Act of 2012 and its corresponding Implementing Rules and Regulations.

COMPENSATION

Basic Pay Total of PHP 96.59 per hour, (Taxable) received every 5th and 20th of the month, subject
to applicable withholding taxes

13th month As required by law

Health Benefits HMO through a service provider upon regularization

Personal Time Off (PTO) 15 days (accrued) – can only be used upon regularization and 5 days unused will be
converted to cash by end of year

Increment Annual & performance based. To be determined by immediate supervisor

UCIT Philippines Inc. also follows government-mandated benefits – SSS, Philhealth and Pag-ibig.

• To comprehend what is observed and identify threat, risk or anomaly.
• To communicate through a standard escalation model
• Record pertinent monitoring events for archiving and investigation (identification, escalation, resolution, etc.).

Arianne, if you accept the terms and conditions of this employment agreement, please confirm your acceptance by signing
below. We recommend that you read the employment agreement carefully, obtain any independent legal advice that you
need to feel comfortable with this agreement, and retain a copy for yourself.
