Dear Sir/Madam,
We, [ KUNYIT KITCHEN ] Company No.202103374669 (003351405-P) (the “Merchant”) appoints the
following restaurants who are under the control or authority of the Merchant, to be added or replaced as
Merchant Partner(s) on Grab as of effective date 27/05/22 (“Effective Date”), listed in Schedule 1.
The Merchant warrants all necessary approvals have been obtained to give effect to revision.
For all intents and purposes, all other terms in the General Terms and Conditions in Appendix 2 and
Merchant GrabPay Addendum in Appendix 3 (“Merchant Agreement”) remain the same. The Merchant
and Grab agrees the provisions of this Notice shall supersede and replace any conflicting terms contained
in the Merchant Agreement unless as expressly set forth herein. Nothing contained in this Notice shall
amend, change, modify, or alter any other provisions in the Merchant Agreement.

2. The deduction from the Merchant’s Settlement Amount shall be made on a monthly basis,
regardless and irrespective of Merchant’s Settlement Amount. For avoidance of doubt, if the
Merchant ’s Settlement Amount on the day of deduction is insufficient to deduct the amount owed,
the Merchant ’s Settlement Account on the day shall be negative. Grab shall have the right to claim
or recover or set off the negative balance with any balances the Merchant receives or any
amounts credited into the Merchant Settlement Amount on the following day or any period as
determined by Grab.
4. The Merchant agrees that any loss, damages or defects of the asset(s) caused by any
negligence, mishandling, accident whether foreseeable or not, direct or indirect, either by your
Representative, employees, contractors, agents or third party, you shall compensate Grab
amounting to RM628(Sunmi V2) per bundle without contesting or requesting for a discount. The
Merchant will be liable to return the asset(s) to Grab in the event the Merchant submits an account
deactivation request to Grab. The Merchant shall compensate Grab amounting to RM628(Sunmi V2)
per bundle if the asset(s) are not returned to Grab. All compensations will be deducted from the
Merchant’s Settlement Amount. For avoidance of doubt, the method of deduction shall be automatic
and shall be deemed to be default mode of choice (“Automatic Payment Method”).
5. The Merchant agrees that Grab reserves the right to automatically un-pause their outlet(s) within
3 working days starting from the date the Merchant received the Sim Card and Device bundle from
Grab
6. The Merchant agrees that if the Sim Card and Device Bundle is not collected from Grab or its
authorised representatives within 14 days from the day that Grab or its authorised representative
notifies Merchant of the availability of the device, Grab reserves the right to automatically remove
Merchant from the Device Purchase Programme.

Terma-terma dan syarat-syarat ini ("Terma"), bersama dengan helaian hadapan yang dilampirkan bersama Terma ini ("Helaian Hadapan")
membentuk perjanjian ("Perjanjian") antara Delivery Hero Malaysia Sdn Bhd ("Foodpanda") dan restoran yang dinamakan pada Helaian Hadapan
("Restoran") untuk item menu ("Produk-Produk") yang ditentukan oleh Restoran.
Foodpanda and the Restaurant shall collectively be referred to as “Parties” and individually as “Party”, as the case may be.
Foodpanda dan Restoran secara kolektif akan dirujuk sebagai "Pihak-Pihak" dan secara individu sebagai "Pihak", mengikut mana-mana yang
berkenaan.
WHEREAS Foodpanda acts as an independent contractor of the Restaurant and to this purpose, the Restaurant through this agreement grants
Foodpanda full authority to conclude and negotiate contracts with customers in the name and for the account of the Restaurant and for the offers of
the Restaurants made via Foodpanda's online platform www.foodpanda.my (the “Website”) and a mobile application (where applicable)
(“foodpanda App”). The Website and foodpanda App are collectively referred to as the “Platform”. It is understood that Foodpanda does not
act for the customers.
DIMANA Foodpanda bertindak sebagai kontraktor bebas bagi Restoran dan bagi tujuan ini, Restoran melalui perjanjian ini, memberikan Foodpanda
kuasa yang sepenuhnya untuk memuktamadkan dan merundingkan kontrak dengan pelanggan atas nama dan untuk akaun Restoran dan untuk
tawaran Restoran yang dibuat melalui Platform dalam talian Foodpanda www.foodpanda.my (“Laman Sesawang”) dan aplikasi mudah alih (jika
berkenaan) (“Aplikasi foodpanda”). Laman Sesawang dan Aplikasi foodpanda secara kolektif dirujuk sebagai “Platform”. Adalah difahamkan
bahawa Foodpanda tidak bertindak bagi pihak pelanggan.
WHEREAS Foodpanda, as part of the Foodpanda online platform, provides an online marketplace for the Restaurants, via which customers can
order prepared food items directly from the Restaurants. Thereto, Foodpanda receives the order of the customer online via the Platform, transmits it
via a printer / handset / Foodpanda’s proprietary mobile application for the Restaurant’s use (“Restaurant App”) installed by Foodpanda or, in
exceptional circumstances, by phone, to the Restaurant and accepts the payment of the customer for his orders online. The payment is accepted by
Foodpanda in the name and for the account of the Restaurant and transmitted to the Restaurant, after deducting applicable charges and/or fees
including but not limited to (1) the Agency Fee, (2) Monthly Data Charges and (3) Platform Performance Fee, as agreed and set out on the Front
Sheet (“Agency Fee”, "Monthly Data Charges" and “Platform Performance Fee” respectively, together, the “Services”).
DIMANA Foodpanda, sebagai sebahagian daripada Platform dalam talian Foodpanda, menyediakan pasaran dalam talian untuk Restoran, di mana
pelanggan boleh memesan hidangan tersedia terus daripada Restoran. Foodpanda akan menerima pesanan daripada pelanggan secara dalam
talian melalui platform Foodpanda, menghantarkannya melalui pencetak / telefon bimbit / aplikasi mudah alih proprietari Foodpanda untuk
kegunaan Restoran (“Aplikasi Restoran”) atau, dalam situasi luar biasa, melalui telefon, kepada Restoran dan menerima pembayaran untuk
pesanan pelanggan secara dalam talian. Pembayaran diterima oleh Foodpanda atas nama dan untuk akaun Restoran dan dihantar kepada
Restoran, selepas ditolak caj dan/atau yuran yang berkenaan termasuk tetapi tidak terhad kepada (1) Yuran Agensi, (2) Caj Data Bulanan dan (3)
Yuran Prestasi Platform, seperti yang dipersetujui dan dinyatakan pada Helaian Hadapan (“Yuran Agensi”, “Caj Data Bulanan” dan “Yuran
Prestasi Platform” masing-masing, bersama-sama, “Perkhidmatan”).
WHEREAS in addition to the Platform, the Restaurant shall have the option of requesting for the Pandago Service (as defined below) and the
Pandago Service Fee (as defined below) shall be paid to Foodpanda.
DIMANA sebagai tambahan kepada Platform, Restoran akan mempunyai pilihan untuk memohon Perkhidmatan Pandago (seperti yang ditakrifkan
di bawah) dan Yuran Perkhidmatan Pandago (seperti yang ditakrifkan di bawah) akan dibayar kepada Foodpanda.
WHEREAS in addition to the online Platform, the Parties shall also agree on who shall deliver the Products from the Restaurant to the customer and
regardless of who shall deliver the Products, that customer may choose to pick up the order on his or her own in lieu of delivery once an order is
placed via the Platform.
DIMANA sebagai tambahan kepada Platform atas talian, Pihak-Pihak juga hendaklah bersetuju mengenai penghantar yang akan menghantar
Produk-Produk daripada Restoran kepada pelanggan da, tanpa mengambil kira siapa yang menghantar Produk-produk tersebut, pelanggan boleh
memilih untuk mengambil pesanan tersebut secara kediri sebagai gantian penghantaran selepas pesanan dibuat melalui Platform.
WHEREAS in the event of Restaurant performing the delivery services (“Restaurant Delivery”), Foodpanda shall charge the customer the
delivery fee on behalf of the Restaurant.
DIMANA sekiranya Restoran melaksanakan perkhidmatan penghantaran (“Penghantaran Restoran”), Foodpanda hendaklah
mengenakan bayaran penghantaran kepada pelanggan bagi pihak Restoran.
WHEREAS all contracts that are concluded by Foodpanda in its function as commercial agent on behalf of the Restaurant with customers via
Foodpanda's online marketplace will be based on the General Terms and Conditions with the customers as found on the Platform and Restaurant
App.
DIMANA semua kontrak yang dimuktamadkan oleh Foodpanda dalam fungsinya sebagai ejen komersial untuk pihak Restoran dengan
pelanggan-pelanggan melalui pasaran dalam talian Foodpanda akan berdasarkan kepada Terma-Terma dan Syarat-Syarat Umum dengan
pelanggan-pelanggan sepertimana yang terdapat pada Platform dan Applikasi Restoran.

2. Restaurant Obligations
2.1 The Restaurant shall:
2.1.1 provide Foodpanda with up-to-date menu information, and operating hours; any intended changes to the Products/menu information
will take up to five (5) business days to take effect in the Restaurant App;
2.1.2 provide Foodpanda, its employees, agents, consultants and subcontractors, access to the Restaurant's premises and other facilities
as reasonably needed by Foodpanda to perform the Services;
2.1.3 comply with all local laws and regulations an obtain and maintain all necessary licenses, permissions and consents which may be
required to perform its obligations under this Agreement;
2.1.4 upon receiving an order via the Foodpanda Restaurant App, accept such order promptly and no later than within three (3) mins from
the time the order was placed, prepare and fulfill such order promptly and no later than within fifteen (15) minutes
, or within the preparation time allocated by Foodpanda to the restaurant as indicated in the Restaurant App (whichever is applicable),
and at the quality of the same standard as the common standard of the Restaurant, pack it in accordance with Foodpanda standards
as communicated from time to time to the Restaurant, and hand it to the Foodpanda delivery rider or to its own delivery person, as
applicable;
2.1.5 if the Restaurant is temporarily unable to receive, prepare and/or fulfill orders (for a duration of less than one (1) hour), inform
Foodpanda immediately via Restaurant App or the service hotline and shut down the Restaurant App temporarily. If the Restaurant is
unable to receive, prepare and/or fulfill orders for a longer duration (due to restaurant closure or public holiday, for example)
Foodpanda must be informed of the same and be given a timeframe for re-commencement of such Services at least two (2) business
days in advance;
1.1.1 guarantee that the prices, including promotional prices, offered to customers on the Platform are identical to the prices offered to
customers by the Restaurant when placing delivery orders by phone, website, mobile app or any other platform operated by the
Restaurant. For the avoidance of doubt, the Restaurant shall ensure that all offers, discounts, deals, and other promotions which are
available to the Restaurant’s customers for any period during the term, whether in-store, online or otherwise, and whether offered
directly or indirectly by the Restaurant, are similarly available through the Platform for the Products for at least the said period,
provided that offer can be replicated online. If the Restaurant intends to offer any lower prices, promotions or discounts, the
Restaurant shall inform Foodpanda at least 7 days in advance;
2.1.6 if the Restaurant is Halal certified, it must inform Foodpanda in writing of this certification. If there are any changes to the Restaurant’s
status with regards to Halal certification, the same must be made known to Foodpanda within 24 hours of any such changes;
2.1.7 comply with Foodpanda’s operational standards and policies in the Restaurant’s use of the Services, including but not
limited to those set out in Appendices A and B;
2.1.8 insofar as, while placing the order, the customer chooses to pick up the order on his or her own in lieu of delivery, the Clauses in this
Agreement shall apply subject to the provision that there will be no delivery of the order to the customer. A Delivery Charge shall not
be charged in this case. In the event of pick-up by the customer, the Restaurant shall be required to make the Goods available for
pick-up by the end customer at the end of the preparation time indicated in Clause 2.1.4 hereof. It shall be the Restaurant's
responsibility to ensure that the order is handed over to the right customer. Foodpanda shall not be liable if the order is not received
by the customer or not received in a timely manner. Disputes arising in this regard between the customer and the Restaurant shall not
affect Foodpanda's responsibility. In the event of pick-up by the end customer, all applicable contractual and other provisions shall be
interpreted consistently with this Clause; and
2.1.9 in the event of Restaurant Delivery or delivery not performed by Foodpanda:
2.1.9.1 provide Foodpanda with a realistic estimated delivery time at the same time as providing the menu information;
2.1.9.2 deliver to the customer all accepted orders within the time indicated at acceptance by Restaurant;
2.1.9.3 immediately inform Foodpanda of any delay in delivering the order according to the estimated delivery time;
2.1.9.4 deliver the order in a state that a customer would expect for that type of food, with the appropriate packaging;
2.1.9.5 inform Foodpanda about any cancelled, fake or any non-fulfilled orders within forty eight (48) hours from acceptance
of the order; and
2.1.9.6 inform Foodpanda of its delivery fee and a minimum order value applicable to customer orders with Restaurant
Delivery;
2.1.10 Revenue Board of Malaysia (“IRBM” or “LHDN”), notify Foodpanda in writing of any if it is SST registered with the Inland changes to
its SST registration status within 24 hours of any such change (including but not limited to SST deregistration and cancellation of SST
registration);
2.1.11 where applicable, pay a monthly platform performance fee to Foodpanda (“Platform Performance Fee”) based on the
Restaurant’s monthly gross food value (“GFV”) as set out below:
2.1.11.1 each month’s Platform Performance Fee will be reflected in the invoice of the subsequent month. For the avoidance of
doubt, the Platform Performance Fee will be charged one month after the date the Restaurant’s account is activated;
and
2.1.11.2 Foodpanda may at its sole discretion revise the Platform Performance Fee at any time;

2. Kewajipan Restoran
2.1 Restoran hendaklah:
2.1.1 menyediakan Foodpanda dengan maklumat menu terkini, dan waktu operasi; sebarang perubahan yang dimaksudkan pada
maklumat Produk/menu akan mengambil masa sehingga lima (5) hari perniagaan untuk berkuatkuasa dalam Applikasi Restoran;
2.1.2 menyediakan Foodpanda, pekerjanya, ejennya, perundingnya dan subkontraktornya, akses ke premis Restoran dan kemudahan lain
yang semunasabahnya diperlukan oleh Foodpanda untuk melaksanakan Perkhidmatan;
2.1.3 mematuhi semua undang-undang dan peraturan tempatan dan mendapatkan serta mengekalkan kesemua lesen, kebenaran dan
persetujuan yang mungkin diperlukan untuk melaksanakan kewajipannya di bawah Perjanjian ini;
2.1.4 apabila menerima pesanan melalui Aplikasi Restoran Foodpanda, menerima pesanan tersebut dengan segera dan tidak lewat
daripada tiga (3) minit dari masa pesanan dibuat, menyeediakan dan memenuhi pesanan tersebut dengan segera dan tidak lewat
daripada lima belas (15) minit , atau dalam masa penyediaan yang diperuntukkan oleh Foodpanda kepada restoran seperti yang
ditunjukkan dalam Aplikasi Restoran (yang mana berkenaan), dan pada kualiti standard yang sama dengan standard biasa Restoran,
membungkusnya mengikut piawaian Foodpanda seperti yang dikomunikasikan dari semasa ke semasa ke Restoran, dan
menyerahkannya kepada penunggang penghantaran Foodpanda atau kepada orang penghantarannya sendiri, mengikut mana yang
berkenaan;
2.1.5 jika Restoran tidak dapat menerima, menyediakan dan/atau memenuhi pesanan buat sementara waktu (untuk tempoh kurang
daripada satu (1) jam), memaklumka kepadan Foodpanda dengan segera melalui Aplikasi Restoran atau talian hotline dan menutup
Aplikasi Restoran buat sementara waktu. Jika Restoran tidak dapat menerima, menyediakan dan/atau memenuhi pesanan untuk
tempoh yang lebih lama (disebabkan oleh penutupan restoran atau cuti umum, contohnya) Foodpanda mestilah dimaklumkan
berkaitan perkara tersebut dan diberi tempoh masa untuk memulakan semula Perkhidmatan tersebut sekurang-kurangnya dua (2)
hari bekerja lebih awal;
2.1.6 menjamin bahawa harga, termasuk harga promosi, yang ditawarkan kepada pelanggan di Platform adalah sama dengan harga yang
ditawarkan kepada pelanggan oleh Restoran apabila membuat pesanan penghantaran melalui telefon, laman sesawang, aplikasi
mudah alih atau mana-mana platform lain yang dikendalikan oleh Restoran. Untuk mengelakkan keraguan, Restoran hendaklah
memastikan bahawa semua tawaran, diskaun, tawaran dan promosi lain yang tersedia kepada pelanggan Restoran untuk sebarang
tempoh sepanjang tempoh tersebut, sama ada di kedai, dalam talian atau sebaliknya, dan sama ada ditawarkan secara langsung
atau tidak langsung. oleh Restoran, juga tersedia melalui Platform untuk Produk-Produk untuk sekurang-kurangnya tempoh tersebut,
dengan syarat tawaran boleh direplikasikan secara dalam talian. Jika Restoran bercadang untuk menawarkan sebarang harga yang
lebih rendah, promosi atau diskaun, Restoran hendaklah memaklumkan kepada Foodpanda sekurang-kurangnya 7 hari lebih awal;
2.1.7 jika Restoran mempunyai persijilan Halal, Restoran mesti memaklumkan kepada Foodpanda secara bertulis tentang pensijilan ini.
Jika terdapat sebarang perubahan pada status Restoran berkaitan dengan pensijilan Halal, perkara yang sama mesti dimaklumkan
kepada Foodpanda dalam tempoh 24 jam selepas sebarang perubahan tersebut;
2.1.8 mematuhi piawaian operasi dan dasar Foodpanda dalam penggunaan Perkhidmatan oleh Restoran, termasuk tetapi tidak terhad
kepada yang dinyatakan dalam Lampiran A dan B;
2.1.9 setakat, semasa membuat pesanan, pelanggan memilih untuk mengambil pesanan itu secara kediri sebagai ganti penghantaran,
Klausa dalam Perjanjian ini hendaklah terpakai tertakluk kepada peruntukan bahawa tidak akan ada penghantaran pesanan kepada
pelanggan. Caj Penghantaran tidak akan dikenakan dalam kes ini. Sekiranya berlaku pengambilan kediri oleh pelanggan, Restoran
dikehendaki menyediakan Barangan untuk diambil oleh pelanggan pada penghujung masa penyediaan seperti yang dinyatakan
dalam Klausa 2.1.4 di sini. Menjadi tanggungjawab Restoran untuk memastikan pesanan diserahkan kepada pelanggan akhir yang
betul. Foodpanda tidak akan bertanggungjawab sekiranya pesanan tidak diterima oleh pelanggan atau tidak diterima tepat pada
masanya. Pertikaian yang timbul dalam hal ini di antara pelanggan dan Restoran tidak akan menjejaskan tanggungjawab Foodpanda.
Sekiranya berlaku pengambilan oleh pelanggan akhir, semua peruntukan kontrak dan peruntukan lain yang berkenaan hendaklah
ditafsirkan secara konsisten dengan Klausa ini; dan
2.1.10 sekiranya berlaku Penghantaran Restoran atau penghantaran tidak dilakukan oleh Foodpanda:
2.1.10.1 menyediakan Foodpanda dengan anggaran masa penghantaran yang realistik pada masa yang sama dengan
menyediakan maklumat menu;
2.1.10.2 menghantar kepada pelanggan semua pesanan yang diterima dalam masa yang dinyatakan semasa penerimaan
oleh Restoran;
2.1.10.3 segera memaklumkan Foodpanda tentang sebarang kelewatan penghantaran pesanan mengikut anggaran masa
penghantaran;
2.1.10.4 menghantar pesanan dalam keadaan yang pelanggan harapkan untuk jenis makanan tersebut, dengan
pembungkusan yang sesuai;
2.1.10.5 memaklumkan Foodpanda tentang sebarang tempahan yang dibatalkan, palsu atau tidak dipenuhi dalam tempoh
empat puluh lapan (48) jam dari tarikh penerimaan pesanan; dan
2.1.10.6 memaklumkan Foodpanda tentang bayaran penghantarannya dan nilai pesanan minimum yang terpakai kepada
pesanan pelanggan dengan Penghantaran Restoran;
2.1.11 Lembaga Hasil Malaysia (“IRBM” atau “LHDN”), memaklumkan Foodpanda secara bertulis sekiranya SST berdaftar dengan
LHDN bertukar status pendaftaran SSTnya dalam tempoh 24 jam dari sebarang perubahan tersebut (termasuk tetapi tidak terhad
kepada pembatalan pendaftaran SST dan pembatalan SST);
2.1.12 jika berkenaan, membayar yuran prestasi platform bulanan kepada Foodpanda (“Yuran Prestasi Platform”) berdasarkan nilai
makanan kasar bulanan Restoran (“GFV”) seperti yang dinyatakan di bawah:

2.2.1 Memastikan kesemua peranti elektronik dan perisian yang digunakan untuk menerima pesanan, berkomunikasi dengan Foodpanda,
pelanggan dan kakitangan penghantaran, dan/atau yang menyimpan, memproses dan/atau mengakses data peribadi pelanggan dan
kakitangan penghantaran, termasuk Aplikasi Restoran, disimpan secara selamat, tertakluk kepada langkah keselamatan fizikal dan
kawalan akses capaian elektronik yang ketat. Tanpa menjejaskan keluasan perkara di atas, Restoran hendaklah memastikan bahawa
peranti elektronik tersebut tidak digunakan untuk apa-apa tujuan selain daripada tujuan yang dinyatakan oleh Perjanjian ini, bahawa
butiran log masuk dan kata laluan disimpan berdasarkan keperluan untuk mengetahui yang ketat. , bahawa perisian anti-virus yang
munasabah dipasang pada peranti elektronik tersebut dan Foodpanda diberikan akses dan bantuan sedemikian secara munasabah
untuk menjalankan ujian keselamatan dan pemulihan pada Aplikasi Restoran, termasuk penilaian kerentanan dan ujian penembusan;
2.2.2 tidak, dan/atau tidak akan membenarkan mana-mana pihak, secara langsung atau tidak langsung, terlibat dalam sebarang aktiviti

2.2.3 Tanpa menjejaskan kewajipan amnya untuk mematuhi Akta Perlindungan Data Peribadi 2010 dan kewajipannya di bawah Fasal 10.3
Perjanjian ini, memastikan ia mengekalkan keselamatan semua data peribadi yang dikendalikannya, termasuk pelanggan dan
kakitangan penghantaran, untuk menghalang akses dan penggunaan yang tidak dibenarkan oleh pihak ketiga
3. Suspension
3.1 Foodpanda shall have the right to temporarily suspend the Restaurant from the Website, without liquidated damages, if in its reasonable
opinion, the Restaurant is in breach of any terms of this Agreement or may be negatively affecting Foodpanda’s business.
3.2 For the avoidance of doubt, any suspension shall not result in the termination of this Agreement, the provisions of which shall remain fully
applicable.
Penggantungan
3.1 Foodpanda berhak untuk menggantung Restoran secara sementara daripada Laman Sesawang, tanpa ganti rugi tertentu, jika sekiranya
pada pendapat munasabahnya, Restoran melanggar mana-mana syarat Perjanjian ini atau mungkin menjejaskan perniagaan Foodpanda
secara negatif.
3.2 Untuk mengelakkan senarang keraguan, sebarang penggantungan tidak akan menyebabkan Perjanjian ini ditamatkan, yang peruntukannya
akan kekal terpakai sepenuhnya.

5. Preferred Partnership
5.1 Restaurants have the option of enrolling in the preferred partnership programme (“Preferred Partnership Programme”) to enjoy the
Preferred Partnership Rate agreed to on the Front Sheet (if applicable), under which the Restaurant agrees that for a period of one
[1] year from the date of this Agreement (“Preferred Partnership Term”), it shall not enter into any agreements with any third parties
that provide services that are similar or identical to the Services. For avoidance of doubt, the Preferred Partnership Rate shall be offered to
the Restaurant throughout the Preferred Partnership Term only. Upon the expiry of the Preferred Partnership Term, the Restaurant shall no
longer enjoy the Preferred Partnership Rate, and the Non-Preferred Partnership Rate shall apply to the Restaurant, unless otherwise agreed
in writing between Foodpanda and the Restaurant.
5.2 Should the Restaurant not opt to work exclusively with Foodpanda, the Non- Preferred Partnership Rate agreed to on the Front Sheet shall
apply.
5.3 Notwithstanding Clause 5.1 above, the Restaurant may, at any time during the Preferred Partnership Term, decide that it no longer wishes to
work with Foodpanda exclusively by informing Foodpanda of such decision with at least ninety days’ (90) notice in writing, and the
Non-Preferred Partnership Rate shall apply to the Restaurant with effect from the first day of the following month following the end of the said
notice period. For avoidance of doubt, the Restaurant shall no longer enjoy the Preferred Partnership Rate on the date that the Non-
Preferred Partnership Rate takes effect.
5.4 Foodpanda reserves the right to discontinue the Preferred Partnership Programme at any time during the Preferred Partnership Term or
otherwise upon provision of at least thirty (30) days written notice to the Restaurant.
5. Perkongsian Pilihan
5.1 Restoran mempunyai pilihan untuk mendaftar dalam program perkongsian pilihan (“Program Perkongsian Pilihan”) untuk menikmati Kadar
Perkongsian Pilihan yang dipersetujui pada Helaian Hadapan (jika berkenaan), di mana Restoran bersetuju untuk tempoh satu [1] tahun dari
tarikh Perjanjian ini (“Terma Perkongsian Pilihan”), ia tidak boleh membuat sebarang perjanjian dengan mana-mana pihak ketiga yang
menyediakan perkhidmatan yang serupa atau serupa dengan Perkhidmatan. Untuk mengelakkan keraguan, Kadar Perkongsian Pilihan akan
ditawarkan kepada Restoran sepanjang Tempoh Perkongsian Pilihan sahaja. Setelah tamat Tempoh Perkongsian Pilihan, Restoran tidak lagi
akan menikmati Kadar Perkongsian Pilihan, dan Kadar Perkongsian Bukan Pilihan akan dikenakan kepada Restoran, melainkan jika
dipersetujui sebaliknya secara bertulis antara Foodpanda dan Restoran.
5.2 Sekiranya Restoran tidak memilih untuk bekerja secara eksklusif dengan Foodpanda, Kadar Perkongsian Bukan Pilihan yang dipersetujui di
Helaian Hadapan akan dikenakan.
5.3 Walau apa pun Klausa 5.1 di atas, Restoran boleh, pada bila-bila masa semasa Tempoh Perkongsian Pilihan, memutuskan bahawa ia tidak
lagi mahu bekerjasama dengan Foodpanda secara eksklusif dengan memaklumkan kepada Foodpanda tentang keputusan tersebut dengan
sekurang-kurangnya sembilan puluh hari (90) notis bertulis, dan Kadar Perkongsian Bukan Pilihan hendaklah terpakai kepada Restoran
berkuat kuasa dari hari pertama bulan berikutnya selepas tamat tempoh notis tersebut. Untuk mengelakkan keraguan, Restoran tidak akan
lagi menikmati Kadar Perkongsian Pilihan pada tarikh Kadar Perkongsian Bukan Pilihan berkuat kuasa.
5.4 Foodpanda berhak untuk menghentikan Program Perkongsian Pilihan pada bila-bila masa semasa Tempoh Perkongsian Pilihan atau
sebaliknya setelah memberikan notis bertulis sekurang-kurangnya tiga puluh (30) hari kepada Restoran.

6.5.1 any claim that, if true, would constitute a breach of this Agreement by the Restaurant, its employees, agents or representatives;
6.5.2 any claim related to injury to, or death of, any person or damage to any property arising out of or related to the Restaurant obligations
arising out of this Agreement; or
6.5.3 any claim arising out of and in connection with the Restaurant’s failure to:
6.5.3.1 provide customers with a tax invoice, simplified tax invoice or tax receipt (as the case may be); or
6.5.3.2 pay any relevant taxes or report any relevant assessments; and
6.5.4 any claim that otherwise arises from the negligence, acts, or failures to act, of Restaurant, its employees, agents or representatives.
6.6 The Restaurant shall indemnify and hold harmless the Indemnitees from any costs, losses, claims, damages and fees (including reasonable
legal fees) incurred by any of them that are attributable to any such claim.
6.7 The Restaurant acknowledges that it is aware that Foodpanda is a reputable company in Malaysia, which seeks to provide convenience,
reliability, and quality to customers. As Foodpanda’s systems and operations are heavily dependent on customer experience and feedback,
the Restaurant confirms and agrees with Foodpanda that in the event the Restaurant fails to observe or comply with Foodpanda’s operational
standards as specified in Appendix A (and as amended by Foodpanda from time to time), the Restaurant shall pay to Foodpanda such sum
as shall be determined by Foodpanda in accordance with Appendix A as liquidated damages (“Customer Recovery Charge”). The
aforesaid Customer Recovery Charge shall not prejudice the right of Foodpanda to claim damages for the costs and expense of taking such
steps as deemed necessary by Foodpanda to rectify such non-observation and/or non-compliance of such operational standards. For the
avoidance of doubt, this Clause 6.7 is intended to be read in conjunction with Appendix A.

7.2 The Restaurant agrees that its Intellectual Property, including the name of the Restaurant, its logo, the address, a brief slogan and
photographs, may be published online by Foodpanda on the Platform, so that the Restaurant can be identified as a Foodpanda partner
restaurant on such online platform. The Restaurant permits Foodpanda, at Foodpanda’s cost, to advertise the Restaurant on the Platform, on
Facebook, Google and any other relevant offline and online marketing channels. It is recommended that the Restaurant displays and hands
out Foodpanda marketing materials such as gift cards in the Restaurant and links to the Platform on its website (if available) via a certificate
picture and an “order now” button.
7.3 All Intellectual Property rights in such marketing materials and otherwise arising out of the Services shall be the exclusive property of
Foodpanda.
7.4 The Restaurant does not have any rights whatsoever to use or avail itself to any Intellectual Property rights of Foodpanda, including any
domains or similar domain names.
7.5 The Restaurant represents, warrants and undertakes that the use by Foodpanda of the Intellectual Property of the Restaurant, including the
name, logo and/or image of the Restaurant, and/or other marketing materials in accordance with Clause 7 of this Agreement shall not infringe
the intellectual property rights of any third party.
7.6 In case the Restaurant is in breach of Clause 7.5, with the result that Foodpanda is obligated to pay royalty fees or any other payment (the
“Royalty Fee”) to any third party for the use of the name, logo and /or image of, or used by, the Restaurant, necessary in order to provide
the Services, the Parties agree that such Royalty Fee shall be borne wholly by the Restaurant.
7.7 It is agreed that neither Party shall obtain any other rights to the Intellectual Property of the other Party, except as catered for in these Terms.
8. Partnering platforms
Foodpanda may display the Restaurant menu on any other platform owned by, operated by, or affiliated with Foodpanda.
8. Platform Perkongsian
Foodpanda boleh memaparkan menu Restoran pada mana-mana platform lain yang dimiliki oleh, dikendalikan oleh, atau bergabung dengan
Foodpanda.

11.1 Tiada apa-apa dalam Perjanjian ini boleh mengehadkan atau mengecualikan liabiliti mana-mana Pihak untuk kematian atau kecederaan
peribadi yang disebabkan oleh kecuaiannya, atau kecuaian pekerja, ejen atau subkontraktornya atau penipuan atau salah nyata palsu.
11.2 Tertakluk kepada klausa 11.1:
11.2.1 Foodpanda dalam apa jua keadaan tidak akan bertanggungjawab kepada Restoran, sama ada dalam kontrak, tort (termasuk
kecuaian), pelanggaran kewajipan berkanun, atau sebaliknya, untuk sebarang kehilangan keuntungan, atau sebarang kerugian tidak
langsung atau berbangkit yang timbul di bawah atau berkaitan dengan Perjanjian ini; dan
11.2.2 Jumlah liabiliti Foodpanda kepada Restoran berkenaan dengan semua kerugian lain yang timbul di bawah atau berkaitan dengan
Perjanjian ini, sama ada dalam kontrak, tort (termasuk kecuaian), pelanggaran kewajipan berkanun, atau sebaliknya, tidak boleh
melebihi Yuran Agensi dalam apa jua keadaan. dibayar dalam tempoh pembayaran sebelumnya pada masa kejadian yang
menimbulkan liabiliti tersebut.
11.3 Klausa 11 ini akan terus terpakai walaupun Perjanjian ini ditamatkan
12. Amendments
12.1 Foodpanda shall have the right to amend these Terms and Agreement at its sole discretion, provided that it shall inform Restaurant of such
amendments in writing fourteen (14) days from the date of amendment.
12.2 Restaurant shall have the right to object to such amendments within seven (7) days from receipt of such amendments (the “Objection
Period”) and shall provide reasonable grounds for such objections, which shall be reviewed by Foodpanda. Foodpanda shall provide
Restaurant with its decision on the acceptance or rejection of the objection within five (5) business days from receipt of such objections, which
decision shall be final.
12.3 The amendments shall become valid and effective between the Parties (i) upon the expiry of the Objection Period, if no objection was
submitted, or (ii) two (2) business days after the rejection by Foodpanda of any objections made by Restaurant.
12.4 Restaurant has the right to terminate this Agreement in the event of no agreement being reached between the Parties on the amendments,
provided that such termination must be notified to Foodpanda within seven (7) days of the rejection by Foodpanda of any objections made by
the Restaurant. In such event, this Agreement shall terminate seven (7) days after the Restaurants’ written termination notice is received by
Foodpanda. For the avoidance of doubt, during that fourteen (14) day period, Restaurant shall not be obliged to abide by any amendments
made by Foodpanda and shall abide by the then valid Terms.
12.5 Any notice made in accordance with the provisions of this Clause 12 may be sent by email to the email address mentioned on the Front
Sheet, or any other email address as agreed between the Parties and shall be deemed notified at 09.00hrs of the next business day following
the day on which such email was sent.
12. Pindaan
12.1 Foodpanda berhak untuk meminda Terma dan Perjanjian ini mengikut budi bicara mutlaknya, dengan syarat ia akan memaklumkan kepada
Restoran mengenai pindaan tersebut secara bertulis empat belas (14) hari dari tarikh pindaan.
12.2 Restoran mempunyai hak untuk membantah pindaan tersebut dalam masa tujuh (7) hari dari tarikh penerimaan pindaan tersebut ("Tempoh
Bantahan") dan hendaklah menyediakan alasan yang munasabah untuk bantahan tersebut, yang akan disemak oleh Foodpanda.
Foodpanda hendaklah memberikan keputusan kepada Restoran mengenai penerimaan atau penolakan bantahan dalam tempoh lima (5) hari
bekerja dari tarikh bantahan tersebut diterima, yang mana keputusannya adalah muktamad.
12.3 Pindaan akan menjadi sah dan berkuat kuasa antara Pihak-Pihak (i) selepas tamat Tempoh Bantahan, jika tiada bantahan dikemukakan, atau
(ii) dua (2) hari bekerja selepas penolakan oleh Foodpanda terhadap sebarang bantahan yang dibuat oleh Restoran.
12.4 Restoran mempunyai hak untuk menamatkan Perjanjian ini sekiranya tiada persetujuan dicapai antara Pihak mengenai pindaan, dengan
syarat penamatan tersebut mesti dimaklumkan kepada Foodpanda dalam tempoh tujuh (7) hari dari penolakan oleh Foodpanda terhadap
sebarang bantahan yang dibuat oleh Restoran. Dalam keadaan sedemikian, Perjanjian ini akan ditamatkan tujuh (7) hari selepas notis
penamatan bertulis Restoran diterima oleh Foodpanda. Untuk mengelakkan keraguan, dalam tempoh empat belas (14) hari itu, Restoran
tidak akan diwajibkan untuk mematuhi sebarang pindaan yang dibuat oleh Foodpanda dan hendaklah mematuhi Terma yang sah ketika itu.
12.5 Sebarang notis yang dibuat mengikut peruntukan Klausa 12 ini boleh dihantar melalui e-mel ke alamat e-mel yang disebut di Helaian
Hadapan, atau mana-mana alamat e-mel lain seperti yang dipersetujui antara Pihak dan akan dianggap dimaklumkan pada jam 09.00 pagi
perniagaan seterusnya hari selepas hari di mana e-mel tersebut dihantar.

13. Severability
If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum
extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be
deemed deleted. Any modification to or deletion of a provision or part-provision under this Clause shall not affect the validity and enforceability
of the rest of this Agreement.
13. Kebolehasingan
Sekiranya terdapat sebarang peruntukan atau sebahagian daripada sebarang peruntukan Perjanjian ini yang menjadi tidak sah di sisi
undang-undang atau tidak boleh dikuatkuasakan, maka ia akan dianggap diubahsuai seminima mungkin untuk menjadikannya sah di sisi
undang-undang dan boleh dikuatkuasakan. Sekiranya pengubahsuaian tersebut tidak berkemungkinan, peruntukkan atau bahagian
peruntukkan tersebut akan dianggap dipadamkan. Sebarang pengubahsuaian atau pemadaman sebarang peruntukkan atau sebahagian
daripada sebarang peruntukkan di bawah Klausa ini tidak akan mempengaruhi kesahihan dan kebolehkuatkuasaan keseluruhan Perjanjian
ini.
14. Waiver
A waiver of any right under this Agreement or law is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent
breach or default. No failure or delay by a party in exercising any right or remedy provided under this Agreement or by law shall constitute a
waiver of that or any other right or remedy, nor shall it prevent or restrict its further exercise of that or any other right or remedy. No single or
partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.
14. Penepian
Penepian sebarang hak di bawah Perjanjian ini atau undang-undang hanya berkesan sekiranya secara bertulis dan tidak boleh dianggap
sebagai penepian sebarang pelanggaran atau keingkaran berikutnya. Tiada keingkaran atau kelewatan oleh pihak yang menguatkuasakan
sebarang hak atau remedi yang diperuntukkan di bawah Perjanjian ini atau oleh undang-undang akan terjumlah sebagai suatu penepian hak
atau remedi tersebut atau sebarang hak atau remedi lain, dan juga tidak akan menghalang atau menyekat pelaksanaan hak atau remedi
tersebut atau sebarang hak atau remedi lain. Tidak ada satu atau sebahagian penguatkuasaan hak atau remedi yang boleh menghalang atau
menyekat penguatkuasaan hak atau remedi tersebut atau sebarang hak atau remedi lain.
15. No partnership
Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the parties.

16. Insurance
During the term, the Restaurant shall always obtain and maintain adequate insurance to cover any potential liability that it may incur under this
Agreement.

sebarang potensi liabiliti yang mungkin ditanggung di bawah Perjanjian ini.
17. Assignment
17.1 Foodpanda may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights under this
Agreement and may subcontract or delegate in any manner any or all of its obligations under this Agreement to any third party or agent.
17.2 The Restaurant shall not, without the prior written consent of Foodpanda, assign, transfer, mortgage, charge, subcontract, declare a trust over
or deal in any other manner with any or all its rights or obligations under this Agreement.

20.2 Mana-mana Pihak tidak bertanggungjawab terhadap Pihak yang satu lagi akibat kelewatan atau kegagalan untuk melaksanakan
kewajipannya di bawah Perjanjian ini akibat Peristiwa Force Majeure.
20.3 Jika Peristiwa Force Majeure menghalang mana-mana Pihak daripada melaksanakan kewajipannya di bawah Perjanjian ini untuk tempoh
masa lebih daripada empat minggu, mana-mana Pihak hendaklah, tanpa mengehadkan hak atau remedi lain, mempunyai hak untuk
menamatkan Perjanjian ini serta-merta dengan memberi notis bertulis kepada Pihak yang satu lagi.

23. Notices
23.1 All notices under this Agreement shall be in writing, addressed to the agreed contact person/address as per this Agreement, and be deemed
duly given:
23.1.1 On the same day when delivered, if delivered by hand during normal business hours of the recipient;
23.1.2 On the same day when sent, if transmitted by fax or e-mail to the contact person on the Front Sheet or any approved substitute
thereof, and a confirmation of receipt or delivery is provided;
23.1.3 On the third business day following mailing, if sent by post.
23. Notis
23.1 Semua notis di bawah Perjanjian ini hendaklah dibuat secara bertulis, ditujukan kepada orang yang patut dihubungi/alamat yang dipersetujui
sepertimana yang diperuntukkan dalam Perjanjian ini, dan dianggap diberikan dengan sewajarnya:
23.1.1 Pada hari yang sama semasa dihantar, sekiranya dihantar dengan tangan sewaktu perniagaan biasa penerima;
23.1.2 Pada hari yang sama semasa dihantar, sekiranya dihantar melalui faks atau e-mel kepada orang yang patut dihubungi berdasarkan
Helaian Hadapan atau mana-mana pengganti yang diluluskan, dan pengesahan penerimaan atau penghantaran disediakan;
23.1.3 Pada hari perniagaan ketiga selepas hari pengeposan, sekiranya dihantar melalui pos.

25. Pandabox
25.1 Foodpanda offers an add-on marketing service “Pandabox” which targets customers who are new to the Restaurant with three
(3) limited-time deals (“Deals”) when customers log onto the Platform. Deals shall have a fixed discount mechanism of either MYR4.00,
MYR7.00 or MYR10.00, depending on order value of MY15.00, MYR23.00 or MYR30.00 respectively and customers are required to place
their order within fifteen (15) minutes to qualify for the discount.
25.2 If the Restaurant opts for add-on marketing service “Pandabox” with Foodpanda, the Restaurant shall be charged a fee equal to
50% of such order when a customer places a Pandabox order for Restaurant’s menu items.
25.3 Restaurant may limit the number of redemptions per day.
25.4 The Pandabox service may be terminated by the Restaurant upon giving Foodpanda not less than three (3) days’ prior written
notice. For avoidance of doubt, termination of Pandabox service does not amount to termination of this entire Agreement.
25. Pandabox
25.1 Foodpanda menawarkan perkhidmatan pemasaran tambahan “Pandabox” yang menyasarkan pelanggan yang baru mengenali Restoran
dengan tiga (3) tawaran masa terhad (“Tawaran”) apabila pelanggan melog masuk ke Platform. Tawaran mempunyai mekanisme diskaun
tetap sama ada MYR4.00, MYR7.00 atau MYR10.00, bergantung pada nilai pesanan masing- masing MY15.00, MYR23.00 atau MYR30.00
dan pelanggan dikehendaki membuat pesanan mereka dalam tempoh lima belas (15
) minit untuk layak mendapat diskaun.
25.2 Jika Restoran memilih perkhidmatan pemasaran tambahan "Pandabox" dengan Foodpanda, Restoran akan dikenakan bayaran yang sama
dengan 50% daripada pesanan tersebut apabila pelanggan membuat pesanan Pandabox untuk item menu Restoran.
25.3 Restoran boleh mengehadkan bilangan penebusan setiap hari.
25.4 Perkhidmatan Pandabox boleh ditamatkan oleh Restoran dengan memberi Foodpanda tidak kurang daripada tiga (3) hari notis bertulis. Untuk
mengelakkan keraguan, penamatan perkhidmatan Pandabox tidak sama dengan penamatan keseluruhan Perjanjian ini.
26. Pandago
1.1 Foodpanda offers an ‘On Demand Rider Platform’ where the Restaurant may request for a delivery to be made from its location to its
customer’s address through a rider provided from Foodpanda’s rider pool (“pandago Service”). The Restaurant may access the
pandago Service using the Restaurant App or via the ‘Request a Rider’ page found on the pandago website, https://pandago.my
1.2 By using the pandago Service:
1.2.1 the Restaurant consents and agrees to be bound by the pandago Terms and Conditions, as may be amended from time to
time. The pandago Terms and Condition are incorporated by reference herein and accessible at
https://pandago.my/termsandconditions or via the link on the pandago website. In the event of any inconsistency between the
pandago Terms and Conditions and the terms of this Agreement, the pandago Terms and Conditions shall prevail.
1.2.2 the Restaurant shall pay Foodpanda a delivery fee for the pandago Service (“pandago Service Fee”), as reflected
on the pandago website and/or the Restaurant App. The Restaurant shall make payment of the pandago Service Fee to
Foodpanda in accordance with Clause 4 (Fees and Payments) of this Agreement.
26. Pandago
26.1 Foodpanda menawarkan “Platform Penunggan Atas Permintaan” di mana Restoran boleh memohon supaya penghantaran dibuat dari
lokasinya ke alamat pelanggannya melalui penunggang yang disediakan daripada kumpulan penunggang Foodpanda ("Perkhidmatan
pandago"). Restoran boleh mengakses Perkhidmatan pandago menggunakan Aplikasi Restoran atau melalui halaman ‘Request a Rider’
yang terdapat di laman web pandago, https://pandago.my
26.2 Dengan menggunakan Perkhidmatan pandago:
26.2.1 Restoran menerima dan bersetuju untuk terikat dengan Terma dan Syarat pandago, seperti yang mungkin dipinda dari semasa ke
semasa. Terma dan Syarat pandago digabungkan dengan rujukan di sini dan boleh diakses di
https://pandago.my/termsandconditions atau melalui pautan di laman web pandago. Sekiranya terdapat sebarang percanggahan
antara Terma dan Syarat pandago dan terma Perjanjian ini, Terma dan Syarat pandago akan diguna pakai.;
26.2.2 Restoran hendaklah membayar Foodpanda yuran penghantaran untuk Perkhidmatan pandago (“Yuran Perkhidmatan pandago”),

27.1 Dengan menandatangani Perjanjian ini, Restoran menerima dan bersetuju bahawa Foodpanda boleh menggunakan maklumat Restoran di
Helaian Hadapan untuk memberikan notifikasi (sama ada secara langsung atau melalui pembekal pihak ketiganya) berhubung dengan
Perjanjian ini, termasuk tetapi tidak terhad kepada notifikasi penghantaran, notifikasi kewangan dan operasi, promosi, tawaran, pendidikan
portal, tinjauan, maklum balas dan kemas kini pemasaran, melalui pelbagai saluran komunikasi dan media sosial termasuk tetapi tidak terhad
kepada e-mel, khidmat pesanan ringkas (SMS), WhatsApp, LINE, Google dan/atau Facebook. Restoran boleh menarik balik kebenarannya
dan menarik diri daripada menerima notifikasi sedemikian pada bila-bila masa dengan mengklik pada butang "Nyahlanggan" yang disediakan
dalam notifikasi.
27.2 Dengan menandatangani Perjanjian ini, Restoran menerima dan bersetuju dengan pemantauan dan/atau rakaman, pada bila- bila masa dan
dari semasa ke semasa, oleh Foodpanda, sekutunya, ejen dan/atau sub-kontraktor mana-mana dan semua komunikasi lisan antara
Restoran. pekerja, kakitangan dan/atau ejen dan pekerja, kakitangan dan/atau ejen Foodpanda berhubung dengan Perkhidmatan dan/atau

30. Counterparts
This Agreement may be executed in two or more identical counterparts, each of which shall be deemed to be an original and all of which
taken together shall be deemed to constitute the Agreement when a duly authorized representative of each Party has signed the counterpart.
The electronic signature of this Agreement by the authorized representative(s) of either Party shall have the same validity and effect as a
signature affixed by the hand of either Party’s authorized representative(s).
30. Kaunterpart
Perjanjian ini boleh dimeteraikan dalam dua atau lebih kaunterpart yang serupa, yang masing-masing dianggap sebagai asli dan
kesemuanya secara sesama dianggap sebagai sebahagian Perjanjian ini sekiranya wakil yang diberi kuasa oleh setiap Pihak
menandatangani kaunterpart tersebut. Tandatangan Perjanjian ini secara elektronik oleh wakil yang diberi kuasa oleh mana-mana Pihak
mempunyai kesahan dan kesan yang sama dengan tandatangan secara tangan oleh wakil yang diberi kuasa oleh mana-mana Pihak.
31. Language
This Agreement has been drafted and executed in English language. If this Agreement has been translated into any other language, the
English language text shall in any event prevail.
31. Bahasa
Perjanjian ini telah digubal dan dilaksanakan dalam Bahasa Inggeris. Sekiranya Perjanjian ini diterjemahkan ke dalam bahasa lain, teks
Bahasa Inggeris akan berlaku dalam apa jua keadaan.

Customer Recovery Charge
The Restaurant will only be required to pay a Customer Recovery Charge (“CRC”) when an order has negatively affected Foodpanda’s
customer’s experience and for operational problems that are fully within the Restaurant’s control.
The Restaurant agrees to pay Foodpanda the CRC for issues listed in the table below.
The contents of this table may be amended from time to time based at Foodpanda’s sole discretion. Foodpanda shall inform the Restaurant of such
amendments in writing 14 days before the effective date of such amendments.
The Restaurant shall be granted a grace period of 3 billing cycles (being 6 weeks) from the Activation Date (“Grace Period”) during
which the Restaurant may implement measures to address all its issues and/or operational problems. The CRC during the Grace Period will be
reflected in the invoice issued by Foodpanda to the Restaurant. However, the Restaurant shall not have to pay for the CRC during the Grace
Period. After the Grace Period is over, the Restaurant shall make payment of the CRC to Foodpanda as reflected in the invoices issued by
Foodpanda to the Restaurant.

Restoran bersetuju untuk membayar Foodpanda CRC untuk isu yang disenaraikan dalam jadual di bawah.
Kandungan jadual ini boleh dipinda dari semasa ke semasa berdasarkan budi bicara mutlak Foodpanda. Foodpanda hendaklah memaklumkan
kepada Restoran tentang pindaan tersebut secara bertulis 14 hari sebelum tarikh kuat kuasa pindaan tersebut.
Restoran akan diberikan tempoh penangguhan selama 3 kitaran pengebilan (menjadikan ianya 6 minggu) dari Tarikh Pengaktifan (“Tempoh
Penagguhan”) di mana Restoran boleh melaksanakan langkah-langkah untuk menangani semua isu dan/atau masalah operasinya. CRC semasa
Tempoh Penangguhan akan ditunjukkan dalam invois yang dikeluarkan oleh Foodpanda kepada Restoran. Walau bagaimanapun, Restoran tidak
perlu membayar CRC semasa Tempoh Penangguhan. Selepas tamat Tempoh Penangguhan, Restoran hendaklah membuat pembayaran CRC
kepada Foodpanda seperti yang ditunjukkan dalam invois yang dikeluarkan oleh Foodpanda kepada Restoran.

Redelivery charges
Between 1st September 2018 and 31st October 2018, only 0.11% of orders required a redelivery. Of these, two-thirds of orders were due to
the restaurant’s operational issues and one-third were due to foodpanda operational issues.
