(“NOTICE”) FOR A GRAB EXCLUSIVE BRAND

We, [ KUNYIT KITCHEN ] Company No.202103374669 (003351405-P) (the “Merchant”) appoints the
following restaurants who are under the control or authority of the Merchant, to be added or replaced as
Merchant Partner(s) on Grab as of effective date 27/05/22 (“Effective Date”), listed in Schedule 1.

The Merchant warrants all necessary approvals have been obtained to give effect to revision.

For all intents and purposes, all other terms in the General Terms and Conditions in Appendix 2 and
Merchant GrabPay Addendum in Appendix 3 (“Merchant Agreement”) remain the same. The Merchant
and Grab agrees the provisions of this Notice shall supersede and replace any conflicting terms contained
in the Merchant Agreement unless as expressly set forth herein. Nothing contained in this Notice shall
amend, change, modify, or alter any other provisions in the Merchant Agreement.

Terms & Conditions Payment Method


1. The Merchant agrees Grab shall have the right to deduct from the Merchant’s daily settlement
amount (“Merchant’s Settlement Amount) on a monthly basis on the 1st of every month commencing
from the following month of the date of receiving the device from Grab. For avoidance of doubt, the
method of deduction shall be automatic and shall be deemed to be default mode of choice
(“Automatic Payment Method”).

2. The deduction from the Merchant’s Settlement Amount shall be made on a monthly basis,
regardless and irrespective of Merchant’s Settlement Amount. For avoidance of doubt, if the
Merchant ’s Settlement Amount on the day of deduction is insufficient to deduct the amount owed,
the Merchant ’s Settlement Account on the day shall be negative. Grab shall have the right to claim
or recover or set off the negative balance with any balances the Merchant receives or any
amounts credited into the Merchant Settlement Amount on the following day or any period as
determined by Grab.

3. All applicable charges will be reflected in the Merchant’s Weekly Statement

4. The Merchant agrees that any loss, damages or defects of the asset(s) caused by any
negligence, mishandling, accident whether foreseeable or not, direct or indirect, either by your
Representative, employees, contractors, agents or third party, you shall compensate Grab
amounting to RM628(Sunmi V2) per bundle without contesting or requesting for a discount. The
Merchant will be liable to return the asset(s) to Grab in the event the Merchant submits an account
deactivation request to Grab. The Merchant shall compensate Grab amounting to RM628(Sunmi V2)
per bundle if the asset(s) are not returned to Grab. All compensations will be deducted from the
Merchant’s Settlement Amount. For avoidance of doubt, the method of deduction shall be automatic
and shall be deemed to be default mode of choice (“Automatic Payment Method”).

5. The Merchant agrees that Grab reserves the right to automatically un-pause their outlet(s) within
3 working days starting from the date the Merchant received the Sim Card and Device bundle from
Grab

6. The Merchant agrees that if the Sim Card and Device Bundle is not collected from Grab or its
authorised representatives within 14 days from the day that Grab or its authorised representative
notifies Merchant of the availability of the device, Grab reserves the right to automatically remove
Merchant from the Device Purchase Programme.

MERCHANT ACKNOWLEDGMENT AND AGREEMENT


The Merchant hereby agree to the terms in the payment method stated and agree that upon signing this Acknowledgement and
Agreement, the charges indicated above will be deducted from the Merchant’s Goods Revenue by Grab as indicated above.

Agreement to Perform Services – Terms and


Conditions
Perjanjian Untuk Perkhidmatan – Terma dan Syarat
These terms and conditions ("Terms"), together with the front sheet to which these Terms are attached ("Front Sheet") form the agreement
("Agreement") between Delivery Hero Malaysia Sdn Bhd ("Foodpanda") and the restaurant named on the Front Sheet ("Restaurant") for the
menu items ("Products") defined by the Restaurant.

Terma-terma dan syarat-syarat ini ("Terma"), bersama dengan helaian hadapan yang dilampirkan bersama Terma ini ("Helaian Hadapan")
membentuk perjanjian ("Perjanjian") antara Delivery Hero Malaysia Sdn Bhd ("Foodpanda") dan restoran yang dinamakan pada Helaian Hadapan
("Restoran") untuk item menu ("Produk-Produk") yang ditentukan oleh Restoran.

Foodpanda and the Restaurant shall collectively be referred to as “Parties” and individually as “Party”, as the case may be.

Foodpanda dan Restoran secara kolektif akan dirujuk sebagai "Pihak-Pihak" dan secara individu sebagai "Pihak", mengikut mana-mana yang
berkenaan.

WHEREAS Foodpanda acts as an independent contractor of the Restaurant and to this purpose, the Restaurant through this agreement grants
Foodpanda full authority to conclude and negotiate contracts with customers in the name and for the account of the Restaurant and for the offers of
the Restaurants made via Foodpanda's online platform www.foodpanda.my (the “Website”) and a mobile application (where applicable)
(“foodpanda App”). The Website and foodpanda App are collectively referred to as the “Platform”. It is understood that Foodpanda does not
act for the customers.

DIMANA Foodpanda bertindak sebagai kontraktor bebas bagi Restoran dan bagi tujuan ini, Restoran melalui perjanjian ini, memberikan Foodpanda
kuasa yang sepenuhnya untuk memuktamadkan dan merundingkan kontrak dengan pelanggan atas nama dan untuk akaun Restoran dan untuk
tawaran Restoran yang dibuat melalui Platform dalam talian Foodpanda www.foodpanda.my (“Laman Sesawang”) dan aplikasi mudah alih (jika
berkenaan) (“Aplikasi foodpanda”). Laman Sesawang dan Aplikasi foodpanda secara kolektif dirujuk sebagai “Platform”. Adalah difahamkan
bahawa Foodpanda tidak bertindak bagi pihak pelanggan.

WHEREAS Foodpanda, as part of the Foodpanda online platform, provides an online marketplace for the Restaurants, via which customers can
order prepared food items directly from the Restaurants. Thereto, Foodpanda receives the order of the customer online via the Platform, transmits it
via a printer / handset / Foodpanda’s proprietary mobile application for the Restaurant’s use (“Restaurant App”) installed by Foodpanda or, in
exceptional circumstances, by phone, to the Restaurant and accepts the payment of the customer for his orders online. The payment is accepted by
Foodpanda in the name and for the account of the Restaurant and transmitted to the Restaurant, after deducting applicable charges and/or fees
including but not limited to (1) the Agency Fee, (2) Monthly Data Charges and (3) Platform Performance Fee, as agreed and set out on the Front
Sheet (“Agency Fee”, "Monthly Data Charges" and “Platform Performance Fee” respectively, together, the “Services”).

DIMANA Foodpanda, sebagai sebahagian daripada Platform dalam talian Foodpanda, menyediakan pasaran dalam talian untuk Restoran, di mana
pelanggan boleh memesan hidangan tersedia terus daripada Restoran. Foodpanda akan menerima pesanan daripada pelanggan secara dalam
talian melalui platform Foodpanda, menghantarkannya melalui pencetak / telefon bimbit / aplikasi mudah alih proprietari Foodpanda untuk
kegunaan Restoran (“Aplikasi Restoran”) atau, dalam situasi luar biasa, melalui telefon, kepada Restoran dan menerima pembayaran untuk
pesanan pelanggan secara dalam talian. Pembayaran diterima oleh Foodpanda atas nama dan untuk akaun Restoran dan dihantar kepada
Restoran, selepas ditolak caj dan/atau yuran yang berkenaan termasuk tetapi tidak terhad kepada (1) Yuran Agensi, (2) Caj Data Bulanan dan (3)
Yuran Prestasi Platform, seperti yang dipersetujui dan dinyatakan pada Helaian Hadapan (“Yuran Agensi”, “Caj Data Bulanan” dan “Yuran
Prestasi Platform” masing-masing, bersama-sama, “Perkhidmatan”).

WHEREAS in addition to the Platform, the Restaurant shall have the option of requesting for the Pandago Service (as defined below) and the
Pandago Service Fee (as defined below) shall be paid to Foodpanda.

DIMANA sebagai tambahan kepada Platform, Restoran akan mempunyai pilihan untuk memohon Perkhidmatan Pandago (seperti yang ditakrifkan
di bawah) dan Yuran Perkhidmatan Pandago (seperti yang ditakrifkan di bawah) akan dibayar kepada Foodpanda.

WHEREAS in addition to the online Platform, the Parties shall also agree on who shall deliver the Products from the Restaurant to the customer and
regardless of who shall deliver the Products, that customer may choose to pick up the order on his or her own in lieu of delivery once an order is
placed via the Platform.

DIMANA sebagai tambahan kepada Platform atas talian, Pihak-Pihak juga hendaklah bersetuju mengenai penghantar yang akan menghantar
Produk-Produk daripada Restoran kepada pelanggan da, tanpa mengambil kira siapa yang menghantar Produk-produk tersebut, pelanggan boleh
memilih untuk mengambil pesanan tersebut secara kediri sebagai gantian penghantaran selepas pesanan dibuat melalui Platform.

WHEREAS in the event of Restaurant performing the delivery services (“Restaurant Delivery”), Foodpanda shall charge the customer the
delivery fee on behalf of the Restaurant.

DIMANA sekiranya Restoran melaksanakan perkhidmatan penghantaran (“Penghantaran Restoran”), Foodpanda hendaklah
mengenakan bayaran penghantaran kepada pelanggan bagi pihak Restoran.

WHEREAS all contracts that are concluded by Foodpanda in its function as commercial agent on behalf of the Restaurant with customers via
Foodpanda's online marketplace will be based on the General Terms and Conditions with the customers as found on the Platform and Restaurant
App.

DIMANA semua kontrak yang dimuktamadkan oleh Foodpanda dalam fungsinya sebagai ejen komersial untuk pihak Restoran dengan
pelanggan-pelanggan melalui pasaran dalam talian Foodpanda akan berdasarkan kepada Terma-Terma dan Syarat-Syarat Umum dengan
pelanggan-pelanggan sepertimana yang terdapat pada Platform dan Applikasi Restoran.

1. Foodpanda Rights and Obligations
1.1 In order to perform the Services, Foodpanda shall:
1.1.1 help setup the Restaurant App at the Restaurant;
1.1.2 every time Foodpanda receives a customer order online through the Platform for the Products, forward such order to the Restaurant
via the Restaurant App and accept the customer's payment online or in cash (save for pick up orders which shall be paid by the
customer via online payment only);
1.1.3 in the event of Foodpanda performing the delivery services, Foodpanda shall arrange for a delivery rider to collect the order from the
Restaurant when the order is ready to be collected and deliver it to the customer;
1.1.4 transfer to the Restaurant in accordance with Clause 4 of these Terms, the Restaurant’s revenue for such orders after
factoring in the following fees and reimbursements (as applicable):
1.1.4.1 Agency Fee;
1.1.4.2 Monthly Data Charges;
1.1.4.3 Platform Performance Fee;
1.1.4.4 any cash collected from the customer on behalf of the Restaurant;
1.1.4.5 Customer Recovery Charge (as defined below);
1.1.4.6 Redelivery Charges (as defined in Appendix B);
1.1.4.7 Wastage Charges (as defined in Appendix B); and
1.1.4.8 any other applicable reimbursements, fees and/or charges,
(together, the “Applicable Fees”);
1.1.5 have the right to charge the customer a delivery fee (“Delivery Charge” or “Delivery Charges”) and determine a minimum
order value, at its sole discretion;
1.1.6 have the right to change the Delivery Charges to customers without notice to Restaurants;
1.1.7 have the right to influence the prices for the Products offered by the Restaurant on a case-by-case basis by offering discounts
according to Clause 4.2.8 whereas Foodpanda will not increase the prices as agreed on with the Restaurants;
1.1.8 have the right to reduce the prices of the Products offered by the Restaurant on the Platform to match the prices of those same
Products as may be listed by the Restaurant on: (i) other online food delivery platforms operated by the Restaurant; or (ii) other online
food delivery platforms, without prior notice to the Restaurant; and
1.1.9 ensure full compliance with the guidelines of JAKIM with regards to the delivery of Halal food.

1. Hak-Hak dan Kewajipan Foodpanda


1.1 Bagi melaksanakan Perkhidmatan, Foodpanda hendaklah:
1.1.1 membantu menyediakan Applikasi Restoran di Restoran;
1.1.2 setiap kali Foodpanda menerima pesanan pelanggan secara dalam talian melalui Platform untuk Produk-Produk, memanjangkan
pesanan tersebut kepada Restoran melalui Aplikasi Restoran dan menerima pembayaran pelanggan dalam talian atau tunai (kecuali
untuk pesanan pengambilan kediri yang akan dibayar oleh pelanggan melalui pembayaran dalam talian sahaja);
1.13 sekiranya Foodpanda melaksanakan perkhidmatan penghantaran, Foodpanda hendaklah mengaturkan penunggang penghantaran
untuk mengambil pesanan daripada Restoran setelah pesanan sedia untuk diambil dan menghantarnya kepada pelanggan;
1.1.4 memindahkan kepada Resotran berdasarkan Klausa 4 Terma ini, hasil Restoran untuk pesanan-pesanan tersebut setelah
mengambil kira yuran-yuran dan pembayaran balik berikut (jika berkenaan):
1.1.4.1 Yuran Agensi;
1.1.4.2 Caj Data Bulanan;
1.1.4.3 Yuran Prestasi Platform;
1.1.4.4 sebarang wang tunai yang diambil dari pelanggan bagi pihak Restoran;
1.1.4.5 Caj Pemulihan Pelanggan (seperti yang ditakrifkan di bawah);
1.1.4.6 Caj Penghantaran Semula (seperti yang ditakrifkan dalam Lampiran B);
1.1.4.7 Caj Pembaziran (seperti yang ditakrifkan dalam Lampiran B); dan
1.1.4.8 sebarang pembayaran balik, yuran-yuran dan/atau caj-caj lain yang berkenaan,
(bersama-sama, "Yuran Berkenaan");
1.1.5 mempunyai hak untuk mengenakan bayaran penghantaran kepada pelanggan (“Caj Penghantaran” atau “Caj-Caj Penghantaran”)
dan menentukan nilai pesanan minimum, mengikut budi bicara mutlaknya;
1.1.6 mempunyai hak untuk menukar Caj Penghantaran kepada pelanggan tanpa notis kepada Restoran;
1.1.7 mempunyai hak untuk mempengaruhi harga untuk Produk-Produk yang ditawarkan oleh Restoran mengikut kes demi kes dengan
menawarkan diskaun berdasarkan Klausa 4.2.8 dimana Foodpanda tidak akan menaikkan harga seperti yang dipersetujui dengan
Restoran;
1.1.8 mempunyai hak untuk mengurangkan harga Produk yang ditawarkan oleh Restoran pada Platform untuk memadankan harga
Produk yang sama seperti yang mungkin disenaraikan oleh Restoran pada: (i) platform penghantaran makanan dalam talian lain
yang dikendalikan oleh Restoran; atau (ii) platform penghantaran makanan dalam talian lain, tanpa notis awal kepada Restoran; dan
1.1.9 memastikan pematuhan sepenuhnya dengan garis panduan JAKIM berkaitan penghantaran makanan Halal.

2. Restaurant Obligations
2.1 The Restaurant shall:
2.1.1 provide Foodpanda with up-to-date menu information, and operating hours; any intended changes to the Products/menu information
will take up to five (5) business days to take effect in the Restaurant App;
2.1.2 provide Foodpanda, its employees, agents, consultants and subcontractors, access to the Restaurant's premises and other facilities
as reasonably needed by Foodpanda to perform the Services;
2.1.3 comply with all local laws and regulations an obtain and maintain all necessary licenses, permissions and consents which may be
required to perform its obligations under this Agreement;
2.1.4 upon receiving an order via the Foodpanda Restaurant App, accept such order promptly and no later than within three (3) mins from
the time the order was placed, prepare and fulfill such order promptly and no later than within fifteen (15) minutes
, or within the preparation time allocated by Foodpanda to the restaurant as indicated in the Restaurant App (whichever is applicable),
and at the quality of the same standard as the common standard of the Restaurant, pack it in accordance with Foodpanda standards
as communicated from time to time to the Restaurant, and hand it to the Foodpanda delivery rider or to its own delivery person, as
applicable;
2.1.5 if the Restaurant is temporarily unable to receive, prepare and/or fulfill orders (for a duration of less than one (1) hour), inform
Foodpanda immediately via Restaurant App or the service hotline and shut down the Restaurant App temporarily. If the Restaurant is
unable to receive, prepare and/or fulfill orders for a longer duration (due to restaurant closure or public holiday, for example)
Foodpanda must be informed of the same and be given a timeframe for re-commencement of such Services at least two (2) business
days in advance;
1.1.1 guarantee that the prices, including promotional prices, offered to customers on the Platform are identical to the prices offered to
customers by the Restaurant when placing delivery orders by phone, website, mobile app or any other platform operated by the
Restaurant. For the avoidance of doubt, the Restaurant shall ensure that all offers, discounts, deals, and other promotions which are
available to the Restaurant’s customers for any period during the term, whether in-store, online or otherwise, and whether offered
directly or indirectly by the Restaurant, are similarly available through the Platform for the Products for at least the said period,
provided that offer can be replicated online. If the Restaurant intends to offer any lower prices, promotions or discounts, the
Restaurant shall inform Foodpanda at least 7 days in advance;
2.1.6 if the Restaurant is Halal certified, it must inform Foodpanda in writing of this certification. If there are any changes to the Restaurant’s
status with regards to Halal certification, the same must be made known to Foodpanda within 24 hours of any such changes;
2.1.7 comply with Foodpanda’s operational standards and policies in the Restaurant’s use of the Services, including but not
limited to those set out in Appendices A and B;
2.1.8 insofar as, while placing the order, the customer chooses to pick up the order on his or her own in lieu of delivery, the Clauses in this
Agreement shall apply subject to the provision that there will be no delivery of the order to the customer. A Delivery Charge shall not
be charged in this case. In the event of pick-up by the customer, the Restaurant shall be required to make the Goods available for
pick-up by the end customer at the end of the preparation time indicated in Clause 2.1.4 hereof. It shall be the Restaurant's
responsibility to ensure that the order is handed over to the right customer. Foodpanda shall not be liable if the order is not received
by the customer or not received in a timely manner. Disputes arising in this regard between the customer and the Restaurant shall not
affect Foodpanda's responsibility. In the event of pick-up by the end customer, all applicable contractual and other provisions shall be
interpreted consistently with this Clause; and
2.1.9 in the event of Restaurant Delivery or delivery not performed by Foodpanda:
2.1.9.1 provide Foodpanda with a realistic estimated delivery time at the same time as providing the menu information;
2.1.9.2 deliver to the customer all accepted orders within the time indicated at acceptance by Restaurant;
2.1.9.3 immediately inform Foodpanda of any delay in delivering the order according to the estimated delivery time;
2.1.9.4 deliver the order in a state that a customer would expect for that type of food, with the appropriate packaging;
2.1.9.5 inform Foodpanda about any cancelled, fake or any non-fulfilled orders within forty eight (48) hours from acceptance
of the order; and
2.1.9.6 inform Foodpanda of its delivery fee and a minimum order value applicable to customer orders with Restaurant
Delivery;
2.1.10 Revenue Board of Malaysia (“IRBM” or “LHDN”), notify Foodpanda in writing of any if it is SST registered with the Inland changes to
its SST registration status within 24 hours of any such change (including but not limited to SST deregistration and cancellation of SST
registration);
2.1.11 where applicable, pay a monthly platform performance fee to Foodpanda (“Platform Performance Fee”) based on the
Restaurant’s monthly gross food value (“GFV”) as set out below:

2.1.11.1 each month’s Platform Performance Fee will be reflected in the invoice of the subsequent month. For the avoidance of
doubt, the Platform Performance Fee will be charged one month after the date the Restaurant’s account is activated;
and
2.1.11.2 Foodpanda may at its sole discretion revise the Platform Performance Fee at any time;

2.1.12 upon delivery of the Products, provide customers with:


if the Restaurant is SST registered, a tax invoice, simplified tax invoice or tax receipt (as the case may be) in respect of the customer’s
order setting out the required details as per relevant government and IRBM regulations including but not limited to the Restaurant’s SST
registration number; or
2.1.12.1 if the Restaurant is not SST registered, upon request by the customer, an invoice or receipt (as the case may be) in
respect of the customer’s order.
For the avoidance of doubt, the order slip generated by Foodpanda’s electronic device and attached by the Restaurant
on the customer’s order is not the Restaurant’s tax invoice, simplified tax invoice or tax receipt (as the case may be);
and
2.1.12.2 any other documentation required by any laws and regulations (including but not limited to warranty card, product
information, and invoices).
2.1.13 where applicable, to make payment of MYR3 per billing cycle to Foodpanda should it fulfil less than fifteen (15) orders per billing
cycle.

2.2 The Restaurant shall:


2.2.1 Ensure that all electronic devices and software used to accept orders, communicate with Foodpanda, customers and delivery
personnel, and/or which store, process and/or access personal data of customers and delivery personnel, including the Restaurant
App, are kept secure, including subject to physical security measures and strict electronic access controls. Without prejudice to the
generality of the foregoing, the Restaurant shall ensure that such electronic devices are not used for any purpose other than the
purposes contemplated by this Agreement, that log-in details and passwords are kept on a strict need-to-know basis, that reasonable
anti-virus software is installed on such electronic devices and that Foodpanda is provided such access and assistance as it
reasonably requests to carry out security tests and remediation on the Restaurant App, including vulnerability assessments and
penetration testing;
2.2.2 not, and/or will not allow any party to, directly or indirectly, engage in any fraudulent, inappropriate or unlawful activities including but
not limited to fraudulent reviews or rating;
2.2.3 Without prejudice to its general obligation to comply with the Personal Data Protection Act 2010 and its obligations under Clause 10.3
of this Agreement, ensure that it maintains the security of all personal data that it handles, including that of customers and delivery
personnel, to prevent unauthorised access and use by third parties.

2. Kewajipan Restoran
2.1 Restoran hendaklah:
2.1.1 menyediakan Foodpanda dengan maklumat menu terkini, dan waktu operasi; sebarang perubahan yang dimaksudkan pada
maklumat Produk/menu akan mengambil masa sehingga lima (5) hari perniagaan untuk berkuatkuasa dalam Applikasi Restoran;
2.1.2 menyediakan Foodpanda, pekerjanya, ejennya, perundingnya dan subkontraktornya, akses ke premis Restoran dan kemudahan lain
yang semunasabahnya diperlukan oleh Foodpanda untuk melaksanakan Perkhidmatan;
2.1.3 mematuhi semua undang-undang dan peraturan tempatan dan mendapatkan serta mengekalkan kesemua lesen, kebenaran dan
persetujuan yang mungkin diperlukan untuk melaksanakan kewajipannya di bawah Perjanjian ini;
2.1.4 apabila menerima pesanan melalui Aplikasi Restoran Foodpanda, menerima pesanan tersebut dengan segera dan tidak lewat
daripada tiga (3) minit dari masa pesanan dibuat, menyeediakan dan memenuhi pesanan tersebut dengan segera dan tidak lewat
daripada lima belas (15) minit , atau dalam masa penyediaan yang diperuntukkan oleh Foodpanda kepada restoran seperti yang
ditunjukkan dalam Aplikasi Restoran (yang mana berkenaan), dan pada kualiti standard yang sama dengan standard biasa Restoran,
membungkusnya mengikut piawaian Foodpanda seperti yang dikomunikasikan dari semasa ke semasa ke Restoran, dan
menyerahkannya kepada penunggang penghantaran Foodpanda atau kepada orang penghantarannya sendiri, mengikut mana yang
berkenaan;
2.1.5 jika Restoran tidak dapat menerima, menyediakan dan/atau memenuhi pesanan buat sementara waktu (untuk tempoh kurang
daripada satu (1) jam), memaklumka kepadan Foodpanda dengan segera melalui Aplikasi Restoran atau talian hotline dan menutup
Aplikasi Restoran buat sementara waktu. Jika Restoran tidak dapat menerima, menyediakan dan/atau memenuhi pesanan untuk
tempoh yang lebih lama (disebabkan oleh penutupan restoran atau cuti umum, contohnya) Foodpanda mestilah dimaklumkan
berkaitan perkara tersebut dan diberi tempoh masa untuk memulakan semula Perkhidmatan tersebut sekurang-kurangnya dua (2)
hari bekerja lebih awal;
2.1.6 menjamin bahawa harga, termasuk harga promosi, yang ditawarkan kepada pelanggan di Platform adalah sama dengan harga yang
ditawarkan kepada pelanggan oleh Restoran apabila membuat pesanan penghantaran melalui telefon, laman sesawang, aplikasi
mudah alih atau mana-mana platform lain yang dikendalikan oleh Restoran. Untuk mengelakkan keraguan, Restoran hendaklah
memastikan bahawa semua tawaran, diskaun, tawaran dan promosi lain yang tersedia kepada pelanggan Restoran untuk sebarang
tempoh sepanjang tempoh tersebut, sama ada di kedai, dalam talian atau sebaliknya, dan sama ada ditawarkan secara langsung
atau tidak langsung. oleh Restoran, juga tersedia melalui Platform untuk Produk-Produk untuk sekurang-kurangnya tempoh tersebut,
dengan syarat tawaran boleh direplikasikan secara dalam talian. Jika Restoran bercadang untuk menawarkan sebarang harga yang
lebih rendah, promosi atau diskaun, Restoran hendaklah memaklumkan kepada Foodpanda sekurang-kurangnya 7 hari lebih awal;
2.1.7 jika Restoran mempunyai persijilan Halal, Restoran mesti memaklumkan kepada Foodpanda secara bertulis tentang pensijilan ini.
Jika terdapat sebarang perubahan pada status Restoran berkaitan dengan pensijilan Halal, perkara yang sama mesti dimaklumkan
kepada Foodpanda dalam tempoh 24 jam selepas sebarang perubahan tersebut;
2.1.8 mematuhi piawaian operasi dan dasar Foodpanda dalam penggunaan Perkhidmatan oleh Restoran, termasuk tetapi tidak terhad
kepada yang dinyatakan dalam Lampiran A dan B;
2.1.9 setakat, semasa membuat pesanan, pelanggan memilih untuk mengambil pesanan itu secara kediri sebagai ganti penghantaran,
Klausa dalam Perjanjian ini hendaklah terpakai tertakluk kepada peruntukan bahawa tidak akan ada penghantaran pesanan kepada
pelanggan. Caj Penghantaran tidak akan dikenakan dalam kes ini. Sekiranya berlaku pengambilan kediri oleh pelanggan, Restoran
dikehendaki menyediakan Barangan untuk diambil oleh pelanggan pada penghujung masa penyediaan seperti yang dinyatakan
dalam Klausa 2.1.4 di sini. Menjadi tanggungjawab Restoran untuk memastikan pesanan diserahkan kepada pelanggan akhir yang
betul. Foodpanda tidak akan bertanggungjawab sekiranya pesanan tidak diterima oleh pelanggan atau tidak diterima tepat pada
masanya. Pertikaian yang timbul dalam hal ini di antara pelanggan dan Restoran tidak akan menjejaskan tanggungjawab Foodpanda.
Sekiranya berlaku pengambilan oleh pelanggan akhir, semua peruntukan kontrak dan peruntukan lain yang berkenaan hendaklah
ditafsirkan secara konsisten dengan Klausa ini; dan
2.1.10 sekiranya berlaku Penghantaran Restoran atau penghantaran tidak dilakukan oleh Foodpanda:
2.1.10.1 menyediakan Foodpanda dengan anggaran masa penghantaran yang realistik pada masa yang sama dengan
menyediakan maklumat menu;
2.1.10.2 menghantar kepada pelanggan semua pesanan yang diterima dalam masa yang dinyatakan semasa penerimaan
oleh Restoran;
2.1.10.3 segera memaklumkan Foodpanda tentang sebarang kelewatan penghantaran pesanan mengikut anggaran masa
penghantaran;
2.1.10.4 menghantar pesanan dalam keadaan yang pelanggan harapkan untuk jenis makanan tersebut, dengan
pembungkusan yang sesuai;
2.1.10.5 memaklumkan Foodpanda tentang sebarang tempahan yang dibatalkan, palsu atau tidak dipenuhi dalam tempoh
empat puluh lapan (48) jam dari tarikh penerimaan pesanan; dan
2.1.10.6 memaklumkan Foodpanda tentang bayaran penghantarannya dan nilai pesanan minimum yang terpakai kepada
pesanan pelanggan dengan Penghantaran Restoran;
2.1.11 Lembaga Hasil Malaysia (“IRBM” atau “LHDN”), memaklumkan Foodpanda secara bertulis sekiranya SST berdaftar dengan
LHDN bertukar status pendaftaran SSTnya dalam tempoh 24 jam dari sebarang perubahan tersebut (termasuk tetapi tidak terhad
kepada pembatalan pendaftaran SST dan pembatalan SST);
2.1.12 jika berkenaan, membayar yuran prestasi platform bulanan kepada Foodpanda (“Yuran Prestasi Platform”) berdasarkan nilai
makanan kasar bulanan Restoran (“GFV”) seperti yang dinyatakan di bawah:

2.1.12.1 Yuran Prestasi Platform setiap bulan akan ditunjukkan dalam invois bulan berikutnya. Untuk mengelakkan keraguan,
Yuran Prestasi Platform akan dikenakan satu bulan selepas tarikh akaun Restoran diaktifkan; dan
2.1.12.2 Foodpanda boleh mengikut budi bicara mutlaknya menyemak Yuran Prestasi Platform pada bila-bila masa;
2.1.13 semasa penghantaran Produk, menyediakan pelanggan dengan:
2.1.13.1 jika Restoran didaftarkan untuk SST, invois cukai, invois cukai dipermudahkan atau resit cukai (mengikut mana-mana
yang berkenaan) berkaitan dengan pesanan pelanggan yang menyatakan butiran yang diperlukan mengikut
peraturan kerajaan dan LHDN yang berkaitan termasuk tetapi tidak terhad kepada nombor pendaftaran SST
Restoran; atau
2.1.13.2 jika Restoran tidak didaftarkan untuk SST, atas permintaan pelanggan, invois atau resit (mengikut mana yang
berkenaan) berkaitan dengan pesanan pelanggan.
Untuk mengelakkan keraguan, slip pesanan yang dijana oleh peranti elektronik Foodpanda dan dilampirkan oleh
Restoran pada pesanan pelanggan bukanlah invois cukai Restoran, invois cukai ringkas atau resit cukai (mengikut
mana-mana yang berkenaan); dan
2.1.13.3 sebarang dokumentasi lain yang diperlukan oleh mana-mana undang-undang dan peraturan (termasuk tetapi tidak
terhad kepada kad waranti, maklumat produk dan invois).
2.1.14 jika berkenaan, untuk membuat pembayaran sebanyak MYR3 setiap kitaran pengebilan kepada Foodpanda sekiranya ia tidak
memenuhi sekurang-kurangnya lima belas (15) pesanan setiap kitaran pengebilan.

2.2 Restoran hendaklah:

2.2.1 Memastikan kesemua peranti elektronik dan perisian yang digunakan untuk menerima pesanan, berkomunikasi dengan Foodpanda,
pelanggan dan kakitangan penghantaran, dan/atau yang menyimpan, memproses dan/atau mengakses data peribadi pelanggan dan
kakitangan penghantaran, termasuk Aplikasi Restoran, disimpan secara selamat, tertakluk kepada langkah keselamatan fizikal dan
kawalan akses capaian elektronik yang ketat. Tanpa menjejaskan keluasan perkara di atas, Restoran hendaklah memastikan bahawa
peranti elektronik tersebut tidak digunakan untuk apa-apa tujuan selain daripada tujuan yang dinyatakan oleh Perjanjian ini, bahawa
butiran log masuk dan kata laluan disimpan berdasarkan keperluan untuk mengetahui yang ketat. , bahawa perisian anti-virus yang
munasabah dipasang pada peranti elektronik tersebut dan Foodpanda diberikan akses dan bantuan sedemikian secara munasabah
untuk menjalankan ujian keselamatan dan pemulihan pada Aplikasi Restoran, termasuk penilaian kerentanan dan ujian penembusan;
2.2.2 tidak, dan/atau tidak akan membenarkan mana-mana pihak, secara langsung atau tidak langsung, terlibat dalam sebarang aktiviti
penipuan, tidak wajar atau menyalahi undang-undang termasuk tetapi tidak terhad kepada ulasan atau penarafan palsu;
2.2.3 Tanpa menjejaskan kewajipan amnya untuk mematuhi Akta Perlindungan Data Peribadi 2010 dan kewajipannya di bawah Fasal 10.3
Perjanjian ini, memastikan ia mengekalkan keselamatan semua data peribadi yang dikendalikannya, termasuk pelanggan dan
kakitangan penghantaran, untuk menghalang akses dan penggunaan yang tidak dibenarkan oleh pihak ketiga

3. Suspension
3.1 Foodpanda shall have the right to temporarily suspend the Restaurant from the Website, without liquidated damages, if in its reasonable
opinion, the Restaurant is in breach of any terms of this Agreement or may be negatively affecting Foodpanda’s business.
3.2 For the avoidance of doubt, any suspension shall not result in the termination of this Agreement, the provisions of which shall remain fully
applicable.

Penggantungan
3.1 Foodpanda berhak untuk menggantung Restoran secara sementara daripada Laman Sesawang, tanpa ganti rugi tertentu, jika sekiranya
pada pendapat munasabahnya, Restoran melanggar mana-mana syarat Perjanjian ini atau mungkin menjejaskan perniagaan Foodpanda
secara negatif.
3.2 Untuk mengelakkan senarang keraguan, sebarang penggantungan tidak akan menyebabkan Perjanjian ini ditamatkan, yang peruntukannya
akan kekal terpakai sepenuhnya.

4. Fees and Payment


4.1 The Restaurant grants Foodpanda the authority to receive any funds in the name, and for the account, of the Restaurant paid by the
customers, whether by online means or in cash.
4.2 Foodpanda will reconcile the monies as stated in this Clause 4 with the Restaurant and issue an invoice to the Restaurant on a daily basis, for
orders and monies received in the previous days (the “Invoicing Day” and shall include the Additional Invoicing Day as defined below).
There may be instances where customized charges such as Platform Performance Fee and Wastages Charges adjustment are applicable
and will be issued with invoices by foodpanda to the Restaurant for such charges on every 8th, 16th, 23rd and 1st of the month (the
“Additional Invoicing Day”).
The monies received by Foodpanda from the customers or from the payment service provider (as the case may be), less the Applicable Fees
and Delivery Charges (not applicable in the event of Restaurant Delivery), shall be paid, after offsetting any fees and charges due by/to the
Restaurant, to the bank account listed on the Front Sheet.
4.2.1 The Agency Fee is calculated based on the total of GFV, container charges, Restaurant delivery fee (if applicable), service fee (if
applicable), any difference paid by the end customer to reach the minimum order value (if applicable), which excludes additional fees
(e.g. Delivery Charges) charged to end customers as well as SST and discounts and vouchers funded by the Restaurant.
4.2.2 In the event of delivery performed by Foodpanda, Foodpanda reserves the right to adjust the Delivery Charges charged to end
customers.
4.2.3 If the Restaurant is SST registered, 6% SST on the full basket price will be charged by Foodpanda to the final customers.
4.2.4 Foodpanda is a SST registered company and will charge the Restaurant (if applicable) 6% SST on the full amount of its revenues.
4.2.5 Foodpanda will charge Restaurant the agreed percentage % for all orders paid for by the end customer by Credit Card or such other
modes of payment make available by Foodpanda on the Platform to cover bank, credit card and such other applicable charges.
4.2.6 Foodpanda will pay the Restaurant on the Invoicing Day. Any bank fees shall be borne by the Restaurant.
4.2.7 Foodpanda shall be entitled to withhold any payment to the Restaurant, at no liability, if Foodpanda discovers any fraudulent (whether
actual or alleged) activities or transactions by the Restaurant
4.2.8 Foodpanda reserves the right to run discounts and promotions for the customers. Said promotions and discounts will be funded by
Foodpanda and will require the Restaurant to accept payment from customers in accordance with the discount offered. The
Restaurant will be reimbursed for this by Foodpanda during the invoicing process
4.2.9 The Restaurant shall pay to Foodpanda a replacement fee of MYR600.00 for any lost or damaged device. There will be a seven-day
grace period after receipt of the devices by the Restaurant. In this grace period, faulty phones and Bluetooth printers can be
exchanged for a new device at no cost to the Restaurant.
4.2.10 The Restaurant shall pay the redelivery charges to Foodpanda as set out in Appendix B of this Agreement.
4.2.11 The Restaurant shall pay the Setup Fee stated on the Front Sheet.
4.3 If the Restaurant is SST registered, it shall report and remit the correct SST amounts collected from the customers in respect of the Products
to LHDN. For the avoidance of doubt, Foodpanda is not responsible for reporting or remitting any SST amounts arising from any Products to
the relevant tax authorities. For any Pandago Service Fee due from the Restaurant to Foodpanda, Foodpanda will reconcile such monies and
issue an invoice to the Restaurant on the Additional Invoicing Day, for the Pandago Services requested by the Restaurant in the previous
days. The Restaurant shall pay Foodpanda within 30 days of its receipt of such invoice.

4. Yuran dan Bayaran


4.1 Restoran memberi kuasa kepada Foodpanda untuk menerima sebarang dana atas nama, dan untuk akaun, Restoran yang dibayar oleh
pelanggan, sama ada secara dalam talian atau secara tunai.
4.2 Foodpanda akan menyelaraskan wang seperti yang dinyatakan dalam Klausa 4 ini dengan Restoran dan mengeluarkan invois kepada
Restoran setiap hari, untuk pesanan yang disediakan dan wang yang diterima pada hari sebelumnya ("Hari Penginvoisan" dan mengandungi
Hari Penginvoisan Tambahan seperti yang dimaksudkan berikut). Kemungkinanya, terdapat keadaan di mana caj tersuai seperti perlerasan
Yuran Prestasi Platform dan Caj Pembaziran akan dikenakan and dimasukkan ke invois oleh foodpanda kepada Restoran untuk caj tersebut
pada setiap 8hb, 16hb, 23hb dan 1hb bulan tersebut ("Hari Penginvoisan Tambahan”). Wang yang diterima oleh Foodpanda daripada
pelanggan atau daripada pembekal perkhidmatan pembayaran (mengikut mana-mana yang berkenaan), ditolak Yuran dan Caj Penghantaran
yang Berkenaan (tidak terpakai sekiranya Penghantaran Restoran), hendaklah dibayar, selepas menolak sebarang yuran dan caj. dikenakan
oleh/kepada Restoran, ke akaun bank yang disenaraikan di Helaian Hadapan.
4.2.1 Yuran Agensi dikira berdasarkan jumlah GFV, caj bekas, yuran penghantaran Restoran (jika berkenaan), yuran perkhidmatan (jika
berkenaan), sebarang perbezaan yang dibayar oleh pelanggan akhir untuk mencapai nilai pesanan minimum (jika berkenaan) , yang
tidak termasuk yuran tambahan (cth Caj Penghantaran) yang dikenakan kepada pelanggan akhir serta SST dan diskaun dan baucar
yang dibiayai oleh Restoran.
4.2.2 Sekiranya penghantaran dilakukan oleh Foodpanda, Foodpanda berhak untuk melaraskan Caj Penghantaran yang dikenakan
kepada pelanggan akhir.
4.2.3 Jika Restoran didaftarkan untuk SST, 6% SST pada harga bakul penuh akan dicaj oleh Foodpanda kepada pelanggan akhir.
4.2.4 Foodpanda ialah syarikat berdaftar SST dan akan mengenakan caj kepada Restoran (jika berkenaan) 6% SST ke atas jumlah
penuh pendapatannya.
4.2.5 Foodpanda akan mengecaj Restoran peratusan yang dipersetujui untuk semua pesanan yang dibayar oleh pelanggan akhir dengan
Kad Kredit atau cara pembayaran lain yang disediakan oleh Foodpanda di Platform untuk menampung caj bank, kad kredit dan caj
lain yang berkaitan.
4.2.6 Foodpanda akan membayar Restoran pada Hari Invois. Sebarang yuran bank hendaklah ditanggung oleh Restoran.Foodpanda
berhak untuk menahan sebarang bayaran kepada Restoran, tanpa liabiliti, jika Foodpanda mendapati sebarang aktiviti atau transaksi
penipuan (sama ada sebenar atau yang didakwa) oleh pihak Restoran.
4.2.7 Foodpanda berhak untuk menjalankan diskaun dan promosi untuk pelanggan. Promosi dan diskaun tersebut akan dibiayai oleh
Foodpanda dan memerlukan Restoran untuk menerima bayaran daripada pelanggan mengikut diskaun yang ditawarkan. Restoran
akan dibayar balik untuk ini oleh Foodpanda semasa proses invois
4.2.8 Restoran hendaklah membayar kepada Foodpanda yuran penggantian sebanyak MYR600.00 untuk mana-mana peranti yang hilang
atau rosak. Terdapat tempoh penagguhan tujuh hari selepas penerimaan peranti oleh Restoran. Dalam tempoh penagguhan ini,
telefon yang rosak dan pencetak Bluetooth boleh ditukar dengan peranti baharu tanpa kos kepada Restoran.
4.2.9 Restoran hendaklah membayar caj penghantaran semula kepada Foodpanda seperti yang dinyatakan dalam Lampiran B Perjanjian
ini.
4.2.10 Restoran hendaklah membayar Yuran Persediaan yang dinyatakan di Helaian Hadapan.
4.3 Jika Restoran berdaftar SST, ia hendaklah melaporkan dan menghantar jumlah SST yang betul yang dikutip daripada pelanggan berkenaan
dengan Produk kepada LHDN. Untuk mengelakkan keraguan, Foodpanda tidak akan bertanggungjawab untuk melaporkan atau menghantar
sebarang jumlah SST yang timbul daripada mana-mana Produk kepada pihak berkuasa cukai yang berkaitan. Untuk sebarang Yuran
Perkhidmatan Pandago yang perlu dibayar daripada Restoran kepada Foodpanda, Foodpanda akan menyelaraskan wang tersebut dan
mengeluarkan invois kepada Restoran pada Hari Penginvoisan Tambahan, untuk Perkhidmatan Pandago yang diminta oleh Restoran pada
hari-hari sebelumnya. Restoran hendaklah membayar Foodpanda dalam masa 30 hari dari tarikh penerimaan invois tersebut.

5. Preferred Partnership
5.1 Restaurants have the option of enrolling in the preferred partnership programme (“Preferred Partnership Programme”) to enjoy the
Preferred Partnership Rate agreed to on the Front Sheet (if applicable), under which the Restaurant agrees that for a period of one
[1] year from the date of this Agreement (“Preferred Partnership Term”), it shall not enter into any agreements with any third parties
that provide services that are similar or identical to the Services. For avoidance of doubt, the Preferred Partnership Rate shall be offered to
the Restaurant throughout the Preferred Partnership Term only. Upon the expiry of the Preferred Partnership Term, the Restaurant shall no
longer enjoy the Preferred Partnership Rate, and the Non-Preferred Partnership Rate shall apply to the Restaurant, unless otherwise agreed
in writing between Foodpanda and the Restaurant.
5.2 Should the Restaurant not opt to work exclusively with Foodpanda, the Non- Preferred Partnership Rate agreed to on the Front Sheet shall
apply.
5.3 Notwithstanding Clause 5.1 above, the Restaurant may, at any time during the Preferred Partnership Term, decide that it no longer wishes to
work with Foodpanda exclusively by informing Foodpanda of such decision with at least ninety days’ (90) notice in writing, and the
Non-Preferred Partnership Rate shall apply to the Restaurant with effect from the first day of the following month following the end of the said
notice period. For avoidance of doubt, the Restaurant shall no longer enjoy the Preferred Partnership Rate on the date that the Non-
Preferred Partnership Rate takes effect.
5.4 Foodpanda reserves the right to discontinue the Preferred Partnership Programme at any time during the Preferred Partnership Term or
otherwise upon provision of at least thirty (30) days written notice to the Restaurant.

5. Perkongsian Pilihan
5.1 Restoran mempunyai pilihan untuk mendaftar dalam program perkongsian pilihan (“Program Perkongsian Pilihan”) untuk menikmati Kadar
Perkongsian Pilihan yang dipersetujui pada Helaian Hadapan (jika berkenaan), di mana Restoran bersetuju untuk tempoh satu [1] tahun dari
tarikh Perjanjian ini (“Terma Perkongsian Pilihan”), ia tidak boleh membuat sebarang perjanjian dengan mana-mana pihak ketiga yang
menyediakan perkhidmatan yang serupa atau serupa dengan Perkhidmatan. Untuk mengelakkan keraguan, Kadar Perkongsian Pilihan akan
ditawarkan kepada Restoran sepanjang Tempoh Perkongsian Pilihan sahaja. Setelah tamat Tempoh Perkongsian Pilihan, Restoran tidak lagi
akan menikmati Kadar Perkongsian Pilihan, dan Kadar Perkongsian Bukan Pilihan akan dikenakan kepada Restoran, melainkan jika
dipersetujui sebaliknya secara bertulis antara Foodpanda dan Restoran.
5.2 Sekiranya Restoran tidak memilih untuk bekerja secara eksklusif dengan Foodpanda, Kadar Perkongsian Bukan Pilihan yang dipersetujui di
Helaian Hadapan akan dikenakan.
5.3 Walau apa pun Klausa 5.1 di atas, Restoran boleh, pada bila-bila masa semasa Tempoh Perkongsian Pilihan, memutuskan bahawa ia tidak
lagi mahu bekerjasama dengan Foodpanda secara eksklusif dengan memaklumkan kepada Foodpanda tentang keputusan tersebut dengan
sekurang-kurangnya sembilan puluh hari (90) notis bertulis, dan Kadar Perkongsian Bukan Pilihan hendaklah terpakai kepada Restoran
berkuat kuasa dari hari pertama bulan berikutnya selepas tamat tempoh notis tersebut. Untuk mengelakkan keraguan, Restoran tidak akan
lagi menikmati Kadar Perkongsian Pilihan pada tarikh Kadar Perkongsian Bukan Pilihan berkuat kuasa.
5.4 Foodpanda berhak untuk menghentikan Program Perkongsian Pilihan pada bila-bila masa semasa Tempoh Perkongsian Pilihan atau
sebaliknya setelah memberikan notis bertulis sekurang-kurangnya tiga puluh (30) hari kepada Restoran.

6. Warranties and Indemnity


6.1 Foodpanda represents, warrants and undertakes that it shall provide the Services with reasonable care and skill.
6.2 The Restaurant represents, warrants and undertakes that:
6.2.1 it shall perform the Restaurant Services with all due care, skill and diligence; and
6.2.2 all Products will be: (i) of excellent quality; (ii) prepared to a high industry standard; and (iii) compliant with all applicable laws and
regulations (including, without limitation, any food and beverage and/or health and safety legislation and/or regulations).
6.3 The Restaurant shall indemnify Foodpanda, its affiliates, employees and agents against any loss suffered by Foodpanda arising from the
actions or omissions of the Restaurant in connection with this Agreement, including, without limitation, any breach by the Restaurant of the
warranties in this Clause 6.
6.4 In the event of the Restaurant rejecting an order without justifiable reason, the Restaurant shall be liable to pay Foodpanda the Agency Fee
that would have been due on such rejected order as liquidated damages, provided that no liquidated damages shall be due to Foodpanda by
Restaurant if the breach arose as a fault of Foodpanda or due to Force Majeure event.
6.5 The Restaurant shall, at its expense, defend any of the following types of third-party claims brought against Foodpanda, its directors, officers,
or agents (collectively, “Indemnitees”):

6.5.1 any claim that, if true, would constitute a breach of this Agreement by the Restaurant, its employees, agents or representatives;
6.5.2 any claim related to injury to, or death of, any person or damage to any property arising out of or related to the Restaurant obligations
arising out of this Agreement; or
6.5.3 any claim arising out of and in connection with the Restaurant’s failure to:
6.5.3.1 provide customers with a tax invoice, simplified tax invoice or tax receipt (as the case may be); or
6.5.3.2 pay any relevant taxes or report any relevant assessments; and
6.5.4 any claim that otherwise arises from the negligence, acts, or failures to act, of Restaurant, its employees, agents or representatives.
6.6 The Restaurant shall indemnify and hold harmless the Indemnitees from any costs, losses, claims, damages and fees (including reasonable
legal fees) incurred by any of them that are attributable to any such claim.
6.7 The Restaurant acknowledges that it is aware that Foodpanda is a reputable company in Malaysia, which seeks to provide convenience,
reliability, and quality to customers. As Foodpanda’s systems and operations are heavily dependent on customer experience and feedback,
the Restaurant confirms and agrees with Foodpanda that in the event the Restaurant fails to observe or comply with Foodpanda’s operational
standards as specified in Appendix A (and as amended by Foodpanda from time to time), the Restaurant shall pay to Foodpanda such sum
as shall be determined by Foodpanda in accordance with Appendix A as liquidated damages (“Customer Recovery Charge”). The
aforesaid Customer Recovery Charge shall not prejudice the right of Foodpanda to claim damages for the costs and expense of taking such
steps as deemed necessary by Foodpanda to rectify such non-observation and/or non-compliance of such operational standards. For the
avoidance of doubt, this Clause 6.7 is intended to be read in conjunction with Appendix A.

6. Waranti dan Indemniti


6.1 Foodpanda mewakili, menjamin dan berjanji bahawa ia akan menyediakan Perkhidmatan dengan penjagaan dan kemahiran yang
munasabah.
6.2 Restoran mewakili, menjamin dan mengaku janji bahawa:
6.2.1 ia hendaklah melaksanakan Perkhidmatan Restoran dengan segala perhatian, kemahiran dan ketekunan yang sewajarnya; dan
6.2.2 semua Produk hendaklah: (i) berkualiti tinggi; (ii) disediakan mengikut piawaian industri yang tinggi; dan (iii) mematuhi semua
undang-undang dan peraturan yang terpakai (termasuk, tanpa had, sebarang perundangan dan/atau peraturan makanan dan
minuman dan/atau kesihatan dan keselamatan).
6.3 Restoran hendaklah menanggung rugi Foodpanda, ahli gabungannya, pekerjanya dan ejennya terhadap apa-apa kerugian yang dialami oleh
Foodpanda yang timbul daripada tindakan atau ketinggalan Restoran berhubung dengan Perjanjian ini, termasuk, tanpa had, sebarang
pelanggaran oleh Restoran terhadap waranti dalam Klausa 6 ini.
6.4 Sekiranya Restoran menolak pesanan tanpa sebab yang munasabah, Restoran hendaklah bertanggungjawab untuk membayar Foodpanda
Yuran Agensi yang sepatutnya perlu dibayar atas pesanan yang ditolak tersebut sebagai ganti rugi tertentu, dengan syarat tiada ganti rugi
tertentu kepada Foodpanda oleh Restoran jika pelanggaran itu timbul disebabkan oleh kesalahan Foodpanda atau disebabkan oleh peristiwa
Force Majeure.
6.5 Restoran hendaklah, dengan perbelanjaannya sendiri, mempertahankan mana-mana jenis tuntutan pihak ketiga berikut yang dibawa
terhadap Foodpanda, pengarah-pengarah, pegawai-pegawai atau ejen-ejennya (secara kolektif, “Pihak Yang Dindemnitikan”):
6.5.1 sebarang tuntutan yang, sekiranya benar, akan menjadi pelanggaran Perjanjian ini oleh Restoran, pekerja, ejen atau wakilnya;
6.5.2 sebarang tuntutan yang berkaitan dengan kecederaan atau kematian, mana-mana orang atau kerosakan kepada mana-mana
harta akibat daripada atau berkaitan dengan kewajipan Restoran yang timbul daripada Perjanjian ini; atau
6.5.3 sebarang tuntutan yang timbul daripada dan berkaitan dengan kegagalan Restoran untuk:
6.5.3.1 menyediakan pelanggan dengan invois cukai, invois cukai yang dipermudahkan atau resit cukai (mengikut
mana-mana yang berkenaan); atau
6.5.3.2 membayar sebarang cukai yang berkaitan atau melaporkan sebarang taksiran yang berkaitan; dan
6.5.4 sebarang tuntutan yang sebaliknya timbul daripada kecuaian, perbuatan, atau kegagalan untuk bertindak, Restoran, pekerja, ejen
atau wakilnya.
6.6 Restoran akan mengindemniti dan menanggung ganti rugi Pihak Yang Diindemnitikan daripada sebarang kos, kerugian, tuntutan, ganti rugi
dan bayaran (termasuk yuran guaman yang munasabah) yang ditanggung oleh Pihak Yang Diindemnitikan yang berpunca daripada tuntutan
tersebut.
6.7 Restoran mengakui bahawa ia sedar, Foodpanda ialah sebuah syarikat terkemuka di Malaysia, yang berusaha untuk memberikan
kemudahan, kebolehpercayaan dan kualiti kepada pelanggan. Memandangkan sistem dan operasi Foodpanda sangat bergantung pada
pengalaman dan maklum balas pelanggan, Restoran mengesahkan dan bersetuju dengan Foodpanda bahawa sekiranya Restoran gagal
mematuhi atau mematuhi piawaian operasi Foodpanda seperti yang dinyatakan dalam Lampiran A (dan seperti yang dipinda oleh Foodpanda
dari semasa ke semasa masa), Restoran hendaklah membayar kepada Foodpanda sejumlah wang yang akan ditentukan oleh Foodpanda
mengikut Lampiran A sebagai ganti rugi tertentu ("Caj Pemulihan Pelanggan"). Caj Pemulihan Pelanggan yang dinyatakan di atas tidak
akan menjejaskan hak Foodpanda untuk menuntut ganti rugi bagi kos dan perbelanjaan mengambil langkah-langkah sedemikian yang
dianggap perlu oleh Foodpanda untuk membetulkan ketidakpatuhan dan/atau ketidakpatuhan piawaian operasi tersebut. Untuk mengelakkan
keraguan, Klausa
6.7 ini bertujuan untuk dibaca bersama dengan Lampiran A.

7. Marketing materials and intellectual property


7.1 “Intellectual Property” shall mean all intellectual property, including but not limited to rights to patents, trademarks, service marks, trade
names, registered designs, logos, insignia, copyrights, goodwill, and other forms of intellectual property or industrial property, know-how,
inventions, formulae, confidential or secret processes, trade secrets and confidential information, and any other protected rights and assets
and any licences and permissions in connection therewith, in each case in any part of the world and whether or not registered or registrable
and for the full period thereof, and all extensions and renewals thereof, and all applications for registration in connection with the foregoing.

7.2 The Restaurant agrees that its Intellectual Property, including the name of the Restaurant, its logo, the address, a brief slogan and
photographs, may be published online by Foodpanda on the Platform, so that the Restaurant can be identified as a Foodpanda partner
restaurant on such online platform. The Restaurant permits Foodpanda, at Foodpanda’s cost, to advertise the Restaurant on the Platform, on
Facebook, Google and any other relevant offline and online marketing channels. It is recommended that the Restaurant displays and hands
out Foodpanda marketing materials such as gift cards in the Restaurant and links to the Platform on its website (if available) via a certificate
picture and an “order now” button.
7.3 All Intellectual Property rights in such marketing materials and otherwise arising out of the Services shall be the exclusive property of
Foodpanda.
7.4 The Restaurant does not have any rights whatsoever to use or avail itself to any Intellectual Property rights of Foodpanda, including any
domains or similar domain names.
7.5 The Restaurant represents, warrants and undertakes that the use by Foodpanda of the Intellectual Property of the Restaurant, including the
name, logo and/or image of the Restaurant, and/or other marketing materials in accordance with Clause 7 of this Agreement shall not infringe
the intellectual property rights of any third party.
7.6 In case the Restaurant is in breach of Clause 7.5, with the result that Foodpanda is obligated to pay royalty fees or any other payment (the
“Royalty Fee”) to any third party for the use of the name, logo and /or image of, or used by, the Restaurant, necessary in order to provide
the Services, the Parties agree that such Royalty Fee shall be borne wholly by the Restaurant.
7.7 It is agreed that neither Party shall obtain any other rights to the Intellectual Property of the other Party, except as catered for in these Terms.

7. Bahan-Bahan Pemasaran dan Hak Harta Intelek


7.1 “Harta Intelek” hendaklah bermaksud semua harta intelek, termasuk tetapi tidak terhad kepada hak kepada paten, tanda dagangan, tanda
perkhidmatan, nama dagangan, reka bentuk berdaftar, logo, lencana, hak cipta, nama baik dan bentuk lain harta intelek atau harta
perindustrian, kepakaran, ciptaan, formula, proses sulit atau rahsia, rahsia perdagangan dan maklumat sulit, dan apa-apa hak dan aset lain
yang dilindungi dan sebarang lesen dan kebenaran yang berkaitan dengannya, dalam setiap kes di mana-mana bahagian dunia dan sama
ada didaftarkan atau boleh didaftarkan atau tidak dan untuk tempoh penuhnya, dan semua pelanjutan dan pembaharuannya, dan semua
permohonan untuk pendaftaran berkaitan dengan yang tersebut di atas.
7.2 Restoran bersetuju bahawa Harta Inteleknya, termasuk nama Restoran, logonya, alamat, slogan ringkas dan gambar, boleh diterbitkan dalam
talian oleh Foodpanda di Platform, supaya Restoran boleh dikenal pasti sebagai restoran rakan kongsi Foodpanda pada platform dalam talian
sedemikian. Restoran membenarkan Foodpanda, dengan kos Foodpanda, untuk mengiklankan Restoran di Platform, di Facebook, Google
dan mana-mana saluran pemasaran luar talian dan dalam talian yang berkaitan. Adalah disyorkan bahawa Restoran memaparkan dan
menyerahkan bahan pemasaran Foodpanda seperti kad hadiah di Restoran dan pautan ke Platform di laman sesawangbya (jika ada) melalui
gambar yang diluluskan dan butang "pesan sekarang".
7.3 Semua hak Harta Intelek dalam bahan pemasaran tersebut dan sebaliknya yang timbul daripada Perkhidmatan adalah hak milik eksklusif
Foodpanda.
7.4 Restoran tidak mempunyai sebarang hak untuk menggunakan atau memanfaatkan mana-mana hak Harta Intelek Foodpanda, termasuk
mana-mana domain atau nama domain yang serupa.
7.5 Restoran mewakili, menjamin dan mengaku janji bahawa penggunaan Harta Intelek Restoran oleh Foodpanda, termasuk nama, logo
dan/atau imej Restoran, dan/atau bahan pemasaran lain menurut Klausa 7 Perjanjian ini tidak boleh melanggar hak harta intelek mana-mana
pihak ketiga.
7.6 Sekiranya Restoran melanggar Klausa 7.5, dengan menyebabkan Foodpanda bertanggungjawab untuk membayar yuran royalti atau
sebarang bayaran lain ("Yuran Royalti") kepada mana-mana pihak ketiga untuk penggunaan nama, logo dan/atau imej daripada, atau
digunakan oleh, Restoran, yang diperlukan untuk menyediakan Perkhidmatan, Pihak-Pihak bersetuju bahawa Yuran Royalti tersebut
hendaklah ditanggung sepenuhnya oleh Restoran.
7.7 Adalah dipersetujui bahawa kedua-dua Pihak tidak akan memperoleh apa-apa hak lain ke atas Harta Intelek Pihak yang satu lagi, kecuali
sebagaimana yang ditetapkan dalam Terma ini.

8. Partnering platforms
Foodpanda may display the Restaurant menu on any other platform owned by, operated by, or affiliated with Foodpanda.

8. Platform Perkongsian
Foodpanda boleh memaparkan menu Restoran pada mana-mana platform lain yang dimiliki oleh, dikendalikan oleh, atau bergabung dengan
Foodpanda.

9. Term and Termination


9.1 This Agreement shall commence from the date the Restaurant goes live or activates on the Platform (collectively “Activation Date”) and
will continue to remain valid until explicitly terminated. This Agreement may be terminated: (a) by either Party for convenience upon giving the
other Party not less than thirty (30) days' prior written notice (b) with immediate effect upon the provision of written notice by either party in the
event of material breach of this Agreement by the other party; or (c) at any time by mutual written agreement between the Parties.
9.2 Upon termination by either party of this Agreement:
9.2.1 Foodpanda shall remove the Restaurant from the Platform;
9.2.2 the Restaurant is obliged to return all Foodpanda property in its possession, including any handset and printer provided by
Foodpanda, immediately to Foodpanda. If the Restaurant fails to return the handset and/or printer within 14 days of termination, the
Restaurant shall pay a replacement fee of MYR600.00 to Foodpanda within 30 days of termination;
9.2.3 the Restaurant must immediately remove any reference to Foodpanda and/or any of Foodpanda’s Intellectual Property
from its premises, website and/or marketing materials;
9.2.4 the accrued rights, remedies, obligations and liabilities of the parties as at expiry or termination shall be unaffected, including the right
to claim damages in respect of any breach of this Agreement which existed at or before the date of termination or expiry;
9.2.5 Clauses which expressly or by implication survive termination shall continue in full force and effect.

9. Terma dan Penamatan


9.1 Perjanjian ini akan bermula dari tarikh Restoran disiarkan secara langsung atau diaktifkan pada Platform (secara kolektif "Tarikh
Pengaktifan") dan akan kekal sah berterusan sehingga ditamatkan secara jelas. Perjanjian ini boleh ditamatkan: (a) oleh mana- mana Pihak
apabila memberikan notis bertulis terdahulu tidak kurang daripada tiga puluh (30) hari kepada Pihak yang satu lagi
(b) secara serta-merta apabila diberikan notis bertulis oleh mana-mana pihak sekiranya berlaku pelanggaran material Perjanjian ini oleh pihak
yang satu lagi; atau (c) pada bila-bila masa melalui persetujuan bertulis bersama antara Pihak-Pihak.
9.2 Selepas penamatan oleh mana-mana pihak dalam Perjanjian ini:
9.2.1 Foodpanda hendaklah mengeluarkan Restoran daripada Platform;
9.2.2 Restoran diwajibkan untuk memulangkan semua harta Foodpanda yang dimilikinya, termasuk mana-mana telefon bimbit dan
pencetak yang disediakan oleh Foodpanda, dengan segera kepada Foodpanda. Jika Restoran gagal memulangkan telefon bimbit
dan/atau pencetak dalam tempoh 14 hari selepas penamatan, Restoran hendaklah membayar yuran penggantian sebanyak
MYR600.00 kepada Foodpanda dalam tempoh 30 hari selepas penamatan;
9.2.3 Restoran secara serta-merta memadamkan sebarang rujukan kepada Foodpanda dan/atau mana-mana Harta Intelek Foodpanda
daripada premis, laman sesawang dan/atau bahan pemasarannya;
9.2.4 hak terakru, remedi, kewajipan dan liabiliti pihak-pihak pada masa luput atau penamatan tidak akan terjejas, termasuk hak untuk
menuntut ganti rugi berkaitan dengan sebarang pelanggaran Perjanjian ini yang wujud pada atau sebelum tarikh penamatan atau
luput;
9.2.5 Klausa yang secara tersurat atau secara tersirat masih terpakai dalam penamatan hendaklah terus berkuat kuasa dan berkesan
sepenuhnya.

10. Confidentiality and Data Protection


10.1 A party ("receiving party") shall keep in strict confidence all technical or commercial know-how, specifications, inventions, processes or
initiatives which are of a confidential nature and have been disclosed to the receiving party by the other party ("disclosing party"), its
employees, agents or subcontractors, and any other confidential information concerning the disclosing party's business, its products and
services which the receiving party may obtain. The receiving party shall only disclose such confidential information to those of its employees,
agents and subcontractors who need to know it for the purpose of discharging the receiving party's obligations under this Agreement, and
shall ensure that such employees, agents and subcontractors comply with the obligations set out in this Clause as though they were a party to
this Agreement.
10.2 The receiving party may also disclose such of the disclosing party's confidential information as is required to be disclosed by law, any
governmental or regulatory authority or by a court of competent jurisdiction. This Clause 10 shall survive termination of this Agreement.
10.3 In the event of Restaurant Delivery, Foodpanda shall provide Restaurant with certain personal data belonging to the Foodpanda customers
("Customer Data"). Such Customer Data may include, among others: name, surname, address, e-mail address and telephone number or
other information provided by the Foodpanda customers that are considered to be required for the performance of service of food delivery.
Restaurant hereby undertakes to only use the Customer Data for the purposes of this Agreement and in accordance with the provisions of the
applicable data protection legislation, and shall not retain, store or process, in any manner whatsoever, any part of the Customer Data, unless
legally required to do so.

10. Kerahsiaan dan Perlindungan Data


10.1 Sesuatu Pihak (“Pihak Penerima”) hendaklah mengekalkan kerahsiaan ketat kesemua informasi teknikal atau komersial, spesifikasi, ciptaan,
proses atau inisiatif yang bersifat sulit dan telah didedahkan kepada Pihak Penerima oleh Pihak yang satu lagi (“Pihak yang
Mendedahkan”), pekerjanya, ejen atau subkontraktor, dan sebarang maklumat sulit mengenai perniagaan Pihak yang Mendedahkan, produk
dan perkhidmatan di mana Pihak Penerima akan menerima. Pihak Penerima hanya akan mendedahkan maklumat sulit tersebut kepada
pekerjanya, ejen dan subkontraktor yang perlu mengetahui maklumat tersebut untuk tujuan menjalankan tanggungjawab Pihak Penerima di
bawah Perjanjian ini, dan akan memastikan bahawa pekerjanya, ejen dan subkontraktor tersebut mematuhi kewajipan yang diperuntukkan di
dalam klausa ini seolah-olah mereka adalah pihak dalam Perjanjian ini.
10.2 Pihak Penerima juga boleh mendedahkan maklumat sulit Pihak yang Mendedahkan sekiranya perlu didedahkan di bawah undang-undang,
oleh kerajaan atau pihak berkuasa yang mengawal selia atau mahkamah yang mempunyai bidang kuasa yang kompeten. Klausa 10 ini akan
terus terpakai walaupun Perjanjian ini ditamatkan.
10.3 Sekiranya berlaku Penghantaran Restoran, Foodpanda hendaklah menyediakan Restoran dengan data peribadi tertentu kepunyaan
pelanggan Foodpanda ("Data Pelanggan"). Data Pelanggan tersebut mungkin termasuk, antara lain: nama, nama keluarga, alamat, alamat
e-mel dan nombor telefon atau maklumat lain yang diberikan oleh pelanggan Foodpanda yang dianggap diperlukan untuk pelaksanaan
perkhidmatan penghantaran makanan. Restoran dengan ini mengaku janji untuk hanya menggunakan Data Pelanggan untuk tujuan
Perjanjian ini dan menurut peruntukan undang-undang perlindungan data yang berkenaan, dan tidak akan menyimpan atau memproses,
dalam apa cara sekalipun, mana-mana bahagian Data Pelanggan, melainkan jika dikehendaki oleh undang-undang untuk berbuat demikian.

11. Limitation of Liability


11.1 Nothing in this Agreement shall limit or exclude either Party’s liability for death or personal injury caused by its negligence, or the negligence
of its employees, agents or subcontractors or fraud or fraudulent misrepresentation.
11.2 Subject to Clause 11.1:
11.2.1 Foodpanda shall under no circumstances whatever be liable to the Restaurant, whether in contract, tort (including negligence), breach
of statutory duty, or otherwise, for any loss of profit, or any indirect or consequential loss arising under or in connection with this
Agreement; and
11.2.2 Foodpanda’s total liability to the Restaurant in respect of all other losses arising under or in connection with this Agreement, whether
in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the Agency Fee paid
in the preceding payment period at the time of the event giving rise to such liability.
11.3 This Clause 11 shall survive termination of this Agreement.

11. Had Liabiliti

11.1 Tiada apa-apa dalam Perjanjian ini boleh mengehadkan atau mengecualikan liabiliti mana-mana Pihak untuk kematian atau kecederaan
peribadi yang disebabkan oleh kecuaiannya, atau kecuaian pekerja, ejen atau subkontraktornya atau penipuan atau salah nyata palsu.
11.2 Tertakluk kepada klausa 11.1:
11.2.1 Foodpanda dalam apa jua keadaan tidak akan bertanggungjawab kepada Restoran, sama ada dalam kontrak, tort (termasuk
kecuaian), pelanggaran kewajipan berkanun, atau sebaliknya, untuk sebarang kehilangan keuntungan, atau sebarang kerugian tidak
langsung atau berbangkit yang timbul di bawah atau berkaitan dengan Perjanjian ini; dan
11.2.2 Jumlah liabiliti Foodpanda kepada Restoran berkenaan dengan semua kerugian lain yang timbul di bawah atau berkaitan dengan
Perjanjian ini, sama ada dalam kontrak, tort (termasuk kecuaian), pelanggaran kewajipan berkanun, atau sebaliknya, tidak boleh
melebihi Yuran Agensi dalam apa jua keadaan. dibayar dalam tempoh pembayaran sebelumnya pada masa kejadian yang
menimbulkan liabiliti tersebut.
11.3 Klausa 11 ini akan terus terpakai walaupun Perjanjian ini ditamatkan

12. Amendments
12.1 Foodpanda shall have the right to amend these Terms and Agreement at its sole discretion, provided that it shall inform Restaurant of such
amendments in writing fourteen (14) days from the date of amendment.
12.2 Restaurant shall have the right to object to such amendments within seven (7) days from receipt of such amendments (the “Objection
Period”) and shall provide reasonable grounds for such objections, which shall be reviewed by Foodpanda. Foodpanda shall provide
Restaurant with its decision on the acceptance or rejection of the objection within five (5) business days from receipt of such objections, which
decision shall be final.
12.3 The amendments shall become valid and effective between the Parties (i) upon the expiry of the Objection Period, if no objection was
submitted, or (ii) two (2) business days after the rejection by Foodpanda of any objections made by Restaurant.
12.4 Restaurant has the right to terminate this Agreement in the event of no agreement being reached between the Parties on the amendments,
provided that such termination must be notified to Foodpanda within seven (7) days of the rejection by Foodpanda of any objections made by
the Restaurant. In such event, this Agreement shall terminate seven (7) days after the Restaurants’ written termination notice is received by
Foodpanda. For the avoidance of doubt, during that fourteen (14) day period, Restaurant shall not be obliged to abide by any amendments
made by Foodpanda and shall abide by the then valid Terms.
12.5 Any notice made in accordance with the provisions of this Clause 12 may be sent by email to the email address mentioned on the Front
Sheet, or any other email address as agreed between the Parties and shall be deemed notified at 09.00hrs of the next business day following
the day on which such email was sent.

12. Pindaan
12.1 Foodpanda berhak untuk meminda Terma dan Perjanjian ini mengikut budi bicara mutlaknya, dengan syarat ia akan memaklumkan kepada
Restoran mengenai pindaan tersebut secara bertulis empat belas (14) hari dari tarikh pindaan.
12.2 Restoran mempunyai hak untuk membantah pindaan tersebut dalam masa tujuh (7) hari dari tarikh penerimaan pindaan tersebut ("Tempoh
Bantahan") dan hendaklah menyediakan alasan yang munasabah untuk bantahan tersebut, yang akan disemak oleh Foodpanda.
Foodpanda hendaklah memberikan keputusan kepada Restoran mengenai penerimaan atau penolakan bantahan dalam tempoh lima (5) hari
bekerja dari tarikh bantahan tersebut diterima, yang mana keputusannya adalah muktamad.
12.3 Pindaan akan menjadi sah dan berkuat kuasa antara Pihak-Pihak (i) selepas tamat Tempoh Bantahan, jika tiada bantahan dikemukakan, atau
(ii) dua (2) hari bekerja selepas penolakan oleh Foodpanda terhadap sebarang bantahan yang dibuat oleh Restoran.
12.4 Restoran mempunyai hak untuk menamatkan Perjanjian ini sekiranya tiada persetujuan dicapai antara Pihak mengenai pindaan, dengan
syarat penamatan tersebut mesti dimaklumkan kepada Foodpanda dalam tempoh tujuh (7) hari dari penolakan oleh Foodpanda terhadap
sebarang bantahan yang dibuat oleh Restoran. Dalam keadaan sedemikian, Perjanjian ini akan ditamatkan tujuh (7) hari selepas notis
penamatan bertulis Restoran diterima oleh Foodpanda. Untuk mengelakkan keraguan, dalam tempoh empat belas (14) hari itu, Restoran
tidak akan diwajibkan untuk mematuhi sebarang pindaan yang dibuat oleh Foodpanda dan hendaklah mematuhi Terma yang sah ketika itu.
12.5 Sebarang notis yang dibuat mengikut peruntukan Klausa 12 ini boleh dihantar melalui e-mel ke alamat e-mel yang disebut di Helaian
Hadapan, atau mana-mana alamat e-mel lain seperti yang dipersetujui antara Pihak dan akan dianggap dimaklumkan pada jam 09.00 pagi
perniagaan seterusnya hari selepas hari di mana e-mel tersebut dihantar.

13. Severability
If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum
extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be
deemed deleted. Any modification to or deletion of a provision or part-provision under this Clause shall not affect the validity and enforceability
of the rest of this Agreement.

13. Kebolehasingan
Sekiranya terdapat sebarang peruntukan atau sebahagian daripada sebarang peruntukan Perjanjian ini yang menjadi tidak sah di sisi
undang-undang atau tidak boleh dikuatkuasakan, maka ia akan dianggap diubahsuai seminima mungkin untuk menjadikannya sah di sisi
undang-undang dan boleh dikuatkuasakan. Sekiranya pengubahsuaian tersebut tidak berkemungkinan, peruntukkan atau bahagian
peruntukkan tersebut akan dianggap dipadamkan. Sebarang pengubahsuaian atau pemadaman sebarang peruntukkan atau sebahagian
daripada sebarang peruntukkan di bawah Klausa ini tidak akan mempengaruhi kesahihan dan kebolehkuatkuasaan keseluruhan Perjanjian
ini.

14. Waiver
A waiver of any right under this Agreement or law is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent
breach or default. No failure or delay by a party in exercising any right or remedy provided under this Agreement or by law shall constitute a
waiver of that or any other right or remedy, nor shall it prevent or restrict its further exercise of that or any other right or remedy. No single or
partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

14. Penepian

Penepian sebarang hak di bawah Perjanjian ini atau undang-undang hanya berkesan sekiranya secara bertulis dan tidak boleh dianggap
sebagai penepian sebarang pelanggaran atau keingkaran berikutnya. Tiada keingkaran atau kelewatan oleh pihak yang menguatkuasakan
sebarang hak atau remedi yang diperuntukkan di bawah Perjanjian ini atau oleh undang-undang akan terjumlah sebagai suatu penepian hak
atau remedi tersebut atau sebarang hak atau remedi lain, dan juga tidak akan menghalang atau menyekat pelaksanaan hak atau remedi
tersebut atau sebarang hak atau remedi lain. Tidak ada satu atau sebahagian penguatkuasaan hak atau remedi yang boleh menghalang atau
menyekat penguatkuasaan hak atau remedi tersebut atau sebarang hak atau remedi lain.

15. No partnership
Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the parties.

15. Tiada Perkongsian


Tiada apa-apa dalam Perjanjian ini yang bertujuan untuk, atau boleh dianggap untuk, menubuhkan sebarang perkongsian korporat atau
usahasama antara Pihak-Pihak.

16. Insurance
During the term, the Restaurant shall always obtain and maintain adequate insurance to cover any potential liability that it may incur under this
Agreement.

16. Insurans
Sepanjang tempoh Perjanjian, Restoran hendaklah sentiasa mendapatkan dan mengekalkan insurans yang mencukupi untuk melindungi
sebarang potensi liabiliti yang mungkin ditanggung di bawah Perjanjian ini.

17. Assignment
17.1 Foodpanda may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights under this
Agreement and may subcontract or delegate in any manner any or all of its obligations under this Agreement to any third party or agent.
17.2 The Restaurant shall not, without the prior written consent of Foodpanda, assign, transfer, mortgage, charge, subcontract, declare a trust over
or deal in any other manner with any or all its rights or obligations under this Agreement.

17. Penyerahan Hak


17.1 Foodpanda boleh pada bila-bila masa menyerah, memindah, menggadai, mengecaj, subkontrak atau berurusan dengan cara lain dengan
semua atau sebarang haknya di bawah Perjanjian ini dan boleh subkontrak atau menyerahkan dengan apa-apa cara mana-mana atau
kesemua kewajipannya di bawah Perjanjian ini kepada pihak ketiga atau ejen.
17.2 Restoran tidak boleh, tanpa persetujuan bertulis terlebih dahulu daripada Foodpanda, menyerah, memindah, menggadai, mengecaj,
subkontrak, mengisytiharkan amanah atau berurusan dengan cara lain dengan mana-mana atau kesemua hak atau kewajipannya di bawah
Perjanjian ini.

18. Conflicting Terms


To the extent that any of these Terms conflict with the terms stated on the Front Sheet (including, without limitation, any Special Conditions
detailed on the Front Sheet), the terms of the Front Sheet shall prevail.

18. Terma-Terma yang Bercanggah


Sekiranya sebarang Terma di sini bercanggah dengan terma-terma yang dinyatakan dalam Helaian Hadapan (termasuk, tanpa
mengehadkan, sebarang Syarat Khas yang diperincikan dalam Helaian Hadapan), terma Helaian Hadapan akan digunapakai.

19. Governing Law and Jurisdiction


19.1 This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non- contractual
disputes or claims), shall be governed by, and construed in accordance with the law of Malaysia.
19.2 Each party irrevocably agrees that the courts of Malaysia shall have exclusive jurisdiction to settle any dispute or claim arising out of or in
connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

19. Kawalan Undang-Undang dan Bidang Kuasa


19.1 Perjanjian ini, dan sebarang pertikaian atau tuntutan akibat daripada atau berhubungan dengannya atau hal perkara Perjanjian ini atau
pembentukkannya (termasuk pertikaian atau tuntutan bukan kontrak), akan dikawal oleh, dan ditafsirkan mengikut undang-undang Malaysia.
19.2 Setiap Pihak bersetuju bahawa mahkamah Malaysia mempunyai bidang kuasa eksklusif untuk menyelesaikan sebarang pertikaian atau
tuntutan yang timbul daripada atau berkaitan dengan Perjanjian ini atau perkara atau pembentukannya (termasuk pertikaian atau tuntutan
bukan kontrak).

20. Force Majeure


20.1 For the purposes of this Agreement, "Force Majeure Event" means an event beyond the reasonable control of either party including but not
limited to acts of God; war; riot; civil commotion or terrorist action.
20.2 Neither Party shall be liable to the other Party as a direct result of any delay or failure to perform its obligations under this Agreement as a
result of a Force Majeure Event.
20.3 If a Force Majeure Event prevents either Party from performing its obligations under this Agreement for more than four weeks, either Party
shall, without limiting its other rights or remedies, have the right to terminate this Agreement immediately by giving written notice to the other
Party.

20. Force Majeure


20.1 Untuk tujuan Perjanjian ini, “Peristiwa Force Majeure” bermaksud satu peristiwa di luar kawalan mana-mana Pihak termasuk tetapi tidak
terhad kepada perbuatan Tuhan; peperangan; rusuhan; kekecohan awam atau tindakan pengganas.

20.2 Mana-mana Pihak tidak bertanggungjawab terhadap Pihak yang satu lagi akibat kelewatan atau kegagalan untuk melaksanakan
kewajipannya di bawah Perjanjian ini akibat Peristiwa Force Majeure.
20.3 Jika Peristiwa Force Majeure menghalang mana-mana Pihak daripada melaksanakan kewajipannya di bawah Perjanjian ini untuk tempoh
masa lebih daripada empat minggu, mana-mana Pihak hendaklah, tanpa mengehadkan hak atau remedi lain, mempunyai hak untuk
menamatkan Perjanjian ini serta-merta dengan memberi notis bertulis kepada Pihak yang satu lagi.

21. Third Parties


Unless expressly provided to the contrary in this Agreement, a person who is not a party to this Agreement may not enforce any of its terms
and notwithstanding any term of this Agreement, the consent of any third party is not required for any variation (including any release or
compromise of any liability) or termination of this Agreement.

21. Pihak Ketiga


Melainkan jika diperuntukkan secara nyata sebaliknya dalam Perjanjian ini, seseorang yang tidak merupakan pihak kepada Perjanjian ini
tidak boleh menguatkuasakan mana-mana termanya dan walau apa pun terma Perjanjian ini, persetujuan mana- mana pihak ketiga tidak
diperlukan untuk sebarang perubahan (termasuk sebarang pelepasan atau tolak ansur sebarang liabiliti) atau penamatan Perjanjian ini.

22. Entire Agreement


22.1 This Agreement sets forth the entire agreement and understanding between the Parties or any of them in relation
to the subject matter of this Agreement and supersedes and cancels in all respects all previous agreements, letters of intent, correspondence,
understandings, agreements and undertakings (if any) between the Parties with respect to this subject matter hereof, whether written or oral.
22.2 This Agreement and its terms and conditions are written in the English language, which shall be the sole language of interpretation in the
event of any translations.

22. Keseluruhan Perjanjian


22.1 Perjanjian ini akan mengandungi keseluruhan perjanjian dan persefahaman antara Pihak-Pihak atau salah satu daripadanya berkaitan
dengan hal perkara Perjanjian ini dan akan mengatasi dan membatalkan semua perjanjian terdahulu, surat hasrat, surat-menyurat,
persefahaman, perjanjian dan akujanji (sekiranya ada) antara Pihak-Pihak berkaitan dengan hal perkara ini, sama ada secara bertulis atau
secara lisan.
22.2 Perjanjian ini berserta terma dan syaratnya ditulis dalam bahasa Inggeris, yang akan dijadikan bahasa tafsiran tunggal sekiranya terdapat
sebarang terjemahan.

23. Notices
23.1 All notices under this Agreement shall be in writing, addressed to the agreed contact person/address as per this Agreement, and be deemed
duly given:
23.1.1 On the same day when delivered, if delivered by hand during normal business hours of the recipient;
23.1.2 On the same day when sent, if transmitted by fax or e-mail to the contact person on the Front Sheet or any approved substitute
thereof, and a confirmation of receipt or delivery is provided;
23.1.3 On the third business day following mailing, if sent by post.

23. Notis
23.1 Semua notis di bawah Perjanjian ini hendaklah dibuat secara bertulis, ditujukan kepada orang yang patut dihubungi/alamat yang dipersetujui
sepertimana yang diperuntukkan dalam Perjanjian ini, dan dianggap diberikan dengan sewajarnya:
23.1.1 Pada hari yang sama semasa dihantar, sekiranya dihantar dengan tangan sewaktu perniagaan biasa penerima;
23.1.2 Pada hari yang sama semasa dihantar, sekiranya dihantar melalui faks atau e-mel kepada orang yang patut dihubungi berdasarkan
Helaian Hadapan atau mana-mana pengganti yang diluluskan, dan pengesahan penerimaan atau penghantaran disediakan;
23.1.3 Pada hari perniagaan ketiga selepas hari pengeposan, sekiranya dihantar melalui pos.

24. Photography Package


24.1 If the Restaurant opts for a photoshoot with Foodpanda’s recommended third-party photographer (“Photography Package”), Restaurant
agrees that Foodpanda is authorized to provide Restaurant’s contact details and address(es) to the photographer for the purpose of
organizing the Photography Package.
24.2 The cost of the Photography Package shall be added into the “Setup Fee” stated on the Front Sheet.
24.3 All intellectual property rights in the photographs and any other materials resulting from the Photography Package (“Photographs”) shall be
the property of Foodpanda, except that Foodpanda shall grant the Restaurant an exclusive, royalty-free license to use the Photographs in
connection with this Agreement and for personal marketing purposes.
24.4 Restaurant shall be liable for a cancellation fee of not less than the Setup Fee in the event that the Photography Package is agreed to and
scheduled for but is cancelled by the Restaurant less than 48 hours prior to the photoshoot, unless agreed otherwise by Foodpanda. A
replacement photoshoot will only be scheduled upon payment of the cancellation fee by the Restaurant.

24. Pakej Fotografi


24.1 Jika Restoran memilih untuk sesi penggambaran dengan jurugambar pihak ketiga yang disyorkan Foodpanda (“Pakej Fotografi”), Restoran
bersetuju bahawa Foodpanda diberi kuasa untuk memberikan butiran hubungan dan alamat Restoran kepada jurugambar untuk tujuan
mengatur Pakej Fotografi.
24.2 Kos Pakej Fotografi hendaklah ditambah ke dalam “Yuran Persediaan” yang dinyatakan di Helaian Hadapan.
24.3 Semua hak harta intelek dalam gambar dan apa-apa bahan lain yang terhasil daripada Pakej Fotografi (“Foto”) hendaklah menjadi hak milik
Foodpanda, kecuali Foodpanda akan memberikan lesen eksklusif tanpa royalti kepada Restoran untuk menggunakan Foto berkaitan dengan
Perjanjian ini dan untuk tujuan pemasaran peribadi.
24.4 Restoran akan bertanggungjawab untuk yuran pembatalan tidak kurang daripada Yuran Persediaan sekiranya Pakej Fotografi dipersetujui
dan dijadualkan tetapi dibatalkan oleh Restoran kurang daripada 48 jam sebelum sesi penggambaran, melainkan dipersetujui sebaliknya oleh
Foodpanda. Sesi Penggambaran penggantian hanya akan dijadualkan selepas pembayaran yuran pembatalan oleh Restoran.

25. Pandabox
25.1 Foodpanda offers an add-on marketing service “Pandabox” which targets customers who are new to the Restaurant with three
(3) limited-time deals (“Deals”) when customers log onto the Platform. Deals shall have a fixed discount mechanism of either MYR4.00,
MYR7.00 or MYR10.00, depending on order value of MY15.00, MYR23.00 or MYR30.00 respectively and customers are required to place
their order within fifteen (15) minutes to qualify for the discount.
25.2 If the Restaurant opts for add-on marketing service “Pandabox” with Foodpanda, the Restaurant shall be charged a fee equal to
50% of such order when a customer places a Pandabox order for Restaurant’s menu items.
25.3 Restaurant may limit the number of redemptions per day.
25.4 The Pandabox service may be terminated by the Restaurant upon giving Foodpanda not less than three (3) days’ prior written
notice. For avoidance of doubt, termination of Pandabox service does not amount to termination of this entire Agreement.

25. Pandabox
25.1 Foodpanda menawarkan perkhidmatan pemasaran tambahan “Pandabox” yang menyasarkan pelanggan yang baru mengenali Restoran
dengan tiga (3) tawaran masa terhad (“Tawaran”) apabila pelanggan melog masuk ke Platform. Tawaran mempunyai mekanisme diskaun
tetap sama ada MYR4.00, MYR7.00 atau MYR10.00, bergantung pada nilai pesanan masing- masing MY15.00, MYR23.00 atau MYR30.00
dan pelanggan dikehendaki membuat pesanan mereka dalam tempoh lima belas (15
) minit untuk layak mendapat diskaun.
25.2 Jika Restoran memilih perkhidmatan pemasaran tambahan "Pandabox" dengan Foodpanda, Restoran akan dikenakan bayaran yang sama
dengan 50% daripada pesanan tersebut apabila pelanggan membuat pesanan Pandabox untuk item menu Restoran.
25.3 Restoran boleh mengehadkan bilangan penebusan setiap hari.
25.4 Perkhidmatan Pandabox boleh ditamatkan oleh Restoran dengan memberi Foodpanda tidak kurang daripada tiga (3) hari notis bertulis. Untuk
mengelakkan keraguan, penamatan perkhidmatan Pandabox tidak sama dengan penamatan keseluruhan Perjanjian ini.

26. Pandago
1.1 Foodpanda offers an ‘On Demand Rider Platform’ where the Restaurant may request for a delivery to be made from its location to its
customer’s address through a rider provided from Foodpanda’s rider pool (“pandago Service”). The Restaurant may access the
pandago Service using the Restaurant App or via the ‘Request a Rider’ page found on the pandago website, https://pandago.my
1.2 By using the pandago Service:
1.2.1 the Restaurant consents and agrees to be bound by the pandago Terms and Conditions, as may be amended from time to
time. The pandago Terms and Condition are incorporated by reference herein and accessible at
https://pandago.my/termsandconditions or via the link on the pandago website. In the event of any inconsistency between the
pandago Terms and Conditions and the terms of this Agreement, the pandago Terms and Conditions shall prevail.
1.2.2 the Restaurant shall pay Foodpanda a delivery fee for the pandago Service (“pandago Service Fee”), as reflected
on the pandago website and/or the Restaurant App. The Restaurant shall make payment of the pandago Service Fee to
Foodpanda in accordance with Clause 4 (Fees and Payments) of this Agreement.

26. Pandago
26.1 Foodpanda menawarkan “Platform Penunggan Atas Permintaan” di mana Restoran boleh memohon supaya penghantaran dibuat dari
lokasinya ke alamat pelanggannya melalui penunggang yang disediakan daripada kumpulan penunggang Foodpanda ("Perkhidmatan

https://pandago.my/termsandconditions atau melalui pautan di laman web pandago. Sekiranya terdapat sebarang percanggahan
antara Terma dan Syarat pandago dan terma Perjanjian ini, Terma dan Syarat pandago akan diguna pakai.;
26.2.2 Restoran hendaklah membayar Foodpanda yuran penghantaran untuk Perkhidmatan pandago (“Yuran Perkhidmatan pandago”),
seperti yang ditunjukkan pada laman sesawang pandago dan/atau Aplikasi Restoran. Restoran hendaklah membuat pembayaran
Yuran Perkhidmatan pandago kepada Foodpanda mengikut Klausa 4 (Yuran dan Pembayaran) Perjanjian ini.

27. Notifications and Call Recording


27.1 By signing this Agreement, the Restaurant consents and agrees that Foodpanda may use the Restaurant’s information in the Front Sheet to
provide notifications (either directly or through its third party provider) in relation to this Agreement, including but not limited to delivery
notifications, finance and operational notifications, promotions, deals, portal education, surveys, feedback and marketing updates, via various
communication and social media channels including but not limited to email, short message service (SMS), WhatsApp, LINE, Google and/or
Facebook. The Restaurant may withdraw its consent and opt out from receiving such notifications at any time by clicking on the “Unsubscribe”
button provided in the notifications.
27.2 By signing this Agreement, the Restaurant consents and agrees to the monitoring and/or recording, at any time and from time to time, by
Foodpanda, its affiliates, agents and/or sub-contractors of any and all oral communications between the Restaurant’s employees, personnel
and/or agents and Foodpanda’s employees, personnel and/or agents in relation to the Services and/or this Agreement for record keeping,
audit and quality training purposes. The Restaurant further consents and agrees to waive any requirement of further notice from Foodpanda of
such monitoring and/or recording, and to notify and obtain the consent of its employees, personnel and/or agents to such monitoring and/or
recording.

27. Notifikasi dan Rakaman Panggilan

27.1 Dengan menandatangani Perjanjian ini, Restoran menerima dan bersetuju bahawa Foodpanda boleh menggunakan maklumat Restoran di
Helaian Hadapan untuk memberikan notifikasi (sama ada secara langsung atau melalui pembekal pihak ketiganya) berhubung dengan
Perjanjian ini, termasuk tetapi tidak terhad kepada notifikasi penghantaran, notifikasi kewangan dan operasi, promosi, tawaran, pendidikan
portal, tinjauan, maklum balas dan kemas kini pemasaran, melalui pelbagai saluran komunikasi dan media sosial termasuk tetapi tidak terhad
kepada e-mel, khidmat pesanan ringkas (SMS), WhatsApp, LINE, Google dan/atau Facebook. Restoran boleh menarik balik kebenarannya
dan menarik diri daripada menerima notifikasi sedemikian pada bila-bila masa dengan mengklik pada butang "Nyahlanggan" yang disediakan
dalam notifikasi.
27.2 Dengan menandatangani Perjanjian ini, Restoran menerima dan bersetuju dengan pemantauan dan/atau rakaman, pada bila- bila masa dan
dari semasa ke semasa, oleh Foodpanda, sekutunya, ejen dan/atau sub-kontraktor mana-mana dan semua komunikasi lisan antara
Restoran. pekerja, kakitangan dan/atau ejen dan pekerja, kakitangan dan/atau ejen Foodpanda berhubung dengan Perkhidmatan dan/atau
Perjanjian ini untuk tujuan penyimpanan rekod, audit dan latihan yang berkualiti. Restoran selanjutnya bersetuju dan bersetuju untuk
mengetepikan sebarang keperluan notis lanjut daripada Foodpanda mengenai pemantauan dan/atau rakaman tersebut, dan untuk
memberitahu dan mendapatkan persetujuan pekerja, kakitangan dan/atau ejennya untuk pemantauan dan/atau rakaman tersebut.

28. Stamp duty


For the purposes of stamp duty, this Agreement is an agreement for services to which the Stamp Duty (Remission) (no. 4) Order 2010
applies. The Restaurant shall bear the stamp duty on this Agreement.

28. Duti Setem


Untuk tujuan duti setem, Perjanjian ini adalah satu perjanjian untuk perkhidmatan di mana Perintah Duti Setem (Peremitan) (No. 4) 2010
digunapakai. Restoran hendaklah menanggung duti setem Perjanjian ini.

29. Marketing Activities


The Parties may agree to collaborate and participate in joint marketing and promotional activities. This shall be agreed by the Restaurant and
Foodpanda in writing.

29. Aktiviti Pemasaran


Pihak-pihak boleh bersetuju untuk bekerjasama dan mengambil bahagian dalam aktiviti pemasaran dan aktiviti promosi bersama.
Perkara ini akan dipersetujui oleh Restoran dan Foodpanda secara bertulis.

30. Counterparts
This Agreement may be executed in two or more identical counterparts, each of which shall be deemed to be an original and all of which
taken together shall be deemed to constitute the Agreement when a duly authorized representative of each Party has signed the counterpart.
The electronic signature of this Agreement by the authorized representative(s) of either Party shall have the same validity and effect as a
signature affixed by the hand of either Party’s authorized representative(s).

30. Kaunterpart
Perjanjian ini boleh dimeteraikan dalam dua atau lebih kaunterpart yang serupa, yang masing-masing dianggap sebagai asli dan
kesemuanya secara sesama dianggap sebagai sebahagian Perjanjian ini sekiranya wakil yang diberi kuasa oleh setiap Pihak
menandatangani kaunterpart tersebut. Tandatangan Perjanjian ini secara elektronik oleh wakil yang diberi kuasa oleh mana-mana Pihak
mempunyai kesahan dan kesan yang sama dengan tandatangan secara tangan oleh wakil yang diberi kuasa oleh mana-mana Pihak.

31. Language
This Agreement has been drafted and executed in English language. If this Agreement has been translated into any other language, the
English language text shall in any event prevail.

Perjanjian ini telah digubal dan dilaksanakan dalam Bahasa Inggeris. Sekiranya Perjanjian ini diterjemahkan ke dalam bahasa lain, teks
Bahasa Inggeris akan berlaku dalam apa jua keadaan.

Appendix A
Customer Recovery Charge

The Restaurant will only be required to pay a Customer Recovery Charge (“CRC”) when an order has negatively affected Foodpanda’s
customer’s experience and for operational problems that are fully within the Restaurant’s control.

The Restaurant agrees to pay Foodpanda the CRC for issues listed in the table below.

The contents of this table may be amended from time to time based at Foodpanda’s sole discretion. Foodpanda shall inform the Restaurant of such
amendments in writing 14 days before the effective date of such amendments.

The Restaurant shall be granted a grace period of 3 billing cycles (being 6 weeks) from the Activation Date (“Grace Period”) during
which the Restaurant may implement measures to address all its issues and/or operational problems. The CRC during the Grace Period will be
reflected in the invoice issued by Foodpanda to the Restaurant. However, the Restaurant shall not have to pay for the CRC during the Grace
Period. After the Grace Period is over, the Restaurant shall make payment of the CRC to Foodpanda as reflected in the invoices issued by
Foodpanda to the Restaurant.

Appendix B

Redelivery charges
Between 1st September 2018 and 31st October 2018, only 0.11% of orders required a redelivery. Of these, two-thirds of orders were due to
the restaurant’s operational issues and one-third were due to foodpanda operational issues.

Foodpanda performs a redelivery (i.e. second delivery) of the same order from a

pembaziran dibentangkan dalam jadual di bawah. Tujuan caj pembaziran adalah untuk meminimumkan pembaziran makanan yang disebabkan
oleh tempahan yang dibatalkan.

Membatalkan pesanan selepas Restoran menerimanya

Terms and Conditions
1. The Merchant hereby confirms and declares that all information provided herein, and all documents provided
to Shopee Mobile Malaysia Sdn. Bhd. (“Shopee”) is accurate and true. If any of the information given by the
Merchant becomes inaccurate or misleading or changes in any way at any time, the Merchant shall promptly
notify Shopee of such changes.
2. The Merchant hereby acknowledges and agrees that Shopee may decline this application without providing
any reasons whatsoever.
3. The Merchant hereby confirms that it has read and agrees to the ShopeeFood Merchant General Terms and
Conditions attached here in Appendix B and the Privacy Policy available here:
https://shopee.com.my/legaldoc/policies/ and it shall be bound by the terms contained therein and all future
amendments thereto.
4. The Merchant agrees that it shall provide to Shopee any documents it requires to assess the Merchant’s
application.
5. The Merchant agrees to the Service Fee charged on the Net Sales (as defined in the ShopeeFood Merchant
General Terms and Conditions) and Shopee reserves the rights to amend the Service Fee by providing a 7-day
prior notice to the Merchant or through announcement on any of its platforms.
6. The Merchant agrees that the term of this agreement shall be one (1) year commencing from the date of
Shopee accepting this application and it shall automatically renew for succeeding terms of 1 (one) year each
unless cancelled by either party in writing with 10 business days’ notice to the other party.
7. The Merchant agrees to ensure that the payment confirmation pages from its buyer and ShopeeMerchant’s
page is correct, and payment is successful before it releases its goods or services.
8. The Merchant agrees that Shopee may perform any background and/or credit check on the Merchant, and its
owner, directors and shareholders of Company. The Merchant further consent that Shopee may use third party
service providers to perform such checks.
