1. Rice is to be packed in single new jute bags of 50 kilos net each, about 50.6 kilos gross
each, hand-sewn at mouth with jute twine thread suitable for rough handling and sea
transportation. The Seller will supply 0.2% of new jute bags free of charge out of
quantity of bags shipped
2. The obligations of the seller to ship the goods specified in this contract by the time or
within the period specified in this contract shall be subject to the availability of the vessel
or the vessel’s space.
3. In case of delayed delivery except for force majeure cases, the seller shall pay to the
buyer for every week of delay penalty amounting to 5% of the total value of the goods
whose delivery has been delayed. The Seller grants a grace period of four weeks from the
delivery date before penalties shall be applied.
4. Delivery of the goods shall be made CIF Kobe port (Japan), Incoterms 2010. The
scheduled date of delivery shall be 15th October 2011. Risk and title to the goods shall
pass from the seller to the buyer on delivery.
5. The seller's obligations under this article shall include, without limitation, obtaining all
necessary or appropriate import and export licenses and customs clearances for materials,
tools, vessel, parts and spares, and equipment and providing all documentation in support
of such licenses and clearance.
6. The manufacturer shall be liable to pay penalty in the following cases specified as breach
of contract: In the event of shortage of quantity, no penalty shall be due. In this case, the
buyer shall be entitled to a reduction of the contract price equalling the difference
between the goods delivered and the goods the manufacturer was liable to deliver.
7. In the event of late delivery for reasons other than force majeure as defined in this
contract, the seller shall pay as liquidated damages and not as a penalty the sum of 0.1%
of the value of the undelivered part per day of late delivery up to a maximum of 10% of
the price payable under clause 10 below.
8. Payment of liquidated damages shall constitute full and complete satisfaction of any
claim of the buyer against the seller arising from or in connection with late delivery of
any goods.
9. Hàng được đóng trong kiện gỗ rồi đặt vào container, phù hợp hành trình dài bằng đường
biển và phù hợp với điều kiện thời tiết thay đổi; phải được bảo vệ chống ẩm, chống va
đập trong bốc xếp. Người bán phải chịu trách nhiệm với bất kì tổn thất nào xảy ra với
hàng hóa và chịu các chi phí phát sinh do việc đóng gói không đúng quy cách; cùng với
bất kì sự han gỉ liên quan tới phương thức bảo quản không phù hợp hoặc không đúng quy
cách do Người bán sử dụng trong quá trình đóng gói.
10.  Người bán sẽ không phải chịu trách nhiệm cho bất kì sự chậm trễ trong giao hàng hoặc
không giao hàng được do các sự cố bất khả kháng. Tuy nhiên, người bán phải thông báo
với người mua ngay lập tức trong trường hợp có sự cố bất khả kháng phát sinh và trong
vòng 14 ngày sau đó, phải gửi cho người mua qua đường hàng không giấy chứng nhận do
cơ quan chức năng có thẩm quyền tại nơi sự cố xảy ra ban hành làm bằng chứng.
11. Giao hàng chậm: Nhà sản xuất phải trả một khoản tiền bồi thường được quy định trước
bằng 2.5% giá trị bảo lãnh thực hiện hợp đồng nếu nhà sản xuất giao hang chậm 15 ngày
làm việc kể từ ngày giao hang dự kiến. nếu giao chậm quá 30 ngày, nhà sản xuất sẽ phải
trả khoản tiền bồi thường được quy định trước bằng 5% giá trị bảo lãnh thực hiện hợp
đồng. Trong mọi trường hợp, tổng số tiền bồi thường trong thời hạn của hợp đồng này
không được vượt quá 5% giá trị bảo lãnh thực hiện hợp đồng.
