AGREEMENT

This Deed of Agreement is made and entered into on …… day of ………………… at

BETWEEN

M/s. AKSHAR SCHOOL SOLUTIONS PRIVATE LIMITED (ASSPL), a Company


incorporated on 08/02/2017 and registered under the Companies Act, 2013 having CIN:
U74999TG2017PTC115043, Registered office situated at HNO 8-23, PLOT 23, INDRA
REDDY ALLWYN COLONY, MIYAPUR, HYDERABAD, TELANGANA 500049,
represented by Mr. Srinivasa Rao Narni, Director (DIN: 08173153) (here in after called THE
SUPPLIER/VENDOR which term shall include its successors and assigns) on the ONE
PART.

Educational/Girls School/Boys School with Regd. No...................... and established in the

Chairman/Correspondent/Principal/Secretary. Its campus situated

THE SCHOOL / THE FACILITATOR which term shall include successors and assigns ) on
the OTHER PART.

WHEREAS:

A. The Supplier/Vendor is a supplier of School Books, School Stationery, Uniforms,


Belts and other related items and has also expertise in providing technology oriented
Educational solutions to promote and develop excellence and leadership qualities in
children by infusing modern techniques by conducting
seminars/workshops/exhibitions/Conferences including conducting training programs
for professional and vocational skills for up-gradation of education, health care
services, promoting yoga and meditation etc., and supplying academic
videos/digitized programmes.

B. The School/Facilitator is running a Co-Educational/Girls School/Boys School and


providing education for children of .................... to ................. of ICSE/CBSE/State
syllabus.

C. The Supplier/Vendor intends to sell all items as prescribed by the school, more
specifically stated in Schedule-A to this Agreement, to the children studying in the
School through the e-commerce portal which is available at https://myakshar.com.

D. The School/Facilitator desires to procure the products of the Supplier/Vendor for its
School children.

E. The parties desire to enter into this Agreement to set forth the obligations and
responsibilities, terms & conditions of each party.

NOW THIS DEED OF AGREEMENT WITNESS THE TERMS AND CONDITIONS


AS FOLLOWS :

1. The Supplier/Vendor shall supply the products/stationery items/material that are


mutually agreed and in the specification as approved by the School as per Schedule-
A attached to this Agreement.

2. The Supplier/Vendor shall sell/or arranges to sell through its online portal
(https://myakshar.com) all the items/material/products to the School children of the
School/Facilitator as disclosed in Schedule-A and attached to this Agreement and as
per pre approved (brand) products within the price range as confirmed and approved
by the School/Facilitator for Three (3) Academic Years and for the subsequent
periods subject to mutual written consent/agreed terms.

3. The Supplier/Vendor shall ensure to maintain and keep available all the
items/material/products of Schedule-A in their Online Store to the
School’s/Facilitator’s students at all times during the period/time of this agreement.
In case if any product be discontinued and/or upgraded during the course of the
Agreement, the Supplier/Vendor shall intimate and offer to the School/Facilitator a
new alternate product that meets and/or exceeds the established specifications, under
the same terms & conditions to the extent possible.

4. The School/Facilitator shall inform/convey to the Supplier/Vendor in writing well


in advance and not less than of two weeks’ time for their new
requirements/items/specifications, if any and other than the stored items as per
Schedule-A by the Vendor so as to make it available by the Supplier/Vendor in the
online e-commerce store.

5. The Supplier/Vendor hereby agrees and undertakes to take sole responsibility:

a. of remittance of Tax and other related matters with the Government agencies to
the extent of products/items that are supplied/sold through e-commerce platform
of The School/Facilitator and;
b. after sale/replacement and quality dispute related matters.

6. The School/Facilitator & the Supplier/Vendor equally responsible for inventory


management and shall reconcile the same by meeting on every quarter and on or
such intervals as they may deem fit.

7. The School/Facilitator shall not entertain/engage any other Supplier/Vendor for the
supply of similar items and during the existence of this agreement. The
School/Facilitator shall not assign or sub-let the facility or any part thereof, or make
any agreement with any person/company for the execution of any portion of the
supply/execution of business.

8. This agreement is effective for a period of 3 (Three) Academic Years commencing


from .............................. and ending on.........................., and can be extended with
mutual consent for further periods and up to 5 (Five) Academic years unless it is
terminated.

9. In case of change in terms & conditions or additions to this agreement, both the
parties can mutually convey in writing and sign by both the parties and which shall
part from of this Agreement.
10. Termination of Agreement: Either of the parties i.e., The Supplier/Vendor or The
said Society/Facilitator are if not satisfied with the performance/business/facility,
they are at liberty to terminate this Agreement with a prior notice to each other, as
the case may be, with not less than Sixty (60) days. If the agreement is terminated,
School/Facilitator should pay for the complete stock manufactured solely for the
school as per the pricing defined in Schedule-A. This payment must be settled
on/before the date of cancelling the agreement.

11. In the event of any dispute, difference or question arising out of or in respect of this
agreement or the commission of any breach of any terms thereof or of compensation
payable thereof or in any manner whatsoever in connection with it, the same shall be
referred for arbitration as provided in the Arbitration and Conciliation Act, 1996,
rules made there under and amendments thereon. The decision or award so given
shall be binding on the parties hereto.

12. Both the parties irrevocably agrees that the courts of Hyderabad shall have
jurisdiction to settle any dispute or claim that arises out of or in connection with this
agreement or its subject matter or formation.
