and submission guidelines. In addition to this Tawteen Investor Pack, you should have received the
Submission Templates and other supporting documents as mentioned in Section 5.5 of the Tawteen
Investor Pack.

The energy sector companies and our Partners are committed to providing you support towards
your investment in the local supply chain and enrichment of the Qatari business environment. As a
result, the Leading Contracting Entity will be issuing an RfP to support investment in this

Executive Summary
Tawteen’s Subsurface Cluster covers the equipment and services required for onshore and offshore
drilling workover, steady state production and water injection operations. This Tawteen Investor
Pack presents the opportunity for Investors to establish a local business in providing Drilling Tools
and Accessories in Qatar to support local oil and gas drilling and fishing activities.

Tawteen aims to localize the provision of the most frequently used Drilling Tools and Accessories,
including tools for fishing operations. This is envisioned to cover the leasing of drilling and fishing
tools used in various operations.

As such, Tawteen aspires for the Investor to develop the following local assets and capabilities:

– Local inventory of fishing tools of most common types and sizes


– Local workshop facilities for minor fabrication as well as tool modification and maintenance

Tawteen’s participating oil and gas operators estimate ~ QAR 35 M per annum to be spent on
Drilling Tools and Accessories in onshore and offshore fields, for the coming 4 years. This estimate
includes planned spend for drilling Bottom Hole Assemblies (BHAs), as well as a historical average
of actual unplanned contingency spend on fishing operations. Please note that all the estimates
provided in this section are based on analyses conducted prior to the COVID-19 crisis and drop in
oil prices.

To support the investment in this opportunity, the Leading Contracting Entity (Qatargas) will issue an
RfP to all the short-listed Investors. This opportunity will be further supported by a Supporting
Contracting Entity (NOC). Collectively, commitments from these entities will cover a combined total
of ~ QAR 5-7 M of spend on Drilling Tools and Accessories for 4 years. In addition, Tawteen will
provide various incentives across financing, infrastructure and supplier development as further
outlined in this document.

1.1 Opportunity Description (1/2)


This section aims to frame the objectives, and business and strategic context of this opportunity. It
serves as a common baseline input for the feasibility studies and initial business case development
for the Investment Proposal.

Opportunity
The objective of this opportunity is to support the establishment of a local company to provide key
Drilling Tools and Accessories, including tools for fishing operations. The new business is envisioned
to provide the opportunity of leasing locally owned drilling and fishing tools used both in drilling
activities such as Bottom Hole Assemblies (BHAs) and contingent activities such as fishing of a “fish
or barrier” (this could be done using a drill pipe, coiled-tubing or slickline). As such, the Investor
would develop in-country capabilities to:

– Possess an inventory of drilling and fishing1 tools of most common types and sizes
– Operate workshop facilities for minor fabrication as well as tool modification and maintenance
– Develop local experienced crew available for fishing services on short notice

In the longer term, it is expected that the Investor will provide cost competitive Drilling Tools and
Accessories, including tools for fishing operations. The Investor will also explore adjacencies in
renting further tools and equipment used at ad-hoc basis such as inflatable packers and bridge
plugs. The capabilities are anticipated to reach beyond Qatar, covering other addressable markets
in the wider region.

Business Case
Drilling tools such as jars, accelerators and X-over subs, in addition to rented drill-strings, are
commonly used during the drilling of BHAs. The local and short notice availability of such tools can
significantly reduce mobilization lead time for the operator. The latter is a key element on route to
lowering costs, especially contingent fishing operations costs.

In Qatar, the average spend on Drilling Tools and Accessories in onshore and offshore fields is
expected to be ~ QAR 35 M per annum for the coming 4 years. Please note that all the estimates
provided in this section are based on analyses conducted prior to the COVID-19 crisis and drop in
oil prices. The spend is mainly driven by:

– 20 rigs active during 2020-24, forecast to complete ~ 100 new onshore and offshore wells
– ~ 4 active workover rigs deployed throughout 2020-24

Today, Drilling Tools and Accessories are mostly supplied by international companies. A local
provider focused on serving Qatari operations could improve operational efficiency of operators and
as such develop a competitive edge.

& capabilities for this opportunity. Tawteen encourages the Investor to develop these assets and
capabilities both through expansion of existing facilities, as well as green-field investment.

This section outlines the market size anticipated for this opportunity. It can be used as a baseline for
the feasibility studies, market research and initial business cases in the Investment Proposal.
Tawteen collaborated with Qatar Petroleum, Qatargas and North Oil Company (NOC) to estimate
the demand for Drilling Tools and Accessories in Qatar.

The estimated spend on Drilling Tools and Accessories in onshore and offshore fields is ~ QAR 35
M per annum based on estimates from the three major entities mentioned above. Additional
business could be generated from other operators in Qatar. Please note that all the estimates

Every Investor who is awarded an investment opportunity shall have access to exclusive incentives
to de-risk the investment and increase the ease of establishing a business in Qatar. This section
outlines those incentives.

A. Land
Tawteen, through various stakeholders, has secured plots of land for every investment opportunity.
As an Investor with an allocated opportunity, you would have access to the following land entities

• Have access to pre-approved land
• Have building and work permit regime directly managed by the Free Zone Authority (FZA)
• Get 0% corporate tax for renewable 20-year periods
• Have 100% foreign ownership
• Get flexible foreign workforce visa regime & best practice employment regulations
• Have zones that are strategically located in Doha and are adjacent to the Airport and Port

C. Equity Financing
Equity financing involves raising money by offering portions of your company, called shares, to

D. Supplier Development
Tawteen’s Supplier Development Program aims to support Tawteen suppliers in enhancing their
performance and ensuring that they are able to meet the demands of the energy sector.

All successful Investors can benefit from the Supplier Development Program. This also includes
Investors who are allocated an opportunity without a Supporting Contract or Investors who already
have their own land / facilities.

The Supplier Development team will work closely with Tawteen suppliers and provide guidance
across the following areas (where applicable):

• Explore ways to increase supplier’s local content (ICV)

• Share updated Energy Sector demand and forecast data
• Facilitate engagement with and exposure to anchors (multinational

3.2 Supporting Contract


As part of the Tawteen program, the energy sector companies are offering spend commitments to
the participating Investors. This means that the Contracting Entities will award a Supporting
Contract for the procurement of opportunity-specific goods and/or services. The objective of issuing
this Supporting Contract is to facilitate market-entry, de-risk the required investment and provide a
platform to effectively build track record in the local energy sector supply chain. As such, successful
Investors are encouraged to provide Investment Proposals that fully comply with the scope as
outlined here and in the RfP, but that also reach beyond the scope and explore adjacencies.

For this opportunity, there will be an RfP from the Leading Contracting Entity to support the
establishment of a local supplier. Every short-listed Investor shall be invited to submit a tender
response, which shall be evaluated on a competitive basis. The winning Investor who is awarded the
commitment from the Leading Contracting Entity shall later be invited to participate in a “single
source” tender from the Supporting Contracting Entity. The Investor shall be evaluated, technically
and commercially, before being awarded the remaining portion of the commitment.

evaluation process. The Investment Proposals shall be assessed using its own evaluation framework
and criteria (detailed further in this section). On the other hand, the respective Leading Contracting

In addition to the review of the Investment Proposal, the tender response to the RfP will be
evaluated by abiding the Leading Contracting Entity’s tendering procedure for Technical and
Commercial bid evaluations.
It is critical for the Investor to perform well in both evaluations to be allocated the final investment
opportunity. The final allocation will take into account the extent of localization offered by the
Investor, especially in cases where Investors participate in multiple opportunities.

5.3 Treatment of Adjacencies


An adjacency is any deviation from the scope stipulated in the Tawteen Investor Pack e.g. a different
product/service other than what’s mentioned in the RfP, value chain elements that are out-of-scope
of this investment opportunity. Additional demand for the same product/service from entities other
than the Leading/Supporting Contracting Entity is not considered an Adjacency.

If an investor wishes to go beyond the scope outlined in the Tawteen Investor Pack, in order to
achieve cost synergies or then improve the financial attractiveness of the proposed investment, we
suggest that the Investor follows these guidelines:

▪ Prepare a submission that addresses the scope:


o Revenue line to include product/service in scope only
o Apportion the fixed costs and other financial elements pertaining to the opportunity scope only
(list all assumptions clearly)

▪ Prepare a separate submission that includes out-of-scope items and adjacencies:

In order to ensure a successful start of operations and sustainability of the investment, the Investor
should ensure that all relevant regulations and requirements stipulated by government ministries,
free zones, banks and other bodies are understood, and adhered to.

not meant to be an exhaustive list of entities and is to be used for guidance only. The Investor is

5.5 Instructions to Investors (1/9)


1- General
These Instructions to Investors issued by Qatar Petroleum (QP) outline the procedures to be
followed for completing and submitting the Investment Proposal. Investors shall comply with all the
provisions of this Instructions to Investors (ITI) and these instructions thereto while preparing its
Investment Proposal. Failure to provide all of the required materials and information, or failure to
fully comply with these instructions may result in the rejection of the Investment Proposal by QP.

In this ITI all capitalized words and expressions shall have the same meanings as are assigned to
them in the Glossary of Terms in the Tawteen Investor Pack.

2- Receipt of Tawteen Investor Pack and supporting documents


Investor shall receive the following documents from Tawteen for preparation of the Investment
Proposal:
• Tawteen Investor Pack
• Submission Templates
• Investment Undertaking Letter template
• Letter of Undertaking template
• Land lease agreement template and terms/regulations
• Information Pack from the Land Authority
• SoW from Supporting Contracting Entity (Note: This is provided by the Supporting
Contracting Entity as a guidance document only. The successful Investor shall be invited to
participate in a tender from the Supporting Contracting Entity on a single source basis as
described in Section 3.2)

On receipt of these documents, each Investor is required to submit, within two (2) weeks, the
Acknowledgement of Receipt of Tawteen Investor Pack (Form 1). QP is issuing the Tawteen Investor
Pack and supporting documents in electronic format only. The Investor must ensure that the
documents received are complete and the Investor must sign and return this form. Form 1 must be
completed, signed and submitted by the Designated Contact Person via email to the official email
address set out in Item 5.1 of this Section.

3- Validity of Investment Proposal
Investment Proposal shall be valid for a period not less than one hundred eighty (180) calendar
days from the Closing Date. QP intends to notify all Investors of the result of their proposals during
this period.

4- Investor Briefing Sessions


Investor may be requested to attend an Investor Briefing Session in order to discuss the details of
Tawteen Investor Pack and Investment Proposal submission. It is strongly recommended that the
Investor/ or Investor’s representative attend all scheduled Investor Briefing Sessions. Invitations for
Investor Briefing Session will be shared in due course with details of the date, time and location.

5- Queries and Communication


5.1 All queries and communication pertaining to Tawteen Investor Pack must be raised by the
Designated Contact Person and not by third party consultants. Queries must not be raised by
telephone or personal contact, but must be submitted in writing using Investor Queries (Form 2), via

5.2 Any response issued will be in the form of a question and answer and will be distributed to all
Investors without revealing the identity of the originator in the form of Bulletins. In order to prevent
delays and ensure Tawteen and Investors easily establish the origin of the queries, Investors are
required to specify the references of such queries in clear terms. Queries or correspondence must
be received at the above email address only. We encourage Investors to submit their queries within
two (2) weeks of receiving the Tawteen Investor Pack. However, we shall accept queries up to four
(4) weeks prior to the Closing Date. Any queries received after this date will be ignored.

5.3 Any addendums or clarifications will be issued as Bulletins and sent to all Investors during the
”Application Stage 2” process. Investor shall acknowledge the receipt of all Bulletins in the Cover
Letter for Investment Proposal (Form 3). Bulletins shall be issued to the Investor or Designated
Contact Person via email.

Hard copies of the documents mentioned on the previous page must be submitted to the address
set out in Item 7.11.

7.2 Investment Proposal: Investor must follow the structured guidelines available in Section 5.1 of
the Tawteen Investor Pack to complete the Investment Proposal.

7.3 Submission Templates: Investor is required to submit the completed Submission Templates
along with the Investment Proposal. Please refer to Section 5.2 of the Tawteen Investor Pack for
more details on the components of the Submission Templates.

7.4 Cover Letter for Investment Proposal: Investor shall complete and sign the Cover Letter for
Investment Proposal (Form 3). QP may reject any Investor that has not submitted Form 3.

7.5 Declaration of Regulatory Compliance: Investor is required to complete and sign the
Declaration of Regulatory Compliance to comply with the requirements brought forward by the
consulted regulatory bodies. Please refer to Section 5.4 of the Tawteen Investor Pack for more
details.

7.8 Investment Undertaking Letter: Investor must abide by the terms of the Investment
Undertaking Letter included with the Tawteen Investor Pack and mentioned in Item 2. This Letter
shall be completed and signed by the Investor (Individual/Company) or a duly authorized
representative.

7.9 Company Related Documents


The following additional documents are requested along with your final Investment Proposal (does
not apply to Individual applicants):
➢ For a Local Company registered in Qatar
• A copy of the original valid company/commercial registration certificate (in Arabic and
English) which shall stipulate ownership details (name of owners, nationality and % holding),
names of authorized signatories and all relevant business activities of Investor as from time
approved by Qatar State’s relevant official authority. The Investor shall be responsible for
maintaining the validity of its company/commercial registration certificate. In the event that
such company/commercial registration is expired, local companies shall submit a valid
commercial registration within thirty (30) calendar days after receiving the written notification
of award of the investment opportunity.
• “Memorandum of association/incorporation” indicating at least its registered name which
shall be same as the name mentioned in its company/commercial registration certificate,
status and purpose of business. If no “memorandum of association/incorporation” exists, or
its registered name, status and purpose of business are not indicated therein, then a certified
translation in English of the original “articles of association/incorporation” must be submitted.
• A certified translated proof in English for the original of its Qatari Municipal License indicating
its address in Qatar.

➢ For an International Company (not based in Qatar)
• If in possession of a valid project specific Qatari Company/Commercial Registration (“CR”)
certificate for its Qatar branch, copies of such CR (in Arabic and English)
• Notary certified copy of its Company/Commercial Registration Certificate or equivalent (as
applicable in its country of incorporation) together with a certified translation in English,
legalized by the Qatari Embassy of the country of incorporation.
• “Memorandum of association/incorporation” indicating at least its registered name, status
and purpose of business in its country of origin (notary certified copy of the original and a
certified translation in English), legalized by the Qatari Embassy of the country of
incorporation. If no “Memorandum of association/incorporation” exists, or its registered name,
status and purpose of business are not indicated therein, then a certified translation in English
of the original “articles of association/incorporation” must be submitted, legalized by the
Qatari Embassy of the country of incorporation.

7.10 Please note that the Power of Attorney (PoA) is only required in the event that the person
signing the submission documents is not the Investor himself/herself (in case of individuals) or is not
an authorized signatory as per the Commercial Registration or equivalent (in case of Companies).

In case a PoA is applicable to your situation, then please follow the guidelines below:

• Attached PoA template (Form 4) to be filled & signed by the individual Investor
• Please include Qatar ID or Passport copy of the individual Investor and designated signatory
• PoA to be notarized as per the legal requirements of the domicile of the Investor and
legalized by the Qatari Embassy of the country of incorporation of the Investor (for foreign
nationals/residents only)

per the company/commercial registration certificate
➢ For an International Company (not based in Qatar)
• Attached PoA template (Form 4) to be filled, signed & stamped by an authorized signatory as
per the company/commercial registration certificate or equivalent. PoA to be notarized as per
the legal requirements of the domicile of the Investor and legalized by the Qatari Embassy of
the country of incorporation of the Investor.

7.12 Any electronic submissions received after the Closing Date may be rejected.

8- Correction or updates to submission documents or other errors


Any adjustment, correction, clarification or amendment made by Investor shall be subject to request
by QP/Tawteen in the form of a Clarification to Investor and shall be communicated in writing to the
Investor. Investors cannot change the submission documents unless requested by QP.

9- Notification of Allocation of Opportunity


I. Tawteen shall notify the successful / winning Investor in writing of Tawteen’s acceptance of its
Investment Proposal and its decision by means of a Letter of Allocation of Opportunity.
II. QP/Tawteen reserves the right to publish, in whatever manner it chooses, details of evaluation of
the proposals and allocation of opportunities, including:
• The identity of all Investors;
• Result of the evaluation process, including technical details and prices

FORM 4: TEMPLATE FOR PoA (ON THE INVESTOR LETTER HEAD)

done in the premises as fully, to all intents and purposes, as it might or could do, hereby ratifying and
confirming all that its attorney shall lawfully do or cause to be done by virtue hereof.
And, further, that the Investor does hereby authorize the Secretary of the Investor to attest, where required
