2. Validity period of freight costs shall be 30 (thirty) calendar days from the issuance date
of Proforma Invoice. After 30 (thirty) calendar days from the issuance date of the Proforma
Invoice, the actual freight costs may be charged to you if during or after this period there
has been increase, for any reasons whatsoever, on the freight costs. In case of any
inconsistency between this terms and conditions and any other agreement, the former shall
prevail.

3. If the Buyer fails to make the full payment according to the payment terms herein,
theBuyer will be charged in addition 0.1% daily of the overdue balance as late fee.

4. Mindray shall not be responsible or liable for any circumstances including but not
limited to late delivery beyond the reasonable control of Mindray, or arising out of or
caused by the requisition by any government authority, or any other governmental order or
regulation, wars, strikes, lockouts, riots, epidemic, disease, act of God, civil commotion,
fire, earthquake, storm or failure of public utilities or common carriers.

5. The Buyer shall (i)accept the quality standards fulfilled by the Products, (ii) before use,
check whether the packing of the Products are in good order, and (iii) use, maintain and
keep the Products according to Product Instruction For Use. Mindray shall not be
responsible or liable for any liability or damage caused by the inappropriate use,
maintenance or keeping of the Products by the Buyer or any third party.

Period of Validity: From 29/Nov/2021 To 28/Feb/2022

Date of Shipment: Within 90 workdays after receipt of prepayment or L/C or confirmation of PI
